Having regard to Article 6, third paragraph , 8, part b , 17, first paragraph , 18, eighth member , 19, 1st Member , 20, fourth member , 23 , 24, third member , 24 , 25, fourth paragraph, part c , 38, second paragraph and 39 of the Commercial Registry Act 2007 ;

Having regard to the further report of the State Secretary for Economic Affairs of 13 June 2008 WJZ8066664,
Have found good and understand:
1 In this Decision and the provisions based thereon, the following definitions shall apply:
a. Law: The Commercial Registry Act 2007 ;
b. Persons employed: the employed or non-employed persons of the undertaking concerned, the owners and members of the family of an owner working in the service, whenever they usually work at least 15 hours per week;
c. Regulation 1435/2003: The Regulation (EC) 1435/2003 of the Council of the European Union of 22 July 2003 on the Statute for a European Cooperative Society (SCE) (PbEU L 207);
ed. Directive 68 /151/EEC: Directive (EEC) 68/151 of the Council of the European Communities of 9 March 1968 as regards the disclosure requirements for certain types of undertakings (PbEG 1968 L 65);
e. notification: a notification as referred to in Article 32, first or second paragraph, of the Act ;
f. personal information:
1 °. if they relate to a natural person, the data, mentioned in Article 10, second paragraph of the Act , the genitals and the signature;
2 °. if they are related to a legal person under Dutch law, the number mentioned in Article 12 (a) of the Act , the name and address of the search;
3 °. if they relate to a shipping company, company or company under law or partnership under Dutch law, the number mentioned in: Article 10, third paragraph (a) of the Act , the name and address of the search;
4. if they concern a legal person or a company governed by foreign law, the name, the contact address, the number under which the legal person or company is entered in the foreign register, the name of that register and the name of the register. place and the country where the register is to be kept.
2 In this Decision and the provisions based thereon, the following definitions shall also apply:
a. Signature: an electronic signature as intended in Article 15a, 4th paragraph, of Book 3 of the Civil Code ;
b. Commissioner: a member of a supervisory board.
1 An undertaking is involved if there is a sufficiently independent organisational unit of one or more persons supplying or providing services or goods for the benefit of third parties by sufficient contribution of labour or resources. works with a view to achieving the material benefit of such work.

4 An amendment to the Directive, referred to in paragraph 3, shall apply to the funds provided for or pursuant to this Decision as from the date of implementation of the amending Directive in question.
1 The Court shall examine whether an indication has come from a person who is competent to do so, and whether the declaration is correct, unless the Netherlands or another Member State of the European Union or the European Economic Area already carry out research into equivalent requirements have been made and it is clear from this that the declaration meets the requirements.
2 The Court of Auditors may request further supporting documents in the course of a review.
3 If the Chamber is satisfied that the declaration was made by a person who is competent to do so and considers that the declaration is correct, it shall forthwith submit it to tender.
1 The Court of Auditors shall refuse to register if it is not satisfied that the declaration is from a person empowered to declare it.
2 The Chamber may refuse to register if:
a. The challenge is contrary to a legal requirement, law, public order or good mores;
b. the task of internal conflict is contrary to or incomplete;
(c) the task is contrary to information already taken on the undertaking or legal person;
d. the task shall be inconsistent with data from another basic register;
e. the Chamber of the European Parliament has doubts as to the accuracy of the declaration.
3 If the Chamber has given the opportunity to supplement or amend the declaration, it shall, if necessary, make the declaration available to the person who has given the task.
1 To tender for registration in the commercial register of all information relating to the undertaking or legal person is compulsory:
a. Driver of a legal person governed by public law;
b. The driver of a legal person, intended in Articles 24 to 26 ;
c. the administrator in the Netherlands, intended in Article 24, third paragraph , 25, third paragraph, part b , and 26, third paragraph, part b ;
d. The trustee, intended to Article 37, first paragraph, point (a) .
2 To tender for the entry of the following information is mandatory:
a. concerning the notices pursuant to Article 390 of Book 1 of the Civil Code , he who is responsible for its publication;
b. concerning the notices pursuant to the Law on financial supervision , he who is in charge of its publication in the Official Gazette;
c. on the amount of the subscribed capital referred to in Article 22, second paragraph , and 25, third paragraph (c) and (4) , the holder of the register, referred to in Article 1:107 of the Financial Supervision Act If the persons required to do so have reported on the grounds of Article 5:34 of the Law on Financial Supervision ;
(d) on the winding up of a company or legal person and on the completion of the liquidation of a European economic grouping or of a company or legal person, as referred to in the Articles 24 , 25 and 26 , the liquidator of a decomposed company or legal person;
e. concerning a judgment as referred to in Article 37 and 39, 1st Member , the Registrar of the Court of Law which has made the ruling.
The declaration of registration of a European public limited company, a European Economic Interest Grouper and a European Cooperative Society shall also produce evidence and supporting documents demonstrating compliance with the requirements of the conditions for registration pursuant to Regulation 2137/85 , Regulation 2157/2001 and Regulation 1435/2003 .
1 In the Commercial Register, a Church Society as intended Article 2 of Book 2 of the Civil Code , which is not part of an organisation as referred to in Article 6, third paragraph, of the Act -I've registered.
2 In the Commercial Register, a Church Society as intended Article 2, of Book 2, of the Civil Code , which is part of an organisation as referred to in Article 6, third paragraph, of the Act , which has no legal personality, registered.
1 An amendment to what is entered in the Commercial Register shall be entered with an indication of the date on which the amendment entered.

In the commercial register, if the person to whom an undertaking belongs is entered in a foreign register for undertakings, it shall include the registration number from that register, the name of the register and the place and the country where it is registered for the name of the company. register.
The commercial register shall include an undertaking:
(a) the number of persons employed, broken down by establishment, on the first working day after 30 April of any calendar year;
b. a brief indication of the activity or activities carried out;
c. The name of the message box of the central decoy intended in Article 5 (a) (a), (2) of the Services Act .
1 A company without an establishment in the Netherlands may be registered in the commercial register if the company's activities in the Netherlands would qualify independently as a company within the meaning of Article 2 .
2 In the Register of Trade, an undertaking without an establishment in the Netherlands shall be subject to the address on which the person to whom the undertaking belongs is physically accessible.
1 If an undertaking has one or more authorized commercial agents working in the Netherlands, their personal information and the contents of their proxy shall be entered in the commercial register.
2 Data relating to other authorised agents may be entered in the commercial register. In that case, their personal data and the contents of their power of attorney are included.
The commercial register shall contain the personal information of each person acting on behalf of that legal person, in formation on a company belonging to a legal person.
Information on agents of a legal person may be entered in the commercial register. In that case, their personal data and the contents of their power of attorney are included.
1 In the Register of Trade, a legal person shall be included:
a. A brief indication of the activity or activities carried out;
b. The postal address.
2 The trade register shall include a legal person which does not belong to it and who has no establishment:
a. the contact address;
b. the telephone number, fax number, e-mail address and internet address;
c. The name of the message box of the central decoy intended in Article 5 (a) (a), (2) of the Services Act .
In the commercial register, if a company belongs to a natural person, the signature and the genitals of this person are included.
The commercial register shall include a partnership with firm, limited partnership or partnership.
a. of any size or non-commandted member, the date of its accession and exit; and
1 ° if this is a natural person, the genitals and the signature;
2 ° if it is a legal person or a company governed by Netherlands law, the contact address;
3 ° if it is a legal person or a company governed by foreign law, the contact address, the number under which the legal person or company is entered in the foreign register, the name of that register and the place and country where it is registered. Records shall be kept;
(b) the duration for which the company or partnership has been entered into.
In the trade register are to be held on a limited partnership, in addition to data from Article 17 , included:

(b) the amount of the money and the value of the goods which have been made available or agreed to be made available jointly by the limited partnership members to the company.
The commercial register shall also cover a company under firm, limited partnership or partnership with a view to the provision of rights of third parties.
A shipower shall be included in the Register of Trade:
a. of each member of the shipping company, the date of its accession and the date of its accession;

1 The commercial register shall include a limited liability company, a limited liability company, a European public limited company or a European Cooperative Society:
(a) the personal details of each director and commissioner, of any member of the governing body, or of any member of the management body, the date on which he entered and out of office as such by the company and whether he or she is to represent the company alone or jointly with one or more others;
b. the personal data of others other than the directors to whom the statutes confer powers of representation and the content of the power;
c. the subscribed capital and the portion of the subscribed capital;

e. the personal data excluding the signature of the holder of all the shares in the capital of the company or of a member of a marriage community or a community of a registered partnership to which all the shares in the capital of the company are held, the shares held by the company or its subsidiaries are not included;
f. if so, that the statutes of the company answer to the Articles 158 to 161 and 164 or the Articles 268 to 271 and 274 of Book 2 of the Civil Code .
(2) If a company as referred to in the first paragraph is an investment company with variable capital as referred to in paragraph 1 Article 76a of Book 2 of the Civil Code The amount of the registered capital shall be entered on the first working day after 30 April. Amendments to the registered capital may be entered in the trade register.
3 In the register of trade, a public limited company, a European public limited company and a European Cooperative Society:
a. the share capital and the amount of the subscribed capital and the paid-up part of it, referred to in paragraph 1 (c), broken down by type, where there are different types of shares;
b. If shares have not been paid up, personal data other than the signature of the holders of such shares, together with the share ownership of each holder and the amount paid in that account.
4 The trading register includes whether a driver is executive or not.
1 In the Register of Trade, a European Economic Interest Groupage shall be entered:
a. the personal information of each director and commissioner and the date on which he is in and out of office, and whether he is competent to represent the grouping only or jointly with one or more others;
(b) where a clause is made as referred to in the second subparagraph of Article 26, second subparagraph, of Regulation 2137/85 , the content of that beding;
(c) if a driver is not a natural person, the personal data of any person representing a representative within the meaning of Article 19, second paragraph, of Regulation 2137/85 designated and the date on which he is designated as a representative.
2 In the commercial register, an authentic copy or a certified copy of the contract of incorporation in the Dutch, German, English or French languages, certified by an official, shall be deposited.
(1) If an undertaking established in the Netherlands or an ancillary establishment situated in the Netherlands of an undertaking established outside the Netherlands belongs to a company as referred to in Article 1 (2), Directive 68 /151/EEC , established under the law of a State other than the Netherlands and which is a party to the Agreement on the European Economic Area, are the Articles 15 , 22 and 23 Not applicable.
2 The commercial register shall include a company as referred to in paragraph 1, the personal information of each director and commissioner, the date on which he entered and out of office, and if he is the company alone or trade with one or more others to represent.
3 The commercial register shall be the undertaking or subsidiary referred to in the first paragraph, the personal information of the manager employed in the undertaking or principal place of business or of another comparable agent, function and the date on which he entered and out of office as such to the undertaking or main settlement and the contents of his power of attorney.
4 The commercial register shall be deposited with an authentic copy or a certified copy of the instrument of incorporation of the company and of the instruments of incorporation, if they are incorporated in a single act in the register. Dutch, German, English or French language.
5 In the case of the commercial register, the most recent copy of the accounting documents of the company shall be deposited in so far as and in the form in which the company is to publish it in the country of its registered office, in the form of a Dutch, German, English or French language.
(1) If a company established in the Netherlands or a subsidiary of an undertaking situated in the Netherlands belongs to a company incorporated in the Netherlands to the right of a State which is not a party to the Agreement on the European Economic Area, having a legal form comparable to that of a company referred to in Directive 68 /151/EEC , are the Articles 15 , 22 and 23 Not applicable.
2 shall be entered in the Register of Trade for a company as referred to in paragraph 1:
(a) the personal information of each director and commissioner of the company, the date on which the company as such entered and out of office, or he is competent to act alone or jointly with one or more of the following: to represent others and the content of his or her authority;
(b) under the law of which country the company falls.
3 In the register of trade, the undertaking or subsidiary referred to in the first paragraph shall be included:
a. where the principal place of business of the undertaking is outside the Netherlands, the postal and visiting addresses of the principal establishment of the undertaking;
b. the personal information of the administrator or other similar agent employed with the company or main settlement, and the date on which he is in and out of office as such to the Company or main settlement. entered into, and the contents of, his power of attorney;
(c) the amount of the company's subscribed capital on the first working day after 30 April of the company.
4 In addition to the declaration referred to in point (c) of the third paragraph, interim changes to the registered capital may be entered in the trade register.
5 Article 24, fourth and fifth paragraphs , shall apply mutatis mutandis.
If a company established in the Netherlands or a secondary establishment situated in the Netherlands belongs to a company or a legal person established outside the Netherlands, established under the law of a country other than the Netherlands, not which is a company as defined in the Articles 24 and 25 , are the Articles 15 and 18 to 23 Not applicable.
2 In the register of trade, the company or legal person referred to in the first paragraph shall be included:
(a) the personal information of each member, director and commissioner of the company or legal person, the date on which he is in and out of office with the company or legal person as such, whether he or she is the company or to represent a legal person alone or jointly with one or more others and the content of its competence;
(b) under the law of which country the company or legal person falls.
3 In the register of trade, the undertaking or subsidiary referred to in the first paragraph shall be included:
a. where the principal place of business of the undertaking is outside the Netherlands, the postal and visiting addresses of the principal place of business of the undertaking and, as a result of the legislation of the country concerned, on the undertaking in the register. being recorded or otherwise disclosed;
b. the personal information of the administrator or other such agent employed with the undertaking or main settlement, his function, the date on which he is in and out of office as such to the Company or main settlement. the substance and the content of his power of attorney.
4 Article 24, fourth paragraph In so far as a legal person is concerned, and fifth paragraph, shall apply mutatis mutandis.
5 By way of derogation from paragraph 2 (a), a legal person with more than 20 associates shall not be included in the information referred to in that paragraph on the shareholders which are not linked to the Dutch establishment of the legal person.
(1) In the event of a change in the contract procedure of a European economic grouping and of the statutes of a legal person as defined in the Articles 24 to 26 shall be deposited:
(a) an authentic copy of the notarial deed made up of the amendment or, where no notarial deed has been made out, a copy of the amendment certified by an act;
b. a continuous text of the contract for the formation of the contract and of the statutes as a result of the amendment being made.
2 These documents are in Dutch, German, English or French languages.
1 In the Register of Trade, an association with full jurisdiction, cooperative or mutual guarantee company shall be included:
a. The personal information of each director and commissioner and the date on which he entered and out of office and whether he is competent to represent the legal person alone or jointly with one or more others;
b. the personal data of others other than the directors to whom the statutes confer powers of representation, and the content of the power.
2 It is entered in the Register of Trade Register that the statutes of a cooperative or mutual guarantee society are in line with the Articles 63f to 63j of Book 2 of the Civil Code If this is the case.
3 Where an association is entered without full jurisdiction in the Commercial Register, the data referred to in the first member shall be entered in the Commercial Register.
A foundation shall be included in the trade register:
a. The personal data of each director and any member of the supervisory board and the date on which he entered the foundation as such, or he is competent to act alone or jointly with one or more of the members of the Foundation; to represent others;
b. the personal data of others other than the directors to whom the statutes confer powers of representation, and the content of the power.
The trade register shall include an association of owners:
a. The personal data of each driver and the date on which he entered and out of office, and the contents of his authority to represent the association.
(b) an authentic copy of the notarial deed or an authentic extract of the notarial deed comprising the statutes;
(c) an authentic copy of the notarial act of amendment and amended statutes.
1 In the Register of Trade, an organisation with legal personality of which one or more denominations belong as intended Article 6, third member of the Act Included:
a. the postal and visiting address;
b. The telephone number, fax number, e-mail address and internet address.
2 In the trade register are to be held over a church society, as intended Article 8, first or second paragraph , included:
a. the postal and visiting address;
b. the telephone number, fax number, e-mail address and internet address;
3 As data, as intended Article 17, first paragraph, part c, of the Act For denominations and bodies, within the meaning of Article 2 of Book 2 of the Civil Code designated:

In the trade register, a pension fund is defined as Article 1 of the Pensions Act whether a driver is executive or not.
In the Register of Trade on other legal persons governed by private law as referred to in Article 6, first paragraph, part b, of the Act Included:
a. the personal data of each member of the controlling and supervisory board and the date on which he entered and out of office, or he is competent to represent the legal person alone or jointly with one or more others; and the content of that authority;
b. the personal data of others other than the directors to whom the statutes or regulations confer powers of representation, and the content of the power;
(c) the instrument of incorporation or statutes from which the legal personality is established.
As data referred to in Article 17, first paragraph, part c, of the Act , are designated for legal persons governed by public law:
a. The registered office, for the purpose of Article 12 (c) of the Act ;
b. Date of commencement, specified in Article 12, part d , or Article 13 (b) of the Act .
The commercial register shall include an undertaking belonging to a legal person governed by public law, the name of each director and any member of the supervisory board, or has the power to represent the legal person and the person responsible for the supervision of the competent authorities. substance of this competence.
The trade register shall include a branch:
a. the telephone number, fax number, e-mail address and internet address;
b. A brief indication of the activity or activities carried out.
A driver or agent or other staff member who is not a natural person and who is not registered in the commercial register may be assigned a unique number to be assigned by the Chamber. The Tax authorities shall, at the request of the Court, provide the numbers known to him by such agents or staff.

In the case of under-wind conditions as referred to in point Title 18 or Title 19 of Book 1 or Title 5, Section 7, of Book 4 of the Civil Code , Article 8 (b) , or 29, first paragraph, point (b) of the Law on Economic Crimes they are entered in the commercial register of a company, a share of a company or in a shipping company:
a. the personal information of the administrator and the date on which he entered and out of office;
b. judicial decisions relating to his or her jurisdiction as referred to in the Articles 437, second paragraph , and 441, second member, part f, and third member, of Book 1 of the Civil Code ;
(c) the circumstances or the rule are set in the interests of the rightholder, in the interests of a person other than the rightholder, or in the interests of the rightholder and one or more others or in a common interest as referred to above. in Article 167 of Book 4 Civil Code , the powers of the trustee as arranged in the extreme shall, in accordance with Article 171 (1) and the judicial decision on the jurisdiction of the trustee as intended Article 171 (2) of Book 4 Civil Code ;
d. the beginning and the end of the regime.
In the case of an undertaking belonging to a company, a member of a company or a member of a shipping company, the commercial register shall include all notices issued under the conditions of a Article 390 of Book 1 of the Civil Code is entered in the Official Gazette.
The following shall be recorded in the commercial register:
(a) the court ruling on a declaration of bankruptcy, the granting of a declaration of payment or the application of the debt restructuring scheme, natural persons relating to the person who owns an undertaking, as a partner or as an owner of a company; a member of a shipping company is entered in the commercial register or on a registered legal person;
(b) the destruction of such a judgment;
c. the end of the bankruptcy, the surisation of payment or the application of the debt restructuring scheme;
d. in the event of a declaration of bankruptcy, the granting of surreptization of payment or the application of the debt restructuring scheme, natural persons: the name and address of the Judge Commissioner, and of the liquidator or the trustee.
1 The commercial register shall include the winding up of a company or a legal person, stating the date of the dissolution, personal information, the jurisdiction of each liquidator and the date on which he has become liquidator.
2 If the dissolution is a company as referred to in Article 24 shall be entered in the commercial register with the powers of the liquidators, if those powers are to be disclosed in the country in which the company is established. If decomposition is a company or legal person referred to in the Articles 25 and 26 shall be included in the powers of the liquidators.
3 The completion of the liquidation of a European economic interest grouping or of a company or legal person as defined in the Articles 24 , 25 and 26 , shall be entered in the commercial register.
All notices issued under the Law on financial supervision The State Official Gazette shall also be included in the Commercial Register.
The commercial register shall contain all information on the notification and examination which the Court considers necessary for the functioning of the register.
The personal data of natural persons, with the exception of the signature, shall be taken from the basic registration persons, including the date on which changes to that data have been entered.
The data that is taken from the basic registration persons differs by no more than 72 hours with the data in that base registration.
1 The notification shall be made by means of a form established by a Ministerial Arrangement.
2 The notification shall contain at least:
a. The unique number, intended in Article 12 (a) of the Act , of the legal person making the notification;
b. The name, telephone number and correspondence address of a contact person for the notification;
c. to the extent known, all of the unique numbers relating to the notification referred to in Articles 9 to 14 of the Act ;
d. the information to which the notification refers;
e. if possible, an indication of the correct entry with subtracting pieces;
f. the date of the notification and the date of the determination of the presumed inaccuracy of the entry.
3 If the notification relates to an undertaking or legal person who is not included in the register, it shall be indicated on the form.
4 If the notification relates to a given that has been taken from another basic register, the Chamber shall forward the notification to the administrator of that registry within one working day.
An endorsement, which is a given in investigation, shall be placed on the entry to which the notification relates.
The Board shall inform the governing body that has reported on:
(a) the decision taken by the Chamber in response to the notification;
(b) the fact that the decision referred to in point (a) has been objected to and the decision to that objection has been taken;
c. the fact that an appeal has been filed and the irrevocably turned judicial ruling in that profession.
As data referred to in Article 38, second paragraph, of the Act become the Chapter 4 Specified data.
If, by a court ruling, which has been declared in full or in part in the Commercial Register, the Court shall, at the request of any interested party, enter the register.
As Data specified in Article 25, fourth paragraph, part c, of the Act , all information relating to an undertaking or a legal person entered for the first time in the commercial register shall be entered without an indication by a qualified person, as long as the signature of the person required to do so has been signed, has not been entered in the commercial register.

of a legal person cannot be considered, except by administrative bodies, as referred to in Article 1:1, first paragraph, part a, of the General Administrative Law , lawyers, bailiffs, notaries and the in Article 28, third paragraph, of the Act said organisations.
2 The first paragraph shall not apply to directors of associations, without full jurisdiction, and associations of owners and other legal persons governed by private law, as referred to in Article 2 (1) (a) of Article 6, first paragraph, part b, of the Act .
3 The address of a natural person may at his request be shielded from inspection by others other than administrative bodies, as referred to in Article 1:1, first paragraph, part a, of the General Administrative Law , lawyers, bailiffs, notaries and the in Article 28, third paragraph, of the Act the organisations referred to, if:
a. There is a likely threat;
b. the residence address in the Commercial Register cannot be considered in respect of any other undertaking;
c. Person does not have a public telephone number;
d. this person himself has taken measures to reduce the renown of his address; and
e. the importance of shielding outweighs legal certainty in economic traffic.
1 Legal persons and companies referred to in Article 24, first paragraph, of the Act The following shall be designated:
a. European Cooperative Society;
b. the companies referred to in Articles 24 and 25 ;
c. The companies referred to in Article 17 In so far as the non-limited partners are capital companies under foreign law.
2 As particulars and documents referred to in Article 24, third paragraph, of the Act , they shall be designated, all data for which no publication obligation is applicable on the basis of a binding decision of the Council of the European Union or of the European Commission.
The articles of this Decision shall enter into force on a date to be determined by Royal Decree which may be determined differently for the various articles or parts thereof.
This decision is referred to as: Trade register decision stating the annual number of the Official Gazette in which it will be placed.
Charges and orders that this Decision will be placed in the Official Journal by means of the note of explanatory note accompanying it.
