On Amendments And Additions To Article 59 Of The Federal Law "on Limited Liability Companies"

RUSSIAN FEDERATION FEDERAL LAW on amendments and additions to article 59 of the Federal law "on limited liability companies" adopted by the State Duma of the year December 2, 1998 Article 1. Amend paragraph 3 of article 59 of the Federal law "on limited liability companies" (collection of laws of the Russian Federation, 1998, no. 7, art. 785; N 28, art. 3261) the following changes and additions: in the first paragraph, the words "no later than January 1, 1999 year" were replaced by the words "no later than July 1, 1999 year";
in the second paragraph, the words "until January 1, 1999 year" were replaced by the words "until July 1, 1999 year";
in the third paragraph, the words "closed joint-stock society" were replaced by the words "in joint-stock companies or production co-operatives";
to complement the new fourth paragraph to read as follows: "the decision of the general meeting of shareholders of the limited liability company (limited liability company) on the conversion of the limited liability company (limited liability partnership), the number of participants at the moment of enactment of this federal law exceeds fifty, was adopted by a majority of not less than two thirds of the total number of votes of the shareholders of the limited liability company (limited liability partnership). Participants in a limited liability company (limited liability partnership), voted against the decision on its transformation or not take part in the vote, have the right to withdraw from a limited liability company (limited liability partnership) in accordance with article 26 of this federal law.
Article 2. This federal law shall enter into force on the day of its official publication.
