In order to ensure further improvement of the production relations in the process of forging the developed multilateral socialist society, in order to concretize the constitutional provisions on the exercise by the people of the right to administer the state socialist property, establishing unitary the responsibilities of the collective management bodies of the state socialist units, the duties and the role of the general assemblies of the working people, The Great National Assembly of the Socialist Republic of Romania adopts this law. + Chapter 1 Organisation and operation of enterprises + Article 1 The state enterprise is the basic unit in which economic and social activity is carried out and in which working people directly exercise their prerogatives arising from their double quality of owners and producers of material goods. Each working man, falling within the collective of a state socialist enterprise, becomes a participant in the administration of the patrimony entrusted to it, with the rights and obligations laid down in the law, in question, to the society to make every effort to ensure the efficient use and continuous development of the public wealth, to put the entire capacity and power of creation at the service of the general interests, to participate fully in economic and social activity in the establishment. The company has as its object of activity, depending on the specific, the production of goods, the execution of works, the provision of services, the supply and disposal of products. The organization of economic activity is based on the principle of democratic centralism, which organically combines the unitary leadership of the economy with the functional autonomy of each unit. The company operates according to the laws in force and within the state plan, while having broad tasks in the field of planning, research and design, investment, supply and sale of products, in preparation staff, in the organization of production and work. The enterprise is the economic unit with autonomy in the management of funds for the purpose of using the entire economic potential; it responds to the body that is subordinated to the fulfilment of the plan and the technical, economic and financial. + Article 2 Businesses are organised and operated on the principle of economic management. The enterprises have legal personality, which they bring down from the date of their registration to the Ministry of Finance or, in the case of those of local subordination, to the county financial bodies and the city of Bucharest. Enterprises have their own plan, corresponding to the activity they carry out, an integral part of the state plan, concludes the balance sheet, have an account with the bank, benefit from bank loans, have economic, financial and legal relations with other units. + Article 3 Enterprises are directly subordinated to ministries, other central bodies of the state administration, popular councils or plants, according to their founding act. The act of establishment of the enterprise shall be determined by the activity, name and seat. Businesses of Republican interest are established by decisions of the Council of Ministers; businesses of local interest are established by decisions of popular councils. The abolition of enterprises, their reorganization by merger, absorption, total or partial division, the modification of the object of activity, the name and the headquarters shall be decided by the bodies that have the competence to establish them. + Article 4 Enterprises are endowed with fixed funds and are equipped with their own circulating means necessary to carry out their activity. Fixed funds cannot be alienated, mortgaged or pledged and cannot be traced under any title and on any path. Fixed funds become available, in a state of operation or used, transfer, capitalize or liquidate, as the case may be, according to the law. The endowment with circulating means is made by ministries, other central bodies of the state administration or executive committees of the county folk councils and the city of Bucharest, as well as by the plants for the component units, as the case may be, from the funds entered in the state budget, with the opinion of the Ministry of Finance and the local Raw materials, materials, fuels and other such goods intended for the production process, in so far as they exceed the needs of the holding units, may be transmitted with payment under the law. The finished products shall be based on economic contracts or other conditions provided by law. Only the funds of the company can be traced for the claims. The increases in circulating means from one year to the next shall be covered during the period of the plan by bank loans, repayable from the resources provided for this purpose. The circulating means shall be used within the framework of the total approved by the branches of activity. The availability of money funds that occur during the execution of the plan to some elements of the normative means can be used to cover additional temporary needs to other elements. + Article 5 Enterprises subordinated to ministries, other central bodies of the state administration and popular councils have direct budget relations. The companies within the plants carry out the budgetary relations through the plant they belong to; they directly carry out the peaks representing the tax on the movement of goods and other income due to the state budget. + Article 6 The benefits approved by the financial plan of enterprises are distributed, according to the law, for: financial needs regarding production and investments; payments to the state budget or at the disposal of the plant, depending on the subordination the company; the establishment of the prize pool as well as the funds for other legal destinations. The benefits obtained over the remaining plan after covering their own financial needs, according to the law, are distributed according to the subordination of enterprises, to the state budget or to the plant. + Article 7 The company shall provide the following funds to the law: -the fund for the making of upgrades, improvements in production technology, as well as for capital repair works, outside those planned to be executed from production or circulation expenses, within the limit of a quota of up to 25 years % of the depreciation of fixed funds used after the expiry of the normal service life; -the new technique fund; -the prize pool for awarding annual prizes, prizes for the economy of raw materials, materials and labor, for exceeding export tasks and reducing imports, as well as prizes for outstanding achievements during the year; -the fund for carrying out social investment works: housing, nurseries, hostels, canteens, dispensaries, sports facilities and the like, from the benefits over the plan of the previous year, within the quotas established by the annual plans; for The fund shall be established at the level of the plant; -the labor protection fund; -other funds provided by the legal provisions. + Article 8 The company shall benefit from funds allocated by the body to which it is subordinated, from those which are centralised at its level. Tasks + Article 9 In the field of planning and control of the plan tasks, the company has the following main tasks, bearing the responsibility for their performance: a) elaborates the five-year plan and the annual plans for its entire activity, ensuring the maximum use of all production capacities and the other resources at its disposal, taking into account the possibilities for the insurance of the materials the necessary premiums and materials, as well as the disposal of products made both on the internal market and on export; the plan thus elaborated correlates with the provisions of the state plan for the development of branches and the national economy as a whole, by the higher hierarchical body, approving its collective management; develop forecasting studies on development in perspective; b) ensure cooperative relations with other socialist units; c) pursues the rhythmic and full performance of the plan and reports periodically to the organ to which it is subordinated to its realization; d) organize the production capacities, analyze the use and take measures to increase their use. + Article 10 In the field of research and development, the company has the following main tasks, bearing the responsibility for their fulfilment: A. Research and design a) develop their own research and design plan, as well as the technical plan; make proposals for the research topics to be contained in the state plan; b) develops studies, researches, documentation and projects for the development of products, development and modernization of machinery, retooling, expansion of production capacities, improvement of technological processes, introduction of methods and processes us, the introduction of new materials into manufacturing, the replacement of deficient materials; it takes measures to apply them; c) apply in production and follow the result of the valorisation of studies and scientific research of their own and of those received from the higher hierarchical d) organize the research laboratory and collaborate with research units and higher education institutions for the realization of their own research topics; e) organize the investment-innovation activity, ensure the registration and protection of the patented technical solutions realized within the unit; develop draft standards, internal norms, prospectuses and instructions for use for products that enter its nomenclature; f) provides information, documentation and technical-scientific propaganda. B. Investments and construction a) develop the investment and financing plan and credit them; b) ensure in the term the technical-economic documentation necessary for the realization of investments; c) establish the technical and economic indicators for investments, within the limits of the competences granted d) conclude contracts for the execution of investment works; ensure for the works to which the enterprise is the beneficiary of the sites and the opening of the financing, in order to start the works and to carry out according to the charts; organize the execution of works in their own direction; e) conclude contracts and draw up, in collaboration with suppliers, graphics for the delivery of machinery, correlated with the schedule of investment staggered and with the deadlines for commissioning of capacities; f) pursues the implementation of own resources for investment financing g) pursues the achievement of investment objectives and responds to the timely commissioning of new capacities and the full realization of approved technical-economic indicators; organizes and approves the reception of investment works, whose technical-economic indicators fall within its approval competence. C. Organization of production and work a) ensure the scientific organization of the management activity, take measures for the introduction of modern methods in this field, in which the purpose carries out studies on the improvement of the organizational structure, the rationalization of the system information and gradual introduction of calculation methods, development and improvement of organization and functioning regulations; b) take measures for the scientific organization of production, develop studies on the organization of production processes, auxiliary activities, improve the manufacturing methods and ensure their expansion and generalization; c) ensure continuous improvement of the organization and work of the labor and develop normative and norms specific to its field of activity; d) elaborates the work plan and takes measures to fulfill it, ensuring the application of the scientifically substantiated norms to all the activities and categories of personnel and sets out measures to raise their qualitative level; e) sets out the programme of measures to carry out the planned task of increasing labour productivity and ensures its application for the efficient use of the resources at its disposal. + Article 11 In the field of production, the company has the following main tasks, bearing the responsibility for their fulfilment a) organize and respond to the performance of the production plan under conditions of high efficiency, through the complete use of production capacities, rational use of labor, working time and material values; b) develop the documentation of technical preparation of production; develop consumer norms for raw materials, materials, fuels and energy, falling within the mandatory norms established on the economy; ensure the application of modern methods of preparation-programming-launch and tracking of production; c) ensure the rhythmic realization of production d) establish the works of small mechanization, ensure their documentation and realization; e) establishes measures for the realization of top quality products, organizes technical quality control on manufacturing phases, provides technical documentation for the realization of new products and modernization of existing ones; f) ensures the reduction of specific consumption, the optimization of stocks of material values, the reduction of non-economic expenses from its own activity and the increase of the profitability g) ensures the operation, rational use, maintenance, repair and modernization of the means of production; h) provides energy, water and steam supply for the needs of the enterprise and takes measures for the rational use of thermal energy installations and efficient use of fuel and energy; i) ensure the application of the rules of protection and hygiene of work in order to prevent accidents at work and occupational illnesses, fire safety standards, as well as the necessary additional measures in relation to the specific conditions in unit; prepares the program of work protection works and ensures its fulfillment; ensures the application of measures to prevent and combat environmental pollution. + Article 12 In the commercial field, the company has the following main tasks, bearing the responsibility for their performance: A. Technical-material supply a) develop the needs of products to supply and conclude long-term, annual or shorter economic contracts, follow and respond to their achievement; take measures to comply with approved consumer norms; b) responds to the supply of raw materials, materials, fuel and energy in order to ensure a rhythmic production output; c) proposes to the body which is subordinated the foreign exchange funds necessary for imports and elaborates the technical sheets for the departmental import; d) develop proposals for stock rules for raw materials, materials, fuels; take measures to prevent the formation of overgrown stocks; e) carry out the reception and ensure the storage, preservation and transport of raw materials, materials, semi-finished products and products. B. Undoing a) participate in the prospecting of the market in order to know the consumption needs for the products in the activity profile; b) conclude long-term, annual or shorter economic contracts for the disposal of its products and provide the necessary order portfolio; carry out the export tasks given by the plant or ministry, as the case may be; c) ensures advertising and presentation of products; elaborates and disseminates commercial catalogues; d) exercise the powers of the law-according to the law-as coordinator of balances; e) participate in exhibitions, practical demonstrations and fairs in the country and abroad for the products they carry out; f) organizes the monitoring of installations and equipment in operation, as well as the "service" activity according to the contractual clauses; g) ensures the resolution of complaints regarding the quality and quantity of production, packaging, delivery time or other conditions provided for in domestic and foreign economic contracts. + Article 13 In the financial-accounting field, the company has the following main tasks, bearing the responsibility for their fulfillment: a) develop the five-year financial plan and the annual financial plans, on the basis of their own analyses and studies, as well as the guidelines received from the body to which it is subordinated; after approval, ensure that the financial plan is fulfilled b) ensure that the state budget or the higher hierarchical organ, as the case may be, are carried out at the deadline and in the established amount; c) develop proposals for the projects of the loan plan and the house; for additional needs may request, credits to the bank unit to which it has an account; d) conducts studies and analyses on the efficiency of production funds, the evolution of money accumulations, the structure of material expenditures, stocks of material values and other financial indicators; e) makes the inventory of patrimonial assets and taking into account the established measures, according to the law; f) organizes and exercises preventive financial control and the management of the fund manager on the management of material and money means; g) establishes, with the agreement of the beneficiary, prices and tariffs on products and services within the competence of the enterprise, as well as additions or bonuses under the law; h) establishes the normative of the circulating means and takes measures to accelerate their rotational speed; follows the situation of stocks of material values and takes measures to fit the total normative of the circulating means; i) organizes and leads the accounting; draws up the balance sheet and the situation of the main economic and financial indicators; j) establishes, according to the law, the passage on the expense of production of material value deprivation found on inventory above legal norms, in cases where they are not due to someone's fault, as well as the decrease in accounting of any other damage. + Article 14 In the field of personnel activities, the company has the following main tasks, bearing the responsibility for their performance: a) organize the professional orientation, selection, classification and promotion of the personnel according to the requirements established for each job; ensure the bookkeeping of the staff; take measures for the application of objective criteria of annual appreciation of staff for the purpose of their distribution and use; b) establishes the needs of frames in perspective, on specialties; c) prepares its own staff training plan with and without participation in production; organizes the training of staff through qualification courses, vocational schools, apprenticeship at work, schools of foremen and others, based on the plan of tuition and within the limits of the funds allocated through the plan; in collaboration with educational institutions, organize and follow the practice in the production of students and students; d) organize the improvement of the training of personnel through training at work, courses organized in the unit, individual study, internships or other forms that take place outside the unit, both in the technological field and in problems of management and organization; e) provides the material basis, the endowment of the school units and the necessary specialized teachers; h) ensures the application of the general principles regarding the remuneration of work and the improvement of the forms of material stimulation of the staff, both in terms of the more detailed binding of their retribution to the results obtained by each individual, as well as by the overall results obtained; g) take measures to organize the defense activity of the state secret; h) take measures to improve working conditions and rational use of the workforce; i) ensure the performance of their tasks, according to the law, for the establishment of canteens, nurseries, kindergartens, social groups, for the creation of accommodation conditions, the resolution of medical assistance problems, as well as the necessary material basis cultural-sports actions. + Article 15 The companies in the power plants exercise entirely the tasks in the field of production, as well as in part the tasks corresponding to the other areas that are not economically justified to be carried out in a centralised manner. Tasks such as research, design, investment, supply and disposal, the preparation and improvement of cadres in specially constituted units shall be exercised, as a rule, centrally, by the plants for the benefit of the subordinate undertakings. The plant shall establish for each undertaking in its composition, on the basis of economic criteria, taking into account the specific factors of influence, the limits within which the tasks set out in Chapter I for undertakings shall be exercised by them and respectively the tasks that are carried out centrally at the plant level. + Chapter 2 Organisation and operation of plants + Article 16 The plant is an autonomous economic unit of production, comprising several enterprises, factories, plants, farms, construction-assembly sites, wards and other production units; it may also have research units, design, foreign trade, supply, sale, automatic processing of data, preparation and improvement of frameworks, service supplies or other units necessary for the performance of its tasks; the plant directly ensures the management subordinate undertakings and other units of its composition. The plant is usually constituted on the structure of a large enterprise; the grouping of units in plants is mainly based, on the basis of the criterion of homogeneity of products and manufacturing technologies, of cooperation, of integration on the basis of products finished or depending on the territorial location of the component units. + Article 17 Industrial plants or other units assimilated to them-combined, trusts, groups of undertakings, factories or plants-, referred to in this Central Law, shall be organised and operated on the principle of economic management. + Article 18 The plants have legal personality, which they bring down from the date of their registration to the Ministry of Finance or, in the case of those of local subordination, to the county financial bodies and the city of Bucharest. The plants are planned for the indicators assigned to them by the ministries, the other central bodies of the state administration and the county and county councils of Bucharest and respond to them and the economic and financial situation of the whole activity. They take stock, take into account the bank, benefit from bank loans, have economic and financial relations with other units, as well as with foreign beneficiaries and suppliers. + Article 19 The plants are subordinated to ministries, other central bodies of the state administration or county folk councils and the city of Bucharest. The plants shall be established, abolished or reorganized by merger, absorption, total or partial division, by decision of the Council of Ministers. The act establishing the plant establishes the name, the object of the activity and the main office. + Article 20 The plants are endowed with fixed funds and are equipped with their own circulating means, necessary to carry out the activity at their level. Art. 4 of the present law on fixed funds and circulating means shall also apply to plants. + Article 21 The plants have direct budget relations. + Article 22 The benefits approved by the financial plans of the plants are distributed, according to the law, to cover some financial needs of the units in subordination, financing of centralized investments, payments to the budget, constitution of the fund for non-centralised investment and reserve fund as well as other legal destinations. The benefits over the plan taken from subordinate enterprises are distributed for the establishment of the social investment fund or for other legal destinations, and the difference is paid to the state budget, under the conditions provided by law. + Article 23 The plant is at its disposal, according to the law, the fund to finance investments centralized by procurement from subordinated enterprises and other component units of: depreciation fund, benefits and other resources intended investments. + Article 24 The plant is at its disposal a fund for non-centralised investments fuelled by: a) benefits, in annual allowances differentiated according to the level of profitability planned for the basic activity established annually by the state budget; b) depreciation related to fixed funds whose normal duration of service has expired, in the annual rate of up to 15 percent. The fund referred to in the preceding paragraphs shall be used -uncentrally productive investments of great urgency, such as those designed to modernize existing machinery and installations, purchase of measuring and control devices, improvement of production technology, elimination of narrow places, Completion of equipment in existing premises, improvement of working conditions, design and development of commercial premises and warehouses, development of service stations; -social-cultural investments, including housing construction; -repayment of the outstanding rates from loans granted for the unconstitution of resources for financing investments at the planned level, as well as those from loans granted for centralized investments registered in the state plan, by the end of the year of the resources provided for this purpose; -other destinations established by legal provisions. The remaining unused amounts shall be carried over the following year and shall be used with the same destination. + Article 25 The plant constitutes at its disposal a fund for the making of upgrades, improvements in production technology, as well as for capital repair works outside those planned to be executed from production or circulation expenses, in the limit of a quota up to 25 percent of the depreciation related to fixed funds used after the expiry of the normal service life, to other component units than subordinated enterprises. + Article 26 The plant constitutes from the planned benefits a reserve fund that is determined by applying an annual rate of 1 percent to the value of its own circulating means. The reserve fund is used for: temporary coverage of urgent financial needs; coverage of representation and protocol expenses; repayment of credits for increases of circulating means, in case of non-realization of the benefit plan of non-imputable causes; coverage of possible losses of own funds; repayment of outstanding rates from loans granted for the unconstituent of resources intended to finance investments at planned level, as well as those of loans granted for centralised investments entered in the State plan defaulted to the end of the year from the resources provided for this purpose The reserve fund not used by the plant during one year shall be carried over to the following year. + Article 27 In order to achieve the development plan of the new technique, the plant constitutes, according to the law, the fund for new technique + Article 28 The plant may, under the law, constitute a reserve within the foreign exchange funds allocated for the satisfaction of urgent import needs. + Article 29 To stimulate staff in achieving and overcoming plan tasks, the plant can, according to the law, grant annual awards, prizes for savings of raw materials, materials and labor, prizes for exceeding export duties and reducing imports, as well as prizes for outstanding achievements during the year. It can also be constituted, at the disposal of the management of the plant, an award fund from the planned benefits, within the limit of a quota of 0.05 percent calculated at the annual planned salary fund on the total plant; from this fund can be granted awards during the year of the staff who have obtained outstanding results; the general manager and the directors on functions in the plant can be awarded with the approval of the superior hierarchical organ. + Article 30 From the benefits above the plan of the previous year, the plant can take a quota for carrying out social investment works-housing, nurseries, hostels, canteens, dispensaries and similar ones-, under the conditions provided for in the annual plans. Tasks + Article 31 In the field of planning and controlling the performance of the plan tasks, the plant has the following main tasks, bearing the responsibility for their fulfillment a) elaborates the five-year plan and the annual plans in order to ensure the economy with the products and benefits that enter its activity profile; for this purpose it analyzes the technical and economic potential of the subordinate enterprises and the other component units, solutions to increase the efficiency of production, investment, export, increase labor productivity and rational use of labor, as well as other elements that define quantitative and qualitative sides of the whole economic activity to which the plan is concerned; the plan thus elaborated correlates with the provisions of the state plan for the development of branches and the national economy as a whole, by the superior hierarchical body, approving its collective management; it carries out after the approval of the state plan, own plan on the component units; b) develop forecasting studies on the development in perspective of the plant's activity; c) pursues the rhythmic and integral realization of the plan on the whole of the plant and on each subordinate enterprise; takes measures to comply with the plan discipline and to solve the operative problems that arise during the execution of the plan; d) constitute a plan reserve to the salary fund of up to 1.5 percent of the total salary fund approved on the plant; for seasonal and construction-assembly activities the reserve may be up to 2 percent of the approved salary fund Quarterly. The plan and the number of personnel shall be provided accordingly; e) modify, on the whole of the plant, the quarterly instalment of labor and salary indicators, established by the body to which it is subordinated, by up to 2 percent of the salary fund approved for that quarter, in compliance with the indicators of work and salaries planned for the whole year; f) organizes the record of production capacities on the plant, subordinate enterprises and other component units, controls the use and takes measures to increase their use. + Article 32 In the field of research-development, the plant has the following main tasks, bearing the responsibility for their fulfillment; A. Research and design a) develop the research and valorisation plan of the concluded research, as well as the design plan and the technical plan and ensure their implementation; make proposals for the research topics to be contained in the state plan; b) develop studies for the development of the plant as a whole, of the subordinate enterprises and of the other component units, in order to specialize them, the concentration of production and the typing of products and subassemblies; on the development directions and the profile of the subordinated undertakings and the component units developed by them; c) ensure the technical-scientific cooperation with establishments abroad and conclude conventions with them, within the limits of the established competences; d) organize and guide the design activity, take measures for the use of type-projectiles, directives and reusable; e) organize the research activity both for their own needs and-on the basis of contracts-for other units, for new products and technological processes; f) prepares the comparative study of offers for complex imports and proposes its option; g) elaborates or, as the case may be, organizes the elaboration of studies for the assimilation of new products from the plant profile, as well as for the modernization and raising of the technical-qualitative level of the products; newly assimilated; h) organizes the elaboration of studies on the improvement of technologies, while improving the working conditions, for the introduction into manufacturing of new high quality materials and with increased efficiency, replacement of materials deficits; ensures the introduction and expansion of new and high productivity technological processes; takes measures to expand the mechanization and automation of production, modernize machinery and installations, introduce mechanized means and automated calculation; i) sets out the thematic investment-innovation plan; ensures the necessary measures for the identification and registration of the patented technical solutions carried out within the subordinate undertakings and the other components; the protection, realization and generalization of inventions, is concerned with the patenting and valorization abroad of inventions; presents proposals to the ministry for the purchase of licenses that exceed its component; j) ensure information, documentation and technical-scientific propaganda; k) establishes measures for the development of the material basis of own scientific research B. Inventions and constructions a) develop the investment plan on the plant, based on own studies and proposals of subordinate enterprises and other component units; develop on the basis of their proposals, the financing and lending plan of investments; b) nominate investments that are financed from centralized funds or from bank loans approved in global positions and determine the volume of non-centralized investments that are financed from the funds left at his disposal; carry out with the agreement of the manufacturer transfers between the investments it has the right to nominate in the plan; c) ensure the development through own or third-party design organizations of technical-economic documentation for investments; aims at the production of new objectives to be carried out mainly with raw materials and materials from the country; the location of the production units having regard to the existence of the labor force, the reduction of transport, the use of the units in the area; d) establishes, according to the law, technical-economic indicators and technical-economic documentation for investments from state funds-centralized and non-entralized investments-within the limits of its competences; e) conclude contracts with construction units for the execution of investment works or may empower the component units to conclude these contracts; organize, where economically justified, the execution of works in their own direction; f) establishes, in collaboration with suppliers, graphics for the delivery of machinery and installations specifying the mutual obligations regarding: the deadlines for issuing orders, teaching technical documentation, as well as the conditions of execution of machinery and installations, linking their delivery times with the investment schedule schedules and the time-limits for the commissioning of the capacities; g) pursues the realization of resources for the financing of investments, in which purpose it takes measures to establish, according to the plan, the funds that are carried out on account of the payments in amortisation, the benefits realized and other sources; h) apportion the investment funds available to it in the following order; -for the commissioning of the capacities and objectives to be put into operation in the plan year; -for the realization of the physical stages established by graphs to the following objectives and to the new ones; i) organize the reception of investment works, approve the final reception of the investment objectives whose technical-economic indicators fall within its competence; j) establishes with the agreement of the builders, the transfers between enterprises, of centralized investments provided in global positions, in compliance with the approved commissioning capacities and deadlines, and for the investments that are made from bank loans and bank agreement. C. Organization of production and work a) take measures for the organization on a scientific basis of production for the purpose of rational use of production capacities, application of modern forms and methods of organization and programming of production in order to optimize the production processes, the use of rational systems for the movement of raw materials, materials and products; ensures continuous improvement of driving forms and methods, improvement of organizational structures and regulation of organization and operation, organize the right information system with the tasks and responsibilities return to each ranking step in the plant, subordinate undertakings and other component units; b) ensure continuous improvement of the organization and work of the labor by using appropriate forms of division and cooperation in work, rationalization of office work, rational organization of jobs, organization of shift work; adapt the general management methodology to the specificity of its activity, with the agreement of the union of branch unions; c) elaborates, on the basis of proposals of subordinate enterprises and other component units and its own analyses, the technical work plan of work and takes measures to fulfill it; ensures the application of scientifically substantiated norms to all personnel activities and categories; controls their application and sets out measures to raise their qualitative level; d) seeks to capitalize on own studies and those developed by subordinate enterprises and other component units, by applying, expanding and generalizing them; elaborates, on their basis, synthetic calculations on the possibilities increasing production, increasing labour productivity and achieving benefits over the plan; e) provide specialized assistance to subordinate enterprises and other component units in the problems specific to the organization of management, production and labor; f) aims and projects of new investments to be developed on the basis of techniques and methods of scientific organization of production and work, in order to achieve an increased efficiency; g) organize the documentation and information in matters of organization of management, production and labor. + Article 33 In the field of production, the plant has the following main tasks, bearing the responsibility for their fulfillment a) develop the production technology preparation documentation for typified technological processes, as well as the manufacturing programs for the subordinate enterprises and the other component units for which these activities are executed centralised; b) elaborates the norms and norms of consumption that are approved by the state and departmental plan, for raw materials, materials, fuels, energy; establishes such norms and normative for other raw materials and materials in order to technical-economic foundation of productive consumption; it is concerned with the continuous reduction of the specific consumption of raw materials, materials, fuels, energy; c) organizes and pursues the application of modern methods of preparation-programming-launching and tracking of production in order to fully use production and workforce capacities; d) establish the cooperation plan between the subordinate undertakings and the other component units; pursue and take measures to fulfil it; ensure cooperation relations with other plants; e) organize and control the operation, maintenance and repair of machinery, measuring and control devices and production of SDVs and spare parts for their own machinery, metrology activity, as well as other auxiliary production or performance activities, which ensure the servicing of subordinate undertakings and other component units; f) organizes and directs the conduct of quality technical control activity; g) establish and take the necessary measures to prevent accidents at work and occupational illnesses, taking into account the specific conditions; ensure the application of measures to prevent and combat environmental pollution. + Article 34 In the commercial field, the plant has the following main tasks, bearing the responsibility for their fulfillment: A. Technical-material supply a) is responsible for ensuring the material base of the component units, respecting the provisions of the state plan, contractual discipline and other legal regulations; b) ensures the rhythmic supply of raw materials, materials, fuels and energy; establishes the nomenclature of products whose supply is ensured by the plant, elaborates the needs for these products, concludes economic contracts of the long term, annual or for smaller periods, pursues and ensures their achievement, as well as of the products to which the subordinate undertakings and the other component units carry out the contracts concluded by the plant; c) establish relations, conclude contracts with foreign suppliers and aim to deliver deliveries; carry out, according to the law, complex imports directly or through relations with other importing organizations; d) ensure the judicious use of raw materials and deficient materials in the country and from import, the expansion of the use in consumption of substitute indigenous materials, the recovery of waste, the recovery of reusable packaging; e) ensure the fair sizing of stocks, taking measures to establish stock rules for raw materials, materials, fuels, energy; take measures to prevent the formation of overgrown stocks and to liquidate those already formats; approves the stock rules that are in its competence; ensures redistribution between subordinate enterprises and other component units, as well as other units of available stocks, for their reintroduction into the economic circuit; f) proposes to the higher hierarchical body the foreign exchange funds necessary for imports and after approval takes measures to achieve imports in strict accordance with the objective needs of subordinate enterprises and other component units; develop the technical sheets for departmental import and ensure the timely contracting and delivery of the products from import or follow the contracting for the products that are contracted by the importing companies; the subordinate undertakings and the other component units with the products of import; g) pursues the way in which the subordinate enterprises and the other component units conclude the contracts and carry out the technical-material supply, for the products left in their competence; h) organizes, as the case may be, own supply deposits. B. Undoing a) organize the prospecting of internal and external markets in order to know the consumption needs; establish direct relations with the beneficiaries for the establishment of the order portfolio and the determination of other elements economic; b) prepare balances for annual and prospective plans for the products to which it is coordinator, with the obligation to ensure the coverage of the justified needs of the economy, using for this purpose both own resources and others suppliers, regardless of their subordination, as well as those from import; collaborate with other plants and supplier and beneficiary units and their hierarchical organs when establishing the most effective balancing solutions of the balance of materials; ensure full and maximum capacity utilisation of production, assimilation of new products, judicious sizing of stocks, framing of consumptions in established norms and norms, extension of the use of substitutes and raw materials and materials in the country, taking or proposing measures for the intensification of their manufacture; enroll in balances appropriate plan reserves for the purpose of the rhythmic conduct of the production process and the implementation of the plan tasks and have their use according to their respective competences; optimising the transport of raw materials and table materials c) draw up the plan for the products intended for export and determine the goods delivered in the framework of the export value for "other products"; d) determine the nomenclature of the products for which the plant concludes contracts as supplier, including products for which the subordinate undertakings and the other component units carry out the contracts concluded by the plant, and the nomenclature of products that are contracted and unfolded by units through direct relations with beneficiaries; conclude contracts with internal and external beneficiaries aiming at the realization of deliveries in the term; e) develop together with the other producers and disseminate trade catalogues comprising the products for which the balance of balances is assigned, as well as other products made by the subordinate undertakings and the other component units, with the indication of all the elements necessary to establish contractual relations; review and improve annually the elaborated catalogues; f) organize and, as the case may be, participate in fairs, exhibitions, practical demonstrations for the products to which it is coordinator or which is carried out by the subordinate enterprises and the other component units; the qualitative characteristics and areas of use of the products; take any measures for the wide dissemination of the products in their profile; g) performs, from the commission of the body to which it is subordinated, the role of general supplier for supplies of complex installations; h) contracts with the Romanian Foreign Trade Bank for obtaining credits in foreign currency; i) organize, as the case may be, outlets and own stores of presentation and sale in the country and abroad, service "-uri, as well as sales in consignment; j) carry out the export and import of products through specialized compartments, own foreign trade enterprises or other units with foreign trade activity; k) may participate or may have, under the law, the following forms of representation abroad; permanent or temporary trade representatives; technical-commercial offices; joint trading companies; local representatives-persons physical or legal; other forms of trade representation; l) approve for subordinate enterprises and other component units, transport plans with their own means; m) pursues the proper use of means of transport and takes measures to avoid non-economic transport; n) ensure the resolution of complaints regarding quality, quantity, packaging, delivery times or other conditions provided for in domestic and foreign contracts, bearing the damage that comes from the fault of the plant. + Article 35 The plant ensures cooperation in production with companies and organizations abroad, within the limits of their powers; can initiate, treat and conclude actions and cooperation contracts on: export of long-term products, cooperation in production and in commercial activity, the realization of complex imports through cooperation, procurement of raw materials deficient through product deliveries, obtaining licenses, technologies, instructions for manufacturing, operation and operation of installations, as well as technical assistance; penetration into new markets, both as main supplier and as sub-supplier, under the terms of the Law on foreign trade activity, economic and technical-scientific cooperation *. * * See p. 173 173 of this volume. + Article 36 In the central financial sector, the central accounting officer has the following main tasks, bearing the responsibility for their performance; a) develop the financial plan and ensure the mobilisation of all reserves and the efficient use of financial resources made available; b) establishes for subordinate enterprises and other component units, by necessity, financial indicators-annuals and by quarters-within the limits of the indicators communicated by the organ to which it is subordinated; planned on legal destinations; prepares the communication of payments from the benefits; c) adapt, during the execution, financial plans as a result of the modification of economic indicators, according to the regulations in force; d) develop indications for the application in subordinate enterprises and other component units, according to the specificity of their activity, of the methodology and formulations of financial planning; e) develop proposals for the projects of the loan plan and the house and assign to the subordinate enterprises and the other component units the approved ceilings; for possible additional needs of funds that arise during the quarter, may require credit to the bank units to which it takes account; f) analyze the causes that led to the exceeding of the planned funds to the subordinated enterprises and the other component units, which use restrictive credits, and take measures to ensure in short time their classification in the funds planned; g) carry out studies and analyses on the efficiency of production funds, the evolution of money accumulations, the structure of material expenditures, stocks of material values and other financial indicators; h) takes measures to carry out the periodic recalculation of the norms of circulating means, aiming to accelerate their rotation speed by improving the technical-material supply, production programs and sales activity; pursues the situation of stocks of material values and takes measures for the classification of subordinate undertakings and other component units in the total normative of the circulating means, for the liquidation of slow-moving supranormative stocks and without movement, as well as to prevent their formation in the future; f) ensures the fulfilment of the financial plan on the whole of the plant, subordinated enterprises and other component units, aiming at the realization of money accumulations and financial obligations to the state, increasing profitability and using efficiency of material and money means, as well as compliance with financial discipline; j) analyze the foreign exchange plan proposals for services and non-commercial operations received from subordinated enterprises and other component units and prepare the draft of the plant's currency plan; k) constitute the commissions for the verification and analysis of the annual balance sheet of enterprises; verify and centralize the accounting balance sheets and the situation of the main economic and financial indicators components; compiles accounting accounts for the entire activity of the plant, which it submits to the competent bodies; l) establishes, according to the law, the passage on the expense of production of material value deprivation found on inventory above legal norms, in cases where they are not due to someone's fault, as well as the decrease in accounting of any other damage; m) establishes deadlines for the making of patrimonial inventory at subordinate enterprises and other component units; examines and resolves the patrimonial disputes between subordinate enterprises, sending arbitrary bodies only those disputes exceeding its competence; it shall settle disputes of a value less than 1000 lei if the subordinated undertakings are debtors; n) establishes, according to the law, differentiated deadlines for the presentation of the balance sheets and situations of the main economic and financial indicators for subordinate enterprises and the other component units according to the specificity of each; o) organize preventive financial control under the law; organize and exercise the substantive management control over the material and money means to the subordinate enterprises and the other component units; p) establishes and changes prices and tariffs, as well as bonuses and additions, according to legal provisions and competences; controls and responds to the way of pricing and tariffs, as well as the consistency between the quality of the products and established prices; r) redistributes the fixed funds available to the subordinated enterprises and the other component units within the framework of the granted + Article 37 In the field of personnel activities, the plant has the following main tasks, bearing the responsibility for their fulfillment: a) organize the application of scientific criteria regarding the selection, preparation, framing and promotion of personnel; b) establish the needs of personnel in perspective, on specialties, taking into account the specificity, requirements and development of the coordinated sector; c) prepare the staff training plan through short-term courses, the staff training plan without participation in production, for subordinate enterprises and the other component units, on the basis of proposals received from they approve the proposed courses to be organized with participation in production; d) develop the plan to improve the training of personnel according to the rapid development of technical progress and the requirements of the management and scientific organization of production and work; organize and follow the practice in the production of students and students, in collaboration with educational institutions; e) organize the training of staff through qualification courses, vocational schools, apprenticeships at work, schools of foremen and others, based on the tuition plan and within the funds allocated through the plan; organizes, according to the law, improvement of personnel in the field of activity of the plant and in matters of management and organization; f) provides the material basis, the endowment of the school units and the necessary specialized teachers; g) ensures the application of the general principles regarding the remuneration of work and the improvement of the forms of material stimulation of the staff both in terms of the more tight binding of their retribution to the results obtained by each individual, as well as by the overall results obtained within them; h) take measures to organize the defense activity of the state secret by the personnel of the plants, subordinate enterprises and component units; i) take measures to improve working conditions and rational use of the workforce; organize and aim at the realization of social actions on the whole of the plant regarding the establishment of canteens, nurseries, kindergartens, accommodation, solving the problems of healthcare, as well as providing the necessary materials for the cultural-sports actions. + Article 38 Within the plants can operate, apart from enterprises, components with economic management without legal personality-factories, plants, farms, sections, construction sites, workshops, warehouses and similar ones. They may have operative independence, under-account at the bank, benefit from bank loans, enter into contracts by proxy of representation and may have economic and financial relations, by delegation, within the limits of the powers established by the power plant. These units shall exercise a part of the tasks provided for in Chapter I of undertakings established by the power plant to which they are subordinated, depending on the size, location and specific conditions of production. The plant exercises for these units a part of the tasks, so that they create conditions to focus on the quantitative, qualitative and maximum efficiency of the production; the plant responds to the totality the activities it exercises centrally for the subordinate undertakings and the other component units. + Article 39 The component units referred to in the preceding Article shall be established as follows: -factories, plants, holdings and others that have organization similar to that of the enterprises referred to in art. 1, by order of the Minister, on the basis of the decision of the Ministry's College, respectively by the decision of the -sections, yards, workshops, warehouses and other similar units, by decision of the council of working people of the plant. The act of establishment establishes the name, the object of the activity and their headquarters. The abolition of these units, the reorganization or modification of the name, the object of the activity or the headquarters is made by the body that established them. + Article 40 The plants endow, as the case may be, the establishment, the units provided in 38 with fixed funds and can equip them with circulating means necessary to carry out the activity, with the opinion of the Ministry of Finance, establishing their use. + Article 41 The award system in benefits, provided by the regulations in force, may apply to the units provided in art. 38 independently of the results of the whole of the plant to which they belong, in the situation in which the results of their own economic activity are pursued and + Chapter 3 Leadership of socialist units + Section 1 Common provisions + Article 42 The labor collective of each state socialist unit bears the responsibility for the management of the entrusted patrimony and for the economic results obtained by the unit. In its capacity as a participant in the administration of the national wealth, each working man responds to the collective for the performance of his own work tasks and, together with the entire collective, for the smooth running of the general activity of the unit. The leadership of the state socialist units is carried out on the basis of the principle of collective leadership, through the direct participation of working people in the debate and resolution of the problems of the economic and social activity of the unit, carrying out the necessary measures to carry out the tasks of the plan, to improve the working and living conditions of the whole collective. The bodies through which the collective leadership of the state socialist units are exercised are: the committees of working people for the management of economic and social activity, the councils of working people for the management of economic and social activity named in this law the committees of working people and the councils of working people, as well as the general assemblies of working people. The committees and councils of working people are made up of staff with positions of responsibility, experienced specialists, elected representatives of working people. In the units where working people work from among the conhabiting nationalities, from committees and councils will be part and people of work belonging to these nationalities. The Constitution of the Socialist Republic of Romania enshrines the role of the Romanian Communist Party by the ruling political force of all Each party organization in its sphere of activity exercises the political leadership of economic and social life, pursues and controls in good conditions the tasks arising from the economic and social development programs developed by party. The secretaries of party organizations are part of the committees of working people. + Article 43 The committees of the working people are organized at the enterprises and at the component units of the plants, established by them. Labour councils are organised at the centre. The chairman of the working men's committee is the director or head of the respective unit, and of the council of working people, the director-general of the plant; the appointment of the president's deputy chairman working people, on the proposal of the Director and the Director General. For the operative management of the activity of socialist units, the committees of working people from large and complex units can be collective of operative leadership, and the councils of working people constitute executive offices. The general assemblies of the working people are organized at enterprises and at the component units of the plants and at the plants. + Article 44 The collective management bodies shall be deliberative, carrying out their activity in the presence of at least two thirds of the members and shall adopt decisions with the vote of at least half plus one of the total number of members. In the event of divergence between the President and the majority of members, the issue of which an agreement has not been made shall, in the case of the committee and the council of the working people, be subject to the management of the body to which the establishment the operative management team and the executive office, the committee and the council of working people respectively to decide. + Article 45 Working sessions take place at least once a quarter at the council of working people, once a month at the labour and decadal people's committee at the executive office and the operative leadership collective. Also, these meetings may take place and whenever necessary at the initiative of the President or at the request of at least one third of the members. + Article 46 For the analysis of problems of great complexity or that interest the entire activity of the plant, enterprises and other component units, as well as for the elaboration of proposals to solve them and apply the proposals approved, collective management bodies may constitute working groups comprising specialists from or outside the respective unit; for specialists from other units the agreement of their management will be required. + Article 47 Delegates of the central bodies, banks, economic organizations and institutions interested in examining the issues raised may be invited to the meetings of the committee and the working people's council; also, depending on the specifics of the problems to be analyzed, specialists from the respective units, as well as from outside them, can be invited. + Article 48 The committees and councils of the working people have the obligation to present in front of the general meeting of the working people the balance of the activity of the unit, its financial economic situation, the tasks for the next period technical in order to achieve them. The committees and councils of the working people respond to the general meetings of the working people of how the plan tasks were carried out and the measures on ensuring the working conditions of the workers. + Article 49 Committees, boards of working people and operative collective management bodies shall be responsible for the activity of the respective units towards the collective management of the higher hierarchical organ; at the same time, each member shall be accountable to the management body collective of which it is part both for the performance of the tasks assigned to it, and for the entire activity of the unit. The committee and the council of working people respond to the general assembly of working people for the performance of their duties. + Section 2 Organisation and functioning of the labour committee + Article 50 The committee of the working people of the enterprise or the component unit of the plant comprises 9 to 25 members; their number shall be determined by the body to which the unit is subordinated according to the number of permanent personnel, according to Annex * to this Law; the establishment of the number of members will take into account the production volume, complexity and dispersal of the activity. Note * *) See p. 133 133 of this volume. The working people's committee includes: a) the director or head of the unit and the directors of the specialties or, as the case may be, the chief engineer and b) the head of quality technical control; c) heads of work compartments, leaders of the most important production departments, highly qualified specialists in the unit, as well as scientists. The members of the committee of the working men of these staff shall be appointed by the body to which the undertaking or the competent unit is subordinated, on the basis of the proposals of the general assembly of working people and with the to the head of the establishment concerned; the members of the committees of the working people outside the undertaking shall be appointed with the consent of the management d) three to eleven representatives of the working people elected every two years, among the workers, foremen and technical, economic, other specialized and administrative staff in the general meetings of the working people; their number shall be established within the limits set out in the Annex, in agreement with the unions of unions unions by the branch, by the body to which the undertaking or the component unit is subordinated; e) the secretary of the organization of the Romanian Communist Party of f) the chairman of the union committee as the rightful representative of the union's management in the respective unit, the delegate of the union committee to the units without any g) the secretary of the organization of the Union of Communist Youth + Article 51 At the meetings of the committee of working people will be attended by a representative of the council of working people of the plant to which the unit belongs or of the organ to which it is subordinated, depending on the specific problems to be analyzed. + Article 52 The committee of the working people of the company or the component unit of the plant shall have a) approve the five-year plan and annual plans; b) establish technical-organizational measures and periodically analyze their application in order to carry out the tasks of the plan, to mobilize the reserves in the unit and to capitalize on its economic potential; c) establish measures for the timely conclusion of economic contracts; d) approve the material balances for which he serves as coordinator; e) carry out, in justified cases, modifications of the annual production tasks in natural units to the assortments that make up the groups of products approved by the state plan, with the consent of the beneficiaries and subject to the annual total of the respective product groups, as well as of the value indicators set out in the plan and budget; f) establishes measures for the supply of raw materials and materials necessary before the start of the production process; g) analyze and take measures for the rhythmic fulfillment of the export-import plan, the realization of the obligations provided in the contracts, the observance of delivery deadlines and the lifting of the efficiency of the h) establish measures to improve the organization of production and work and ensure this activity a continuous and systematic character; adopt the program of studies specific to this field of activity; i) establishes the organizational structure elaborated on the basis of the general rules established on the branch or brine, as well as the organization and functioning regulations; construction-assembly based on the methodology in force; establishes measures to improve the information system and mechanization of data processing; j) approves the local labor norms and appoints the commissions approving the labor norms, with the agreement of the union body in the establishment; establishes the program for the elaboration and review of the norms and norms of work; k) approves the norms of consumption of raw materials, materials and fuels for activities to which departmental or republican norms are not drawn up; l) approve, within the limits established, according to the law, the technical-economic documentation and the purchase of machinery for the investments provided in the plan, as well as for the improvement works of the technique and technology, upgrades, retooling, developments; the purchase of machinery and inventory items in the category of fixed funds, which are globally included in the investment plan and do not appear within a general estimate; m) periodically analyzes and responds to how the fixed funds are exploited, maintained and repaired and takes measures to ensure their most rational use; n) analyze the evolution of money accumulations and profitability, structure of expenses and stocks of material values and take measures for the maximum efficiency of production funds; o) analyze how the management of material goods is carried out, establish measures to ensure the integrity of the patrimony of the respective unit and establish measures within the limits of legal competences, to recover damage obstesc; p) approve the balance sheet; approve the total volume of expenses that can be made on account of the cost price for advertising and advertising actions; r) ensures the taking of all measures for the knowledge and application of the laws and decisions of the party and the government; at the same time ensures the material conditions and supports the activity of raising the level of socialist consciousness attitudes towards work, defense and management of public wealth, citizen education of working people; s) organizes the recruitment, selection, classification, orientation and promotion of the personnel; it is responsible for the organization and the smooth conduct of the work of improving the professional training of the personnel; t) decides, under the law, the framing and dismissal of deputy chief engineers, deputy chief accountants and deputy directors, as well as heads of departments and service; u) approve, together with the union committee, the rules of interior order and take the necessary measures for the smooth conduct of the work of the committees; v) approve, together with the union committee, the draft collective agreement and periodically analyze the fulfilment of its provisions, the implementation of measures to protect labor, to combat environmental pollution; the housing space; w) periodically analyze the way in which the director and the operative management team bring to fruition the decisions of the committee of the working people; z) performs any other duties provided by law and tasks established by the body to which the unit is subordinated. + Article 53 The operative management collective consists of 3-7 members and is made up of the director or head of the unit, the directors on specialties or, as the case may be, the chief engineer, the chief accounting officer, as well as other leading staff and specialists from the the unit appointed by the labour force committee In the debate on the main issues regarding the performance of economic tasks, as well as those concerning rights and obligations of working people, the president of the union committee + Article 54 The operative management team shall have the following main tasks: a) organizes and pursues the performance of the plan tasks per unit, sections and sectors of activity; establishes measures for the full use of production capacities, rational use of labor and working time; b) modify-in justified cases-the annual and quarterly plan tasks of the sections and sectors of activity, in compliance with the level of indicators approved on total unit, per year and quarters, as well as the obligations resulting from contracts concluded; c) approve within the limits set by the labor committee -the execution of works of small mechanization and other works not included in the investment plan and which are carried out from bank loans; -the realization of investments in directing or antinnings that, according to the legal provisions, can be executed from own resources, left at the disposal of the unit, as well as those from the funds assigned for this purpose by the organ to which it is subordinated the enterprise and other component units; d) nominate the investment objectives within the volume established by the body to which the enterprise is subordinated, in global positions and financed by centralized funds or bank loans; e) approve the plan and nomination of capital repair works within the limit of the value plan established by the body to which the enterprise is subordinated; f) take measures for the proper application of labour protection rules, as well as to combat environmental pollution; g) establishes measures for the correct application of the labor and award remuneration system; establishes measures for the application and observance of labor law; h) approves the classification and dismissal of the driving staff that have not been provided for in art. 52 letter t, in consultation with the union committee; i) ensure, according to the legal provisions, conditions for the proper functioning of the canteens and the realization of social-cultural actions for the working people of the j) in the commercial units and those providing services for the population, analyze and adopt measures to improve the supply of the population, the realization of the plan of sale, the cash receipts plan, the reduction of the expenses of circulation, better use of the technical-material base, introduction of modern forms of service; k) reports to the committee of the working people on the way in which the decisions taken have been made; l) performs any other duties provided by law and duties established by the committee of the working people of the unit. + Article 55 The director of the enterprise, respectively the head of the component unit of the plant, provides the current leadership and brings to the realization the decisions of the committee of working people, the operative management collective, the general assembly of the tasks established by the body to which the establishment is subordinated; for this purpose: a) take the necessary measures, according to the legal provisions, to carry out the provisions of the plan, good organization of production, ensuring proper working conditions, preventing accidents and occupational illnesses, improving the activity of the b) ensure the application of the principle of collective labor in the work carried out by the labor people committee and the operative management team; c) adopt measures to improve manufacturing technologies, approve internal enterprise norms, organize quality technical control on manufacturing phases, ensure technical documentation for the realization of new products and modernization existing ones; d) analyze and establish measures for the rhythmic supply of production sections with raw materials, materials, fuel and energy; adopt measures to reduce the consumption of raw materials and materials, eliminate expenses unproductive, optimizing stocks of material values; The composition of the technical-scientific council, as well as its organization and functioning regulation, is approved by the council of working people + Article 60 The Labour Council has the following tasks: a) approve the five-year plan and the annual plans, breakdown of the plan indicators on the subordinated enterprises and the other component units and the necessary measures for their realization; approve the material balances for which the plant meets the function of coordinator, as well as the balances of the assortments that compose the products or groups of products to which the balances are approved by the Council of Ministers or by the management of the body to which the plant is subordinated; b) approve, for the subordinate enterprises and the other component units, the modification of the production tasks on assortments, determined by the justified requests of domestic consumption, as well as the fulfillment of export duties, without modification basic indicators set out in the plan and budget; c) approves the establishment and grading of sections, yards, workshops, warehouses and other similar units directly subordinated; approves, within the framework indicators established, the establishment of own research units with the consent of the body to which it is is the central subordinate; d) approve the measures of profiling of the component units; e) approve the study plan in the field of research and valorization of research, standardization, inventions and innovations; f) periodically analyze and respond to how the activity of knowledge, framing, promotion and improvement of the training of the staff is carried out; ensures the preparation of the necessary frameworks for the new objectives to be taken into operation; g) periodically debates the economic and financial activity and establishes measures to improve it, approves the economic and financial situation of subordinated enterprises; approves the total volume of expenses that can be made on the cost price for advertising and advertising actions; determine, on a case-by-case basis, the rights of the component units to have a settlement understatement at the bank; h) approves the establishment of the fund provided in 24, 25 and how to use it; approve the use on legal destinations of the reserve fund constituted; i) set limits of competence for the component units on receipts and payments; j) establishes the number of technical, economic, other specialized and administrative personnel for the apparatus of the plant, subordinate enterprises and other component units, within the limit of the work plan and approved salaries, based on the norms of work; k) approves the organizational structure of the plant on the basis of the general norms established according to the law; approves the organization and functioning regulations of the plant; interior; approves the classification of specific functions for subordinate units on the basis of the functions of functions established on the branch; l) decides, under the law, the classification and the dismissal of the director or the leader of the subordinate enterprises and the other component units. o) performs any other duties provided by law and tasks established by the body to which the plant is subordinated. + Article 61 The executive office consists of 5-9 members and is made up of the general manager, directors of the plant, other management staff and specialists within it appointed by the council of working people, as well as the representative of the union. + Article 62 The Executive Office shall: a) organize and monitor the performance of the plan tasks in the subordinate enterprises and the other component units b) approve the modification of production tasks in natural or natural units-conventional to the products and assortments nominated departmental, in case of waiver by the beneficiaries to the contracts concluded or for lack of orders at the level the established tasks, increasing the production to other assortments that have ensured the sale, in compliance with the production value tasks and the planned cash accumulations; d) appoints, according to the law, the commission for the reception of investment objectives; approves the commissioning and measures for the realization of technical-economic indicators to the investments in its approval competence; e) approve the transfer of fixed funds to other plants or undertakings within the same central body to which the plant is subordinated, within the limits of the powers laid down by it; f) analyze and take measures for the rhythmic fulfillment of the export-import plan, the realization of the obligations provided in the contracts, the observance of delivery deadlines and the lifting of the efficiency of the g) approve additional to the export plan, throughout the year, to products whose balance is not subject to the approval of the Council of Ministers; h) approve the transport plans with their own means for the component units, seek their appropriate use and take measures to avoid non-economic transport; i) approve prices and tariffs on products and services left in the competence of the plant, as well as additions or bonuses with the consent of the beneficiary, according to the legal regulations; j) approves in the case of proposals for inventions, innovations or rationalizations, according to the law, the employment of expenses for design, construction of prototypes and experimentation, as well as the restitution of the amounts used for these purposes to those who advanced them; k) approves the passage on account of the production expenses of the material value deprivation found on the inventory and the decrease in the accounting of other damage if it is not due to the fault of someone; l) approve the functions that are entitled to the settlement of transport expenses in the localities of residence; approve the classification of the personnel with domicile at distances of over 50 km; m) approves the consumer and stock norms of all materials and products within its competence; n) approve the norms and norms of unified work on the group of component units, with the consent of the corresponding union bodies; o) approve the number of specialist workers for subordinate enterprises and other component units, within the quota established by the body to which the plant is subordinated, based on the regulations in force; p) establishes the number of members of the committee of working people and, together with union trade unions, the number of representatives of working people for subordinate enterprises and other component units; approves on the basis of general of working people and in consultation with the director or head of the unit and appoint the members of the committee of working people among the staff referred to in art. 50, letter c; r) decides the assignment and dismissal of the heads of service, heads of department and heads of other departments of work in the structure of the plant that are not provided for in the competence of other collective management bodies; the classification and the dismissal of the chief engineers, the chief accountants and the other managers on the functions of the subordinate undertakings and the other component units; appoints the location of the director or the head of the unit; s) appoints, with the opinion of the county school inspectorates, the teachers and management of vocational schools and post-secondary specialization and specialized high schools subordinated to the plant; t) approves the award of the personnel of the plant apparatus, as well as the management personnel in the subordinate units; approves the regulations for the granting of salaries for the personnel in the subordinate units; u) approve the plan to prepare the staff, within the limits of the funds allocated by the v) approve, according to the law, the reduction or cancellation of salary reduction rates in case of non-performance of tasks, for the management of subordinate units; w) approves the performance of overtime with the union trade union agreement within the limits of legal provisions; x) approves measures to ensure working and living conditions of working people and to improve them; f) ensures the control of economic and financial activity and fund management of the units; answers for taking the necessary measures to ensure the integrity of the public wealth and good management of material and monetary funds, for the adoption of measures necessary for the full and timely fulfilment of the plan tasks, in order to respect the principles and norms of the socialist discipline and give provisions, within the limits of legal competences, to recover the damage to the public property; g) ensures the operative information of the members of the council of working people and the executive office on the activity of the plant and of the main problems and measures taken h) approves the delegations of attributions on hierarchical steps and work compartments based on the organizational structure and the regulation of organization and functioning of the plant; The general assembly of working people mainly has the following tasks: a) debate the five-year plan and the improved annual plans, as well as the necessary measures to mobilize the internal reserves as fully as possible by reducing specific consumption and production expenses, ensuring growth labour productivity, efficiency of economic activity, improvement of working and social-cultural conditions of working people; b) approve the commitments of the labor collective regarding the exceeding of the plan indicators and the technical-organizational measures to ensure the performance of the plan tasks and the commitments made; c) approve the collective agreement, which shall be signed by the head of the establishment from the collective management body and by the chairman of the union committee of the working people; d) analyze the progress of the plan tasks, the commitments and the provisions of the collective agreement, on the basis of the notice presented by the collective management body, and adopt measures in order to improve the activity during the period the following; approves the schedule for the elaboration and review of the norms and norms of work, considers how the measures set out in the previous meeting were carried out; e) approve, under the law, the forms of remuneration of the work used in the establishment; f) analyze and establish measures for the continuous improvement of the activity of raising the socialist consciousness of working people, in order to improve the cultural-educational activity of mass; g) approve the annual report on the activity of the unit and the collective management body, how to use the benefits under the conditions and according to the criteria provided by legal provisions; h) choose the representatives of the working people who are part of the collective management bodies and decide to revoke those who have not carried out an appropriate activity; propose to the other working people who are to be part of the committee working people. + Article 66 At enterprises, respectively at the component units of the plants, general meetings of the working people are organized, and at the large or with wide territorial spread, general meetings of the representatives of the working people; in the latter they will organise in advance assemblies of working people on wards, workshops, sectors, construction sites, exploits or similar. On this occasion, representatives of working people for the general assembly will be elected by open vote. The general meetings on enterprises and the components of the plant will be attended by the members of the labor committee, representatives of the hierarchical bodies superior to the unit, as well as of the party bodies and organizations mass. + Article 67 The number of representatives of the working people chosen for the general meetings on the enterprise and at the component units of the plant shall be determined by the union committee together with the working people's committee, permanent staff and the concrete opportunities for young people of that meeting. Representatives of working people for the general assembly will be elected for a period of one year. In case of non-performance of the plan tasks, as a result of improper own activity or in the case of disciplinary violations enjoyed by the representatives of the working people during the period for which they were elected, those concerned will be able to be revoked and replaced by the gatherings of working people on wards, workshops, sectors, construction sites, exploits, of which they were elected. + Article 68 The general meeting of the working people or their representatives from the enterprises and the component units of the plants shall be convened semi-annually in ordinary meetings by the union committee in agreement with the committee of working people. The general meeting may also be convened at the request of at least one third of the number of working people or their representatives, as the case may be. In units with seasonal activity, general meetings of working people will be organized at the beginning and end of campaigns. The general meeting of the working people or their representatives shall be valid if at least two thirds of the total number of the staff or the total number of the elected representatives participate. + Article 69 The general assembly of working people on the plant consists of the members of the council of working people, of the committees of the working people or of the operative management collectives in the enterprises and the other component units, representatives of the people the work of the plant apparatus, the number of which shall be determined by the executive office together with the commission of the trade union organisations of the components At the general meetings of the working people in the plants will participate, from the ministries or other central or local bodies, the minister, respectively the head of the central or local body, their deputies or other members of the college, the union representative delegated by the union of branch unions + Article 70 The general assembly of working people on the plant convenes once a year by the commission of union organizations of units in suborder by mutual agreement with the council of working people and takes place after the end of the annual balance sheet and the conduct of assemblies general of the working people of the subordinate units. The proposals made in the general meetings that exceed the possibilities of settlement of the collective management bodies will be submitted to the body to which the respective unit is subordinated, which, within 30 days, will respond to how to solve. + Article 74 The general assembly of working people on the plant, enterprise and component units respectively exercises control over the activity of the council and on the committee of working people If the general meeting considers that the activity of the council, the committee of the working people or their members is unsatisfactory, the management of the body to which that unit is subordinated shall be obliged to analyse the causes and within 15 days to take the necessary measures, which can reach the replacement of those members who carried out an improper activity, informing the committees of the units in subordination, namely the councils and working people. + Chapter 4 Organization and functioning of central and local bodies of the state administration, as well as state institutions + Article 75 The ministries and other central bodies of the state administration, as well as the executive committees of the popular councils, are organized and operate according to the law. Under the ministries and other central bodies of the state administration, as well as the executive committees of the popular councils, state institutions can be established working, as the case may be, in the fields of education, health, science, culture and art, social protection, state administration, as well as other state units with similar financing system, referred to as state institutions. State institutions, as legal entities, are established by the Council of Ministers if they are of republican interest or by popular councils if they are of local interest. State institutions that are legal entities can establish, under the law, subunits without legal personality. The act of establishment of state institutions shall be established the object of their activity, their name and their headquarters, and any other provisions necessary for their organization and functioning. The abolition of state institutions, as well as the modification of the object of the activity, the name or their headquarters are approved by the bodies that have the competence to establish them. + Article 76 State institutions are endowed with fixed funds, corresponding to the activity they carry out, have expenses plan and, as the case may be, income plan, lead the bookkeeping, have an account with the bank, have their own funds and have economic relations with other units, according to the regulations established by specific normative acts. Art. 4 of the present law on fixed funds also applies to state institutions. + Article 77 State institutions subordinated to ministries, other central bodies of the state administration and popular councils are planned for the indicators assigned to them and are responsible for their performance. + Article 78 State institutions that realize incomes are obliged to turn them to the state budget. In the cases established by the Council of Ministers, state institutions retain the income made from their own activity or from other sources, for the coverage, according to the plan, of operating expenses and development of their material base. + Article 79 Expenditure of state institutions shall be covered by: -the state budget, within the limits of the approved amounts and in relation to the accomplishment of the tasks established -own income, under the conditions provided in art. 78, para. 2. State institutions can also use for the deployment and broadening of their activity material and money means, received from legal or physical persons, as the case may be, by transfer or as a donation. The heads of state institutions with legal personality, financed from the state budget, are authorising officers, having the powers and responsibilities established by the law. + Article 80 The powers of state institutions are established by their act of establishment, depending on the objectives they have to achieve and develop through their organization and functioning regulations, prepared according to the law. + Article 81 Art. 70-79 of this law also applies accordingly to ministries, other central bodies of the state administration as well as to executive committees of popular councils. The provisions of Chapter 3 of this law through collective management also apply to central and local bodies of state administration, as well as state institutions, according to their specificity, according to the norms established by law. + Chapter 5 Final provisions + Article 82 The provisions of the present law on plants also apply to combinations, trusts, groups of state enterprises, factories or plants and other state economic units assimilated to plants.
