Having regard to Article 124, third paragraph, of the Health Organisation Act ;

Decision:


Article 1. Conceptual provisions

For the purpose of this administrative regulation,


Article 2. The Governing Council

  • 1 The Council shall govern the organisation of the NZa.

  • 2 The Council shall allocate a proportionate distribution of activities in the matters on which the Council is to decide to divide into portfolios for each member of the Board, with alternates appointed concurrently.

  • 3 A member of the Board is the first point of contact for the NZa's staff within the Council for matters relating to his portfolio. A portfolio holder shall give instructions to the staff of the NZa on the preparation of decisions and on other acts relating to matters falling within its portfolio.


Article 3. The President

  • 1 The President:

    • (a) convene a meeting of the Council;

    • b. shall determine the time and place of the meeting in consultation with the other members of the board;

    • (c) lead the meetings of the Council;

    • d. to determine which staff of the NZa, or other invitees are present at the meetings;

    • e. gives instructions to the NZa staff on issues relating to his portfolio, as well as on matters not belonging to the Article 2 (2) of the portfolio of one of the other members of the administration.

  • 2 The chairman shall appoint one of the board members as deputy chairman. This appointment shall be set out in an appointment decision.

  • The President shall be replaced by the Deputy Chairperson in his absence or absence. The chairperson of this Regulation shall also apply to the Deputy Chairperson when he replaces the Chairman.


Article 4. The meetings of the Governing Council

  • 1 The Council shall, in principle, meet once a week and as often as the President deems it necessary, or one of the other members of the Board, which requires the reasons to be justified.

  • 2 The board members may request the President to provide that certain staff of the NZa or other invitees attend, in whole or in part, one or more meetings of the Council.

  • 3 The meetings of the Council shall not be public.

  • 4 Of the traded in the Council meetings, a report is made by a member of the NZa designated by the Chairman.

  • 5 In cases of urgency, the Council may meet either in writing or in other appropriate manner. This is in order to assess the President. The manner in which decisions are taken is defined with the decisions in the report.

  • 6 On proposals concerning the order of the sitting, priority shall be taken.


Article 5. The report

  • 1 The report shall contain at least:

    • a. Who is present at the meeting;

    • b. an indication of the matters dealt with;

    • c. If necessary, a good understanding of what is the necessary, short representation of the discussion conducted;

    • (d) the reasons for decisions taken for external decision-making;

    • e. a list of decisions taken and to-do items taken.

  • 2 A member of the Board of Management, which is unable to reconcile itself with a decision taken, may make a reasoned endorsement in the report.

  • 3 The action and decisions list shall be drawn up by the Chair as soon as possible after the meeting.

  • 4 The report shall be sent to the members of the Board, if possible, within a day, but no later than three days after the meeting. It shall be the next meeting after dispatch, whether or not amended and signed by the President.


Article 6. Decision making

  • 1 The President shall make draft decisions to the Council for decision-making.

  • 2 For decisions to be taken, at least two members of the Council shall be present, including the Chair, or, in the absence of the Deputy Chairman.

  • 3 Each board member shall have one vote.

  • 4 The Council shall act by a majority of its members.

  • 5 The board members vote without charge or backspeech.

  • 6 When the votes are on the ballot, the President shall decide.


Article 6a. Decision of an administrative nature

The Council shall act in accordance with administrative decisions in accordance with the normal practice of the State administration.


Article 7. Change

  • 1 An administrative member shall have the right of change if he considers that his impartiality could be at issue in a particular matter. If he makes use of the right to change, he shall give notice to the Chairman or, if it is the Chairman, the Deputy Chairman.

  • (2) If the Council considers that the impartiality of a board member may be at issue in a particular matter or the appearance of partiality may harm the Council's task of carrying out that matter, the Council may, if it considers that the Court of Justice of the Council decides to grant a member of the board of unsolicits change.

Article 8. Consultation with the Works Council

  • 1 In all cases not provided for in this Regulation, and in all disputes relating to the interpretation of this Regulation, the President shall decide.

  • 2 This Regulation shall be published in the Official Gazette.

  • 3 This Regulation shall enter into force with effect from 1 October 2006.
