[March 1, 2011; P.u. (B) 92/2011] enacted by the Parliament of Malaysia as follows: part I preliminary short title and commencement 1. (1) this Act may be cited as the Act Stadium Corporation Malaysia 2010.

(2) of this Act come into force on such date as the Minister may, by notification in the Gazette.


Interpretation 2. In this Act, unless the context otherwise requires — "prescribed" means prescribed by rules, regulations or order published in the Gazette;

"Committee" means a Committee established by the Corporation under section 15;
8 laws of Malaysia ACT 717 "Chief Executive Officer" means the Chief Executive Officer appointed under subsection 16 (1) and includes any officer directed under subsection 16 (6) in order to perform the duties of the Chief Executive Officer;

"Fund" means the Fund Corporation established under section 19;

"Minister" means the Minister charged with the responsibility for sport;

"Chairman" means the Chairman of the Corporation appointed under section 6;

"Corporation" means a Corporation established under section 3;

"stadium" means any stadium, sports complex and sports facilities established by the Corporation or under the purview of the Corporation;

"due date" means the date this Act comes into force.


PART II INCORPORATION of the Corporation and its objectives 3. (1) a body corporate by the name "Corporation Malaysia" was established.

(2) the Corporation shall have perpetual succession and a common seal and may sue and be sued in the name of him.

(3) subject to and for the purposes of this Act, the Corporation may, on any terms that it regards ought to — (a) enter into contracts;
Stadium Corporation of Malaysia 9 (b) acquire, purchase, take, hold and enjoy any kind of movable and immovable property; and (c) memindahhakkan, assign, surrender, refund, charge, charge the mortgagor, mendemis, lease, assign your resale, transfer or otherwise dispose of, or deal with, any movable or immovable property or any interest vested in the Corporation.

(4) the Corporation's Objective is to develop, operate and manage the stadium in accordance with the standards laid down by the Corporation.


The functions of the Corporation 4. The functions of the Corporation are as follows: (a) to establish, manage, operate and maintain stadium;

(b) to implement development policies and programmes to guarantee the viability of the stadium;

(c) to develop and improve the stadium and to prepare and equip the stadium with the plant, machinery, equipment and hardware as the Corporation considers appropriate;

(d) to promote the stadium, nationally and internationally, as a multi-purpose venue for sporting events, recreational, cultural, educational, commercial and entertainment and any other events deemed fit by the Corporation;

(e) to develop and provide at stadium

any facilities and services of a commercial complement stadium, including accommodation;

(h) to cooperate and to enter into arrangements with any person interested in the development of education, medical facilities and research for a sports stadium, and where appropriate, in other places for the development of such facilities;

(i) to develop the systems and processes that will make stadium is easy, affordable and attractive to the public; and (j) to exercise such other functions as it thinks fit to enable it to perform its functions effectively or incidental to the performance of its functions.


Powers of the Corporation 5. (1) the Corporation shall have power to do all things expedient or that is reasonably practicable, be necessary for or incidental to the exercise of its functions.

(2) without prejudice to the generality of subsection (1), the powers of the Corporation shall include power — (a) to carry out all activities, in particular activities of a commercial, found by it to be necessary, appropriate or beneficial for or in connection with the performance of its functions;

(b) to take the initiative and make a study of the possibility of development and redevelopment of the stadium and to recommend a plan that outlines the activities of the development or redevelopment and survey to determine whether the Corporation Malaysia 11 undertaking and the implementation of the development or redevelopment of the stadium can be implemented;

(c) to construct any building on such immovable property Corporation and develop and prepare the property for any sports, games, recreation, recreational activities, exhibitions and parades as may be appropriate or convenient to be held there, to set up a Pavilion, gymnasium, a refreshments, shops, stalls, toilets and any other facilities that the Corporation may think fit and to maintain or reconstruct any building found on the land of the Corporation;

(d) to provide or promote any sports, games, recreation, recreational activities, exhibitions and parades, and to give or contribute prizes, awards and honours;

(e) to farm activities relating to research and development activities, services and other matters related to sports and stadium, and to assign any person or body to carry out the research and development;

(f) to cooperate with or act as authorized agents for, or otherwise acting in conjunction with or on behalf of, any company or Corporation, or any body or person, whether local or foreign for the purpose of development, equipped with the stadium;

(g) to contact any investors or potential investors, whether local or foreign, directly or indirectly, to encourage investment in the development, operation and management of the stadium;

(h) to connect and work with the State authority in respect of activities relating to the stadium;

12 laws of Malaysia ACT 717 (i) apply for and receive the alienation or transfer of land for the development, operation and management of the stadium;

(j) to appoint any agent as it thinks fit for the purposes of its functions;

(k) to impose fees, fees, levies, contributions or any other charges that may absolutely deem fit to give effect to any of the functions or powers; and (l) to make all things expedient or necessary for or incidental to the performance of its functions under this Act.


Membership of the Corporation 6. (1) the Corporation shall consist of the following members: (a) the Chairman, who shall be appointed by the Minister from among the members;

(b) the Chief Executive Officer;

(c) five (5) representatives of the Federal Government which consists of — (i) a representative of the Ministry in charge of youth and sports;

(ii) a representative of the Office of the Prime Minister;

(iii) a representative of the Ministry of finance;
and (iv) two representatives from other agencies of the Federal Government;

(d) five people to represent sports organizations who shall be appointed by the Minister; and Corporation Malaysia 13 (e) five other persons who shall be appointed by the Minister who, in the opinion of the Minister, have experience, shows the ability and professionalism in matters relating to the development, operation and management of the stadium, sports complex and sports facilities.

(2) the Minister may, at his discretion, appoint a Deputy Chairman from among the members of the Corporation.

(3) the provisions of the Schedule shall apply to the Corporation.


The term of Office 7. (1) subject to any conditions specified in the instrument of appointment, a member of the Corporation appointed under paragraph 6 (1) (a), (d) or (e) shall, unless he first put or clear his Office or his appointment is sooner revoked, hold office for a period not exceeding two years.

(2) a member of the Corporation appointed under paragraph 6 (1) (a), (d) or (e) shall be eligible for re-election but no Member may hold the post for a period of more than two terms, whether continuously or otherwise.


Temporary exercise of functions of the Chairman 8. (1) where the Chairman or the Chairman is not present on duty in Malaysia or the Chairman, for any other reason, cannot carry out the duties of his Office, the members appointed under subsection 6 (2) shall be temporarily act as Chairman, and if the Member for any reason is unable to act under this subsection, a member under subparagraph 6 (1) (c) (i) shall act as Chairman.

(2) a member which acts as the Chairman under subsection (1) shall be deemed to be the Chairman.



14 laws of Malaysia ACT 717 revocation of appointment and resignation of 9. (1) the appointment of any Member under paragraph 6 (1) (a),

(d) or (e) may at any time be revoked by the Minister.

(2) a member may at any time resign his Office by a written notice addressed to the Minister.


Vacation of Office and vacancy filling 10. (1) the Office of a member of the Corporation appointed under paragraph 6 (1) (a), (d) or (e) must be empty — (a) if he dies;

(b) if it has been proved against him, or he has been convicted of, a charge in respect of — (i) an offence involving fraud, dishonesty or moral turpitude;

(ii) an offence under any law relating to corruption;
or (iii) any other offence punishable with imprisonment (whether imprisonment only, or in addition to or in lieu of a fine) for a term exceeding two years;

(c) if he becomes bankrupt;

(d) if he is of unsound mind or otherwise is unable to meet its obligations;

(e) if he fails to attend three consecutive meetings of the Corporation without the consent of the Chairman or in the event the Chairman, without the consent of the Minister;

(f) if his resignation is accepted by the Minister; atau Perbadanan Stadium Malaysia 15 (g) jika pelantikannya dibatalkan oleh Menteri.

(2) If a member appointed under paragraph 6 (1) (a), (d) or (e) cease to be a member of the Corporation, the Minister may appoint another person to fill the vacancy for the remaining period of the Member who vacated the position appointed in accordance with the provisions of the case.


Allowance 11. Member of the Corporation shall be paid allowances at such rates as the Minister after consultation with the Minister of finance.


Power of Minister to give directions 12. The Corporation shall report to the Minister, and the Minister may, from time to time, giving instructions not inconsistent with the provisions of this Act and the Corporation shall, as soon as possible, implementing all the instructions given.


Statements, reports, accounts and information 13. (1) the Corporation shall give to the Minister, and any public authority as specified by the Minister, any statements, reports, accounts and information relating to the property and its activities as required or directed by the Minister from time to time.

(2) without prejudice to the generality of subsection (1), the Corporation shall, as soon as practicable after the end of each financial year, cause to be made and sent to the Minister and, if directed by the Minister, to any other public authority a report which deals about the activities of the Corporation during the previous financial year.

(3) the report under subsection (2) shall be in such form and shall contain such information 16 laws of Malaysia ACT 717 in relation to the proceedings and policy of the Corporation as specified by the Minister from time to time.


Delegation of functions and powers of the Corporation 14. (1) the Corporation may, subject to subsection (2) and such conditions, limitations and restrictions as it thinks fit to impose, delegate in writing any of its functions or powers, except the power to lend money, provide loans, set up the company and make regulations, to — (a) any Member;

(b) a Committee established by the Corporation;
or (c) an officer or servants of the Corporation, and any function or power delegated such can be implemented or carried out by members of the Committee, officers or servants, as the case may be, in the name and on behalf of the Corporation.

(2) any member of the Committee, officers or servants delegated with such functions and powers shall be bound to observe and take note of all conditions, limitations and restrictions imposed by the Corporation.

(3) the Corporation may delegate to the Chairman the power to authorize expenditure of the Fund or any other vested in or under the control of the Corporation to the extent set out by the Corporation.

(4) a delegation under this section shall not prevent the Corporation from discharging or run on its own at any time any of the functions or powers delegated it.





The Malaysian Corporation 17 the Corporation may establish committees 15. (1) the Corporation may establish such committees as it considers necessary or expedient to assist it in carrying out its functions under this Act.

(3) the Corporation may appoint any person to be a member of a Committee.

(4) a Committee may regulate its own procedure and, in the exercise of its powers under this subsection, the Committee shall be subject to and act in accordance with any instructions given to the Committee by the Corporation.

(5) meetings of a Committee shall be held at any time and at any place as shall be determined by the Chairman of the Committee.

(6) a Committee may invite any person who is not a member of the Committee to attend any meeting of the Committee, for the purpose of advising it on any matter under discussion but that person shall not be entitled to vote at the meeting.

(7) a member of a Committee or any person invited under subsection (6) to attend any meeting of a Committee may be paid such allowances and other expenses as determined by the Corporation.

(8) a member of the Committee shall hold office for such period as may be specified in the instrument of appointment and shall be eligible for re-election.

(9) the Corporation may, at any time revoke the appointment of any member of a Committee.

18 laws of Malaysia ACT 717 (10) a member of the Committee may at any time resign his Office by a written notice addressed to the Chairman of the Corporation.

(11) the Committee shall cause — (a) the minutes of all its meetings to be maintained and stored in a proper form; and (b) a copy of the minutes of all its meetings to be handed over to the Corporation as soon as practicable.

(12) any minutes made of meetings

the Committee shall, if duly signed, is admissible in evidence in all legal proceedings without further proof.

(13) every meeting of the Committee with respect to its proceedings minutes were made in accordance with subsection (11) and (12) shall be deemed to have been duly convened and held and all members of the meeting have been duly qualified to act.


PART III the CHIEF EXECUTIVE OFFICER, officers and SERVANTS of the CORPORATION Chief Executive Officer 16. (1) the Minister shall appoint a Chief Executive Officer upon such terms and conditions as determined by the Corporation.

(2) the Chief Executive Officer shall be responsible for — (a) the conduct, administration and general management functions, activities and Affairs of the day to day Corporation;

(b) the provision of — (i) programme, schemes, projects and activities;
Stadium Corporation of Malaysia 19 (ii) estimates of expenditure for the implementation of the annual programme; and (iii) all income estimates, for the approval of the Corporation;

(c) the implementation of all programmes, schemes and projects of the Corporation; and (d) implementation of the decisions and instructions of the Corporation.

(3) the Chief Executive Officer shall be the Secretary of the Corporation.

(4) the Chief Executive Officer shall perform any other duties as directed by the Corporation.

(5) in fulfilling its duties, the Chief Executive Officer shall act under the authority and the General instructions of the Corporation.

(6) if the Chief Executive Officer is temporarily not in Malaysia or unable for a while due to illness or any other reason to perform his duties, or if the post of the Chief Executive Officer was empty at that time, the Corporation may direct any other officer to perform the duties of Chief Executive Officer in the absence or inability in the meantime.


Recruitment services of the other officers and servants of the Corporation 17. (1) subject to any regulations made under subsection (4), the Corporation may employ such number of officers and servants as may be deemed appropriate and necessary by the Corporation and on such terms and conditions as the Corporation considers appropriate.

(2) the Chief Executive Officer shall have general control over the officers and perkhidmat Corporation.

(3) No person shall be eligible to serve as officers or servants of the Corporation if he has, in 20 laws of Malaysia ACT 717 directly or indirectly, by itself or through a partner, any share or interest in any contract or proposed contract with, for or on behalf of the Corporation.

(4) the Corporation may, with the approval of the Minister, make regulations with respect to the terms of service of the officers and pekhidmatnya.

(5) the Corporation may adopt any modifications it deems fit, any regulations, rules, policies, circular or instructions made or issued by the Federal Government in connection with any matter under this part.


Financial assistance to officers, servants and others 18. The Corporation may provide — (a) the payment of retirement benefits, gratuity, and other allowances as determined by the Corporation to officers and servants of the Corporation;

(b) subsidies, grants, financing or credit facilities, with or without flowers, and financing or loan courtesy of others, officers and servants of the Corporation;

(c) subsidies, grants, financing or credit facilities, with or without interest, for the purpose of medical officers and servants of the Corporation, and their dependents;

(d) financing or credit facilities, with or without interest, for the purpose of education or scholarships to officers and servants of the Corporation or any other person; and (e) donation to any person, upon such terms and conditions as determined by the Corporation.

Stadium Corporation of Malaysia 21 PART IV FINANCIAL Fund 19. (1) for the purposes of this Act, a fund known as the "Malaysian Corporation Fund" was established.

(2) the Fund shall be controlled, maintained and operated by the Corporation.

(3) the Fund shall consist of — (a) any sum of money allocated by Parliament for the purposes of this Act;

(b) money acquired by way of handling any project, scheme or Enterprise financed out of the Fund;

(c) moneys derived or obtained from any property, investment, mortgage, lease, rental, charges or debentures acquired by or vested in the Corporation;

(d) any property, investments, mortgages, charges or debentures acquired by or vested in the Corporation;

(e) fees, costs, levies, contributions and other charges imposed by the Corporation under this Act;

(f) all moneys derived from consultancy services and advice and any other services provided by the Corporation;

(g) donations or contributions received from any organization in or outside Malaysia;

(h) all sums of money or other property which can in any way be payable to or teletak 22 laws of Malaysia ACT 717 rights in the Corporation in respect of any matter incidental to the functions and powers; and (i) all other moneys lawfully received by the Corporation.


Expenses shall be charged on the Fund 20. Fund shall be expended for the purposes of the following: (a) paying any legal expenses incurred by the Corporation, including — (i) remuneration, allowances and expenses of other members of the Corporation and any of its committees and officials and servants of the Corporation including the granting of loans and down payment, retirement allowance, retirement benefits, pension and gratuity;

(ii) insurance coverage for officers and servants of the Corporation;

(iii) costs incurred in providing assistance for the welfare of the officers and servants of the Corporation;

(iv) legal fees and costs and any fees and other costs;

(b) pay any expenses, costs and other expenses incurred or legally accepted by the Corporation in the performance of its functions or exercise of its powers under this Act;

(c) purchase or rent a plant, equipment, machinery and materials, acquire land and other assets, to erect buildings and carry out any other work and undertaking in the performance of its functions or exercise of its powers under this Act;

Stadium Corporation Malaysia 23 (d) to grant financial assistance under section 18;
and (e) generally pay any expenses of enforcing the provisions of this Act.


Conservation Fund 21. Be the duty of the Corporation to conserve the Fund with the performance of its functions and exercise of its powers under this Act so as to ascertain that the amount of the Corporation's income sufficient to meet all sums properly chargeable on revenue account, including depreciation and interest on capital, from year to year.


22 reserve fund. The Corporation shall establish and maintain a reserve fund in the Fund.


Expenses and the preparation of the estimate of 23. (1) the expenditure of the Corporation to the extent the amount authorised by the Minister for any one year shall be paid out of the Fund.

(2) before 30 September each year, the Corporation shall submit to the Minister an estimate of expenses, including expenses for the development, operation or management of the stadium, for the ensuing year in such form and contain such particulars as may be directed by the Minister.

(3) the Minister shall, before the beginning of the following year, notify the Corporation about the amount authorised for expenditure generally or about the amount allowed for each type of expenditure based on estimates provided under subsection (2).

24 laws of Malaysia ACT 717 (4) the Corporation may, at any time, submit to the Minister an estimate of additional expenses for any one year and the Minister may allow the whole or any part of the additional expenditure included in the supplementary estimates.

(5) the Minister may direct the Corporation to submit a copy of the estimates or supplementary estimates, as the case may be, to any other public authority as specified in the instructions.


24 financial year. The financial year of the Corporation shall begin on 1 January and ends on 31 December of each year.


Account and report 25. The Corporation shall cause to be account to Fund kept and shall, as soon as practicable after the end of each financial year, cause to be prepared for that financial year a statement of accounts of the Corporation shall include a balance sheet and income and expenditure account.


Bank account 26. The Corporation shall open and maintain an account or accounts in any bank in Malaysia as the Corporation shall think fit, and every account must be handled to the extent feasible by cheque signed by any person authorized by the Corporation in that behalf from time to time.


Act statutory bodies (accounts and annual reports) 1980 27. Act statutory bodies (accounts and annual reports) 1980 [Act 240] shall apply to the Corporation.
Stadium Corporation Malaysia 25 part V OTHER POWER CORPORATION power to borrow 28. The Corporation may, with the approval of the Minister and the Minister of finance, borrow, at such rate of interest and for such period and upon such terms about the time and manner of repayment and otherwise as may be approved by the Minister and the Minister of finance, any sums required by the Corporation to meet its obligations or discharging any of its duties.


Investment 29. Funds of the Corporation shall, as far as not required to be expended by the Corporation under this Act, be invested in any manner approved by the Minister and the Minister of finance.


Power to employ agents, etc.

30. The Corporation may employ, appoint and pay agents, contractors and technical advisers, including advocates and solicitors, bankers, stock brokers, surveyors, valuers and others, to conduct any business, execute any project, scheme or enterprise, or do any act required to be performed or done in the performance of its functions, the exercise of its powers or the performance of its obligations or to carry out the purposes of this act better.


Commercialization of research findings 31. The Corporation may make available any research findings that are vested in the Corporation to any person or body, subject to such conditions and the payment of any fees, royalties or other consideration, if any, as determined by the Corporation with the approval of the Minister for the purpose of commercialization.

The Corporation may establish company under the companies Act 1965 [Act 125] to run and has the responsibility, to conduct and manage any project, a scheme or enterprise that has been planned or undertaken by the Corporation in the performance of its functions or exercise of its powers.


PART VI GENERAL Offence for providing false or misleading information 33. Someone who disclose or provide information to the Corporation that he learn or he has reason to believe is false or misleading, commits an offence and shall, on conviction, to a fine not exceeding five thousand dollars.


The obligation to maintain the confidentiality of 34. (1) except for the purposes of this Act or for the purpose of any civil or criminal proceedings under any law, there are no members, officers or servants of the Corporation, or any person invited to attend any meeting of the Corporation or Committee may disclose any information which has been diperolehnya while performing his duties and who is not published in accordance with this Act.

(2) any person who contravenes subsection (1) commits an offence and shall, on conviction, to a fine not exceeding ten thousand ringgit or to imprisonment for a term not exceeding six months or to both.





Stadium Corporation Malaysia 27 protection against legal action and legal proceedings 35. Action not be taken or prosecution should not be brought, instituted or maintained in any court against — (a) the Corporation;
(b) any member of the Corporation, any member of the Committee, or any of its officers, servants or agents of the Corporation; or (c) any other person lawfully acting on behalf of the Corporation,

Public authorities Protection Act 1948 36. Public authorities Protection Act 1948 [Act 198] shall apply to any action, suit, prosecution or proceeding against the Corporation or against any Member, any member of a Committee, or any of its officers, servants or agents of the Corporation in respect of any act, default, neglect or omission or done by him on such properties.


Public servants 37. Every Member of the Corporation, or any member of a Committee, or any of its officers, servants or agents of the Corporation, while on its duties under this act as members, officers, servants or agents, shall be deemed to be public servants within the meaning of the Penal Code [Act 574].



28 laws of Malaysia ACT 717 power to make regulations 38. (1) the Minister may, after consultation with the Corporation, make regulations necessary for carrying out the provisions of this Act with better or for prescribing anything that may be or is required to be prescribed under this Act.

(2) without prejudice to the generality of subsection (1), regulations may be made to or in respect of all or any of the following matters: (a) impose fees, fees, levies, contributions or any other charges in certain matters as determined by the Corporation;

(b) prescribing the fees or charges for services provided by the Corporation and to the influx of people to the stadium or to any exhibition or activities organized or operated by the Corporation;

(c) regulate the admission or withdrawal of any person or thing into or from the stadium that is managed or controlled by the Corporation;

(d) regarding the care, protection and management of land and buildings owned by or under the control and management of the Corporation;

(e) provide for any other matter expected by, or as may be necessary to give full effect to the provisions of this Act.

(3) regulations made under this section may prescribe any act in violation of the regulations to be an offence and may prescribe a penalty to a fine not exceeding ten thousand ringgit or to imprisonment for a term not exceeding two years or both, and in the case of a continuing offence, can set a fine of one thousand dollars for each day or part of a day such offence continues after conviction.



Stadium Corporation Malaysia 29 action done in anticipation of the making of this Act 39. All such acts and things done on behalf of the Corporation in preparation for or in anticipation of the making of this Act and any expenses incurred in relation thereto shall be deemed to have been authorized under this Act, provided that such acts and things done is in accordance with the intent and purpose of this Act is General; and all rights and obligations acquired or incurred as a result of the action or matter that includes any expenses incurred in connection therewith shall, after the commencement of this Act, be deemed to have rights and obligations of the Corporation.


PART VII REPEAL, SAVINGS and TRANSITIONAL Repeal and disestablishment 40. Merdeka Stadium Corporation Act 1963 [Act 433] ("the Act repealed") is repealed and the Merdeka Stadium Corporation ("the Corporation dissolved") established under the repealed Act dissolved with effect from a specified date.


The transfer of power, etc.

41. The powers, rights, privileges, liabilities, obligations and duties which immediately before the appointed date belonged to the dissolved Corporation must be transferred from that date to a corporation established by this Act.


The transfer of the assets of 42. (1) the land before a specified date, vested in or reserved under any written law relating to land for the purpose of the Corporation is dissolved shall, at that date, by the authority of this Act, vested in or be deemed to be reserved for the purposes of a corporation established by this Act.
30 laws of Malaysia ACT 717 (2) all property and assets, other than land, which immediately before the appointed date vested in the Corporation dissolved or in any person on behalf of a corporation dissolved, as the case may be shall, at the date it vested in the Corporation established under this Act.


Existing contract 43. All deeds, bonds, agreement, instrument and working arrangements that exist before a specified date and touch any property dipindahmilikkan under section 42 shall have the force and effect of or in favour of the Corporation established by this Act and shall be fully enforceable and with seberkesannya as if, in lieu of a dissolved Corporation or any person acting on behalf of a corporation dissolved The Corporation has been named it or become a party to it.


Transfer money in the Fund 44. All the money that is in or payable to the Corporation Fund shall be dissolved on the appointed date, be transferred and deemed to be part of the Fund established under section 19.


Membership of the Corporation disbanded 45. (1) Notwithstanding any thing to the contrary, Member of the Corporation disbanded and members of any Committee appointed under the repealed Act who held office before the appointed date shall cease to hold office on that date.

(2) Tiada apa jua dalam subseksyen (1) boleh menjejaskan kebertanggungjawaban anggota Perbadanan yang dibubarkan yang tamat tempoh jawatannya dan seberapa segera yang boleh dilaksanakan selepas tarikh yang ditetapkan, Perbadanan yang dibubarkan hendaklah menyediakan dan mengemukakan kepada Menteri suatu laporan termasuklah penyata kewangan yang Perbadanan Stadium Malaysia 31 dikehendaki di bawah Akta dimansuhkan, tetapi laporan itu hendaklah terhad kepada tempoh dari 1 Januari tahun yang berkenaan hingga ke hari sebelum tarikh yang ditetapkan.


Penerusan pegawai dan pekhidmat 46. (1) Orang yang sebaik sebelum tarikh yang ditetapkan

retrieved service as officers and servants of the Corporation dissolved shall, on the appointed date, be deemed to have been acquired by Service Corporation established by this Act.

(2) every person who immediately before the appointed date were taken services as officers and servants of the Corporation dissolved shall, on the appointed date, taken services as officers or servants Corporation established by this act upon the terms and conditions of service no less favourably than the terms and conditions of service that he is entitled to it immediately before the appointed date.

(3) If changes were made on or after a specified date in respect of the conditions of service of officers and servants of the Corporation dissolved registered under subsection (1) has been taken by Service Corporation established by this Act, they should be given a choice whether to continue subject to the existing service or subject to the new terms of service.


Continuation of the civil and criminal proceedings is 47. (1) the revocation under section 40 or anything contained in this Act shall not affect any liability of any person to prosecuted or sentenced for offences under the Act repealed immediately before a specified date, or any proceedings brought before that date in respect of the offence.

(2) any proceedings, whether civil or criminal, or cause of action has not yet been decided or that exists immediately before the appointed date by or against the Corporation is dissolved or any person acting on behalf of a corporation dissolved can be continued or initiated by the 32 laws of Malaysia ACT 717 or against a corporation established by this Act, as it may be continued or commenced by or against the Corporation is dissolved or that person if the Act is not made.

(3) any appeal brought or any permission to appeal applied for on or after a specified date against a decision given immediately before the appointed date in relation to any legal proceedings that the Corporation is dissolved become a party to it can be brought by or against the Corporation established by this Act.


Sound in law or document concerning a corporation dissolved 48. A reference in any law or document (s) before the date specified on the dissolution of a corporation shall be construed as a reference to a corporation established by this Act.


Continuation of the use of the names of 49. Notwithstanding anything in section 40 and 48, a corporation established by the Act can continue to use the name "Corporation" for the purpose of maintaining the good name or for any purpose by the Corporation thinks fit.

(2) the Chairman shall preside at meetings of the Corporation.

(3) the Chairman who chaired a meeting of the Corporation and four other members shall form a quorum at any meeting of the Corporation.

(4) every Member present at a meeting of the Corporation shall be entitled to one vote.

(5) where on a questions for a decision by the Corporation there are equal number of votes, the Chairman shall have a casting vote in addition to the votes normally.


The Corporation may invite others to meetings 2. (1) Perbadanan boleh mengundang mana-mana orang untuk menghadiri sesuatu mesyuarat atau penimbangtelitian Perbadanan bagi maksud menasihatinya mengenai apa-apa perkara yang dibincangkan, tetapi orang itu tidak berhak untuk mengundi pada mesyuarat atau penimbangtelitian itu.

(2) any person invited under subparagraph (1) may be paid such allowances and other expenses as determined by the Corporation.


Seal 3. (1) the Corporation shall have a common seal which shall bear a sign approved by the Corporation and such seal may be broken, changed, altered or made new as the Corporation thinks fit.

(2) the common seal shall be kept in the custody of the Chief Executive Officer or any other person authorized by the Corporation, and shall be verified by the Chief Executive Officer or any other authorized person, or any officer authorized in writing by the Chief Executive Officer; and all deeds, documents and other instruments purporting to be sealed with the seal of the said verified as aforesaid, shall, until the contrary is proved, be deemed to have been validly executed: provided that any document or instrument which if executed by a person not being a body corporate not 34 laws of Malaysia ACT 717 are required to be sealed may be executed in the same way by the Corporation; and any other document or instrument may be executed on behalf of the Corporation by any officer or authorised servants of the Corporation generally or specially by the Corporation for that purpose.

(3) the common seal of the Corporation shall be officially and judicially noticed.


Disclosure of interest 4. A member of the Corporation who has, directly or indirectly, personally or by his partner, any interest in any companies or enterprises in which the Corporation proposes to enter into contracts or have any interest in any contract or in any of the matters discussed by the Corporation shall disclose to the Corporation the fact of interest and type of his interest, and such disclosure shall be recorded in the minutes of the Corporation and , except if specifically authorised thereto by the Chairman, the Member cannot take part in any penimbangtelitian or decision of the Corporation relating to the contract or that matter.


Minute 5. (1) the Corporation shall cause minutes of all its meetings to be maintained and kept in proper form.

(2) minutes of the meeting of the Corporation shall, if duly signed, is admissible in evidence in all

legal proceedings without further proof.

(3) every meeting of the Corporation in respect of the proceedings minutes were made in such a way shall be deemed to have been duly convened and held and all members of the meeting have been duly qualified to act.


Validity of acts and proceedings 6. No act done or proceeding taken under this Act may be questioned on the ground — (a) a vacancy in the membership of, or a defect in the formation of the Corporation;

(b) violation by any member of the Corporation against the provisions of paragraph 4; or Corporation Malaysia 35 (c) an omission, defect or ketidakteraturan that are not touching the merits of it.


Setting 7. Tertakluk kepada Akta ini, Perbadanan boleh menentukan tatacaranya sendiri.


Anggota Perbadanan hendaklah menumpukan masa kepada urusan Perbadanan 8. Tiap-tiap anggota Perbadanan hendaklah menumpukan masa kepada urusan Perbadanan sebagaimana yang perlu bagi menunaikan kewajipannya dengan berkesan.
