August 2, 2002, 12 of Legislative Decree n. 220; Visto l'art. 2545-sexiesdecies of the civil code; Having regard to the Legislative Decree No. 165/2001, with particular reference to art. 4 second paragraph; Having regard to law No. 241/1990 and subsequent modifications and integrations; Having regard to the Decree of the President of the Council of Ministers No. 158 of December 5, 2013, «organisational regulations of the Ministry of economic development '; Visto l'art. 2385, first subparagraph, second hypothesis of the civil code which provides that in case of renunciation of Office by directors, such resignation to take effect from the moment the majority of the Board will be reconstituted following the acceptance of new directors; Having regard to the findings of the extraordinary inspection and subsequent investigation concluded in July 11, 2014 and September 24, 2014 date inspection, respectively, from which have emerged at the expense of the societa ' cooperativa «Societa ' cooperative housing the schooner», based in Rome, of management irregularities, precondition for the adoption of this measure, including: not having provided for the appointment of a new Board of Directors following the resignation of the Board of Directors on August 4, 2014; not doing such mutual activities with its members but only with third parties to which were leased the 31 accommodation made in area 2, Osteria del Curato realized on area granted by the municipality of Rome in building rights, for the construction of housing for low-income public housing for the elderly, according to art. 4 of law No 179/1992; not having carried out the review of the articles of Association, by deleting references to the participation in the Consortium Vesta, with particular regard to the representative Assembly is being obligatory presence in the Consortium; Acknowledged that the cooperative has obtained by Rome Council granting building rights over an area in the plane of Osteria del Curato 2 area where he realized, in a program of economic and popular building, # 31 accommodation with contributory benefits under art. 4 of law 179 of February 17, 1992 for permanent lease to particular social categories; Since the cooperative in 2005 had rented all rooms except one of the goalkeeper, only to individuals who meet the requirements under art. 4 of law 179 of February 17, 1992 but outside the corporate structure and that, therefore, in social activities carried out by 2005 the cooperative did not involve its members, who did not possess the subjective requirements for lead in letting such accommodation; Considering also that the administrators, while covering the membership, have never participated in any building program of the company, have not received any compensation for the Office held and have not participated in the ordinary expenses of the Association, embodying the mutual relationship with that with the cooperative and the interest in maintaining the quality of membership in the cooperative; Given that the entire Board of Directors during the meeting on August 4, 2014 has resigned and the cooperative has provided for the election of new officers; Considered that society cooperative housing the schooner, called upon to remedy the irregularities encountered during the extraordinary inspection, has complied only to formal and non-formal aspects of the requirements that would have materialized the reinstatement of the effectiveness of the social base and that, therefore, the inspection findings of the investigation showed the permanence of irregularity that support the adoption of the measure of Administration Commissioner; Having regard to the Ministerial 0202543 note sent by PEC on November 14, 2014 by which the competent Office, pursuant to art. 7 of law no 241 August 7, 1990, notified the cooperative, launching the administrative procedure for the adoption of the measure under art. 2545-sexiesdecies of the civil code; Noting that no counterclaims in regard to the proposed action;
