Notice: this decree approves the statutes of the COMUE "University Sorbonne Paris Cité", in application of theArticle L. 718-8 of the Education Code. The establishment is composed of the following members:

    Preamble


    The Sorbonne University Paris Cité is a group of higher education and research institutions and research institutions linked by the common desire to create a world-class research university, offering an offer of training at the best level, ensuring the development of innovation in all its forms, carried by the community of universities and institutions "Sorbonne University Paris Cité" (USPC), the object of these statutes.
    The scientific and pedagogical ambitions of USPC members, as part of the shared project "University Sorbonne Paris Cité", include the following objectives:
    1° Building on the quality of research produced in the four major covered scientific fields (exact science and technology; humanity: arts, letters, languages; public social and political sciences; life and health sciences) to develop interdisciplinarity and to be at the best European and global level;
    2° Promote an innovative and ambitious approach to training policy, which guarantees equal opportunities, based on a new educational approach to the licence, a close link between masters and research centres, the ability to grant national degrees and, first of all, the doctorate;
    3° Strengthen USPC's anchorage in its socio-economic environment, becoming a major player in the dissemination of knowledge.
    To implement these federative objectives, higher education and research institutions and member research organizations, rich in their identity, strong in their legal autonomy, masters of their means, agree on the need to coordinate their actions and to pool certain resources within the framework of a community of universities and institutions (COMUE), subject to these statutes.
    As part of its shared project, the community of universities and institutions organizes, in connection with the other groups concerned, territorial coordination for the academies of Ile-de-France, including Paris and Créteil.

    • Part I: GENERAL PROVISIONS


      Article 1
      Legal nature


      It is established a community of universities and institutions established in the form of a public institution of a scientific, cultural and professional character, governed in particular by the articles L. 718-2 to L. 718-5 and L. 718-7 to L. 718-15 the code of education and these statutes.
      His name is "University Sorbonne Paris Cité" (hereinafter "USPC").
      His seat is set in Sorbonne. It may be transferred to another place on the proposal of the Chair or Chair following a deliberation of the Board of Directors.


      Article 2
      Composition


      USPC is comprised of the following institutions, referred to as "members", divided into two colleges.


      Article 2.1
      College of Public Higher Education and Research Institutions


      The College of Public Institutions for Higher Education and Research brings together the members of USPC concerned with all areas of territorial coordination within the meaning ofArticle L. 718-2 of the Education Code.
      These members are:
      1° The School of High Studies in Public Health;
      2° The Institute of Political Studies of Paris;
      3° The National Institute of Oriental Languages and Civilizations;
      4° The Institut de physique du globe de Paris;
      5° Sorbonne University - Paris-III;
      6° Paris Descartes University;
      7° Paris Diderot University;
      8° Paris-XIII University.


      Article 2.2
      College of Research Organizations


      The research college brings together members of USPC for whom participation in the shared project focuses on at least one area of territorial coordination under their object.
      These members are:
      1° The National Centre for Scientific Research;
      2° The National Institute of Demographic Studies;
      3° The National Institute for Computer and Automatic Research;
      4° The National Institute of Health and Medical Research;
      5° The Research Institute for Development.


      Article 3
      Entry of new members


      New members may join USPC, subject to the approval of the board of directors, under the conditions set out in sections 7.5 and 7.6, taken after favourable advice from the board of members; in support of this vote, directors are informed, as an indication, of the opinion expressed by each of the representatives of the members at the vote in the board of members, under the conditions set out in section 10.4.
      The entry of new members is effective on the date of publication of the amended Statutes Decree.

    • Part II: MISSIONS, COMPÉTENCES AND ACTION MODALITIES


      Article 4
      Missions and competencies


      As part of the exercise of its mission as territorial coordinator for areas defined to Articles L. 718-2 to L. 718-5 of the Education Code and to implement the shared project of its members, USPC has the following skills:
      1° It coordinates and implements a shared training policy that includes:
      (a) An internationally legible and attractive training offer, respectful of the diversity of disciplines and territories, with the aim of offering educational courses to ensure the success of students and to promote their social ascent;
      (b) The possibility of issuing national degrees;
      (c) Common devices for the orientation and monitoring of the routes;
      (d) The development of the ongoing training of researchers and other staff.
      2° It coordinates and implements a shared research policy that aims to strengthen:
      (a) The development of interdisciplinarity;
      (b) The positioning at the best global level of the scientific quality of the site;
      (c) The development and management of common research infrastructure or support devices;
      (d) The development of scientific and technical documentation and the dissemination of scientific and technical culture.
      3° It coordinates and implements a shared policy to support the development of research results in the service of society by promoting:
      (a) The dissemination of knowledge, particularly in the direction of the territories hosting member institutions;
      (b) Promoting innovation, including technology transfer.
      4° It coordinates and implements a shared policy on the quality of student life and campus life, focusing on:
      (a) The quality of the reception on the various USPC campuses, including housing, student health, sporting activities, access to libraries and documentation and social promotion;
      (b) Support for student initiatives;
      (c) Promoting culture.
      These competencies are implemented in accordance with the principles of collegiality and subsidiarity and autonomy of member institutions.
      When one or more institutions request to transfer one or more skills to USPC, this transfer is made in accordance with the items L. 718-2 and L. 718-8 the education code, after the following process:
      1° Express request for the deliberative proceeding of the institution concerned;
      2° Review of the application and advice of the members' council on the basis of Article 10.2;
      3° Deliberation of the Board of Directors of USPC based on sections 7.5 and 7.6;
      4° Publication of the decree amending the statutes.


      Article 5
      Terms of action


      As part of its mission and the skills defined in Article 4 and as long as there is a direct connection to its missions, USPC may:
      1° Finance or contribute to funding research programs or projects;
      2° Finance or contribute to financing common devices, equipment or services to support and support the research and training activities of member institutions;
      3° Finance or contribute to financing mechanisms to support the quality of student and campus life;
      4° Negotiate, conclude and manage, on behalf of member institutions and at their request, any legal act with public or private, French or foreign partners;
      5° Recruit, welcome and manage its personnel;
      6° Provide financial assistance to students from member institutions;
      7° Achieving or contributing to the financing of the production and publishing of scientific and technical periodicals and books;
      8° Creating or exploiting databases;
      9° Acquire, assign, manage buildings;
      10° Implement any operations directly related to the USPC project and contributing to its mission.

    • Part III: INSTANCES


      USPC is administered by a board of directors, based on an academic council and a board of members.
      It is headed by the chair or chair, assisted, in addition to the vice-president or vice-president in charge of digital resources, one or more vice-presidents.


      Article 6
      Provisions common to the councils of the Sorbonne University Paris Cité
      Article 6.1
      Method of voting


      Electronic voting is possible to designate elected representatives to the Board of Directors and the Academic Council of USPC.


      Article 6.2
      E-mail consultation of the Board of Directors


      The Board of Directors may, on an exceptional basis, be consulted electronically when the emergency makes it necessary. A reminder of the decisions so voted is presented to the first board of directors following the electronic consultation.


      Article 6.3
      Common electoral arrangements


      The elected members of the COMUE Board of Directors and Academic Council, apart from the President or President of USPC, shall be elected by indirect ballot in accordance with the provisions of the Articles L. 718-11, L. 718-12, L. 719-1 and L. 719-2 the education code, subject to the specific provisions of these statutes. The election is secret and is conducted by separate colleges.
      The elections are carried out by a ballot with proportional representation to the strongest remaining, without possibility of incomplete lists and without panaching. The only lists that have obtained more than 10 per cent of the vote are allowed to be allocated to the seats. By derogation from this principle, in the case that less than two lists would have obtained more than 10% of the vote, the three lists having obtained the largest number of votes are allowed to the distribution of seats.
      A nomination is mandatory for each list of candidates.
      Each list of candidates is alternately composed of a candidate of each sex, in accordance with theArticle L. 719-1 of the Education Code.
      The election takes place either by filing a paper ballot in a ballot box or electronically secure. Electors prevented from voting personally are allowed to vote by proxy. The USPC rules of procedure specify the conditions for the organization of elections.
      The electoral lists for each of the polls are based on the electoral lists of the higher education and research institutions, in which the representation of the staff of the member research organizations referred to in 2.1 is ensured.
      The president or president of USPC is responsible for organizing the elections. It is assisted by an electoral commission whose composition and competence are defined in the rules of procedure. Any legal remedy against electoral transactions or election results must be preceded by an appeal filed with the President or the President within five days of the results being posted. The chair or chair shall decide on the appeal within eight days of its filing. If not, the appeal is deemed to be rejected.


      Article 7
      Board of Directors


      Article 7.1
      Composition


      The Board of Directors consists of sixty and one directors divided into the following categories:
      1° Eight designated representatives, under the conditions set out in the rules of procedure, by higher education institutions and three representatives designated by the research organizations, including a CNRS representative, an INSERM representative and a representative jointly designated by the other research organizations on the basis of a successive representation of the three concerned organizations defined in the rules of procedure;
      2° Twelve qualified personalities designated jointly by the representatives mentioned in 1°;
      3° Six representatives of enterprises and territorial authorities as follows:
      (a) Three representatives of the local authorities (Ile-de-France Regional Council, City of Paris and Seine-Saint-Denis General Council) due to a representative per community;
      (b) Three representatives appointed by companies, public institutions of inter-communal cooperation and associations designated after deliberation of the board of directors, on the proposal of the representatives mentioned in 1°;
      4° Sixteen elected representatives of professor-researchers, teachers and researchers in positions within USPC as follows:
      (a) Eight elected representatives of the professors and assimilates performing their duties within USPC and/or within a member;
      (b) Eight elected representatives of other professor-researchers, teachers and researchers in USPC and/or a member;
      5° Eight elected representatives of other staff performing their duties within and/or within a member;
      6° Eight elected representatives of users who receive training in USPC and/or within a member.


      Article 7.2
      Election of representatives of categories 4° to 6°


      For each of the categories and subcategories 4° to 6°, representatives in the Board of Directors of USPC shall be elected in accordance with the provisions of Article 6.3 by colleges of delegates constituted under the following conditions.
      By derogation from the provisions of this section, the personal staff of the Sorbonne Paris Cité University in office on the date of the election shall designate a single delegate who shall participate in the election of representatives in College 5° in accordance with the terms described in the rules of procedure.


      Article 7.2.1
      College of delegates of categories and subcategories 4° and 5°


      Article 7.2.1.a
      Determination of the number of delegates per college


      The representatives of category 4 are divided into two separate sub-categories which are, on the one hand, sub-category 4°-a of teachers and assimilated and, on the other, sub-category 4°-b of other teachers-researchers, researchers and teachers.
      For each of the categories and subcategories 4°-a, 4°-b and 5° are composed of the colleges of delegates designated under the conditions described in 7.2.1.b.
      For category 5° and for subcategories 4°-a and 4°-b, the number of delegates is fixed according to the ownership of the establishment at one of the following groups, defined by the number of the respective staff in each of these three categories or subcategories.
      Number of delegates of subcategories 4°-a and 4°-b:
      1st group from 1 to 9: 3 delegates for 4°-a; 3 delegates for the 4th-b;
      2nd group from 10 to 49: 6 delegates for 4°-a; 4 delegates for the 4th-b;
      3rd group from 50 to 499: 12 delegates for the 4th; 5 delegates for the 4th-b;
      4th group from 500 to 899: 16 delegates for the 4th; 7 delegates for the 4th-b;
      5th group: more than 900: 20 delegates for the 4th group; 8 delegates for the 4th-b.
      Number of delegates of category 5°:
      1st group of 1 to 199: 3 delegates;
      2nd group from 200 to 499: 4 delegates;
      3rd group from 500 to 899: 5 delegates;
      4th group over 900: 6 delegates.


      Article 7.2.1.b
      Designation of delegates of categories and subcategories 4° to 5°


      For each of the categories and subcategories 4°-a, 4°-b and 5°, delegates are designated, for each institution, by the elected members of each of the corresponding categories within the board of directors, or the proceeding in lieu of higher education and research institutions.
      Where, for a particular institution, the number of elected representatives under the category or sub-category within the board of directors (or proceeding in lieu) is identical to that of the number of delegates to be designated, all elected members of that class or sub-category shall be designated as a delegate of law.
      Where, for a particular establishment, the number of elected representatives under the category or sub-category within the board of directors (or proceeding in lieu) is less than that of the number of delegates to be designated, all elected members of that class or sub-category are designated as law delegates; in this case, it is the establishment's responsibility to determine the terms and conditions for appointing delegates whose seats are not filled. In particular, it may resort to elected officials from other bodies.
      Where, for a particular institution, the number of elected representatives under the category or sub-category within the board of directors (or proceeding in lieu of the proceeding) is greater than the number of delegates to be designated, it is up to the establishment to determine the terms and conditions for the designation of delegates among the elected members of the class or sub-category.


      Article 7.2.2
      College of delegates of category 6


      The College of Delegates for category 6 is composed of elected representatives of the users in the boards of directors, and if necessary, in the academic councils of the higher education institutions.
      The number of delegates under category 6 is determined based on the establishment's membership in one of the following five groups defined by the proportion of the number of employees in the user category:
      1st group: from 1 to 499.
      The establishments in the first tranche have 4 delegates;
      2nd group: 500 to 6,999.
      The establishments in the second tranche have 8 delegates;
      Group 3: 7,000 to 14,999.
      The establishments listed in the third tranche have a number of delegates representing the total of elected representatives who hold the users on the board of directors, or proceeding in lieu of the proceedings, and elected representatives of the users on the research commission and on the board of training and student life, or bodies taking place;
      Group 4: 15,000 to 22,999.
      The establishments in the fourth tranche have a number of delegates corresponding to the total of elected representatives holding and alternate representatives of the users to the board of directors, or proceeding in lieu of the proceedings, and elected representatives of the users to the research commission and the training and student life commission, or proceedings taking place;
      5th group: over 24,000.
      The establishments in the fifth tranche have a number of delegates corresponding to the total of elected representatives holding and alternate representatives of the users to the board of directors, or proceeding in lieu of the proceedings, and elected representatives of the users to the research commission and the student life commission, or proceedings taking place. Each elected representative who holds and alternates on the board of directors, or of the proceeding in lieu of the proceeding, shall also designate an additional delegate from among the alternate representatives of the users to the research commission and to the training and student life commission, or proceedings taking place.
      The board of directors, research commission and training commission and student life are defined for each institution concerned in the rules of procedure.
      The number of delegates per college institution to elect representatives from category 6 to the USPC Board of Directors is specified in the rules of procedure.


      Article 7.3
      Establishment of lists of candidates for appointments as representative to the Board of Directors of USPC


      The staff and users of the institutions registered on the lists of electors of the college of public institutions of higher education and research mentioned in section 2.1 shall be eligible for the terms of reference of the board of directors. By derogation from the foregoing, the personal staff of the Sorbonne Paris Cité University in office on the date of the vote are eligible under the only 5° College.
      Each list of candidates under categories 4°-a, 4°-b and 5° shall include persons registered on the lists of electors of at least six (6) establishments.
      Each list of candidates for category 6 shall include, among the incumbent and alternate candidates, users registered on the lists of electors of at least six (6) establishments and, among the incumbent candidates, at least five (5) establishments.


      Article 7.4
      Duration of mandate


      The term of office of directors of the board of directors shall be four (4) years renewable once, with the exception of the terms of reference of the representatives of the users, fixed at two (2) years, and the term of office of the joint representative of the research organizations, whose duration is specified by the rules of procedure, not less than one (1) year.
      The term of office of the directors shall be effective from the first meeting convened at the end of the election (elected administrators) or their designation by the competent authority (appointed administrators).
      When a member of the board of directors loses the quality for which he or she has been appointed or when his or her seat becomes vacant for any cause, a new director shall be designated for the remainder of the term to be carried out under the conditions set out in the rules of procedure.


      Article 7.5
      Attributions


      The Board of Directors shall, where applicable after notice of the Board of Members as specified in section 10.2, deny:
      1° General guidance and the annual work programme of USPC;
      2° The common part of the multi-year settlement contract with the State;
      3° General organization and operation of USPC;
      4° USPC training and diploma offer;
      5° Membership in the community as a member, after favourable advice from the Council of Members;
      6° The association to the community, on the basis of theArticle L. 718-3 paragraph 1 of the Education Codenew higher education institutions or research organizations, after favourable advice from the Council of Members;
      7° Terms and conditions for withdrawal of a member;
      8° USPC's own budget and changes, financial account and results allocation;
      9° The rules of procedure and its amendments;
      10° The rules relating to the doctoral, accreditation process and the issuance of USPC trainings;
      11° General terms and conditions of employment of USPC's own personnel, including contractual agents;
      12° Digital resources, their management tools and documentary policy;
      13° Acquisitions, alienations and exchanges of buildings;
      14° leases and rentals of buildings;
      15° The alienation of movable property;
      16° Acceptance of gifts and bequests;
      17° Participation in legal entities, including through the taking of participation and the creation of subsidiaries;
      18° The conventions;
      19° The legal actions, both in demand and in defence, the transactions and the use of arbitration in cases of disputes arising out of the execution of its contracts with foreign agencies;
      20° The annual activity report, the social balance sheet and the disability master plan;
      21° Election of the Chair or Chair of the Board of Directors;
      22° The appointment of the Vice-Chair or Vice-Chairperson responsible for digital resources on the proposal of the Chair or Chair of the Board of Directors after a vote of single-majority directors and other Vice-Chairs;
      23° The appointment of representatives of the socio-economic world participating in the meetings of the Council of Members under the conditions set out in Article 10-3 of these statutes;
      24° The establishment of any commission or committee that it considers useful or proposed to it by the chair or chair, as these committees or committees are placed directly under its authority in accordance with the terms and conditions set out in the rules of procedure;
      25° The proposal to the Minister responsible for higher education and for any modification to these statutes;
      26° The designation of companies and organizations represented within the company under category 3°-b.
      Within the limits it determines, the board of directors may delegate to the president or president any or all of its powers in the matters mentioned from 14° to 19°. The Chair or Chairperson shall report, at the next session, on the decisions he or she has made under that delegation.


      Article 7.6
      Meetings. - Decision-making


      The Board of Directors meets at least three times a year on the convocation of its Chair or Chair, or at the request of at least half of the directors. The board of directors shall be validly deliberated if the majority of members are present or represented. If the quorum is not reached at the opening of the session, the board shall be reconvened within eight days on the same agenda. It then deliberates validly, regardless of the number of directors present or represented.
      The Secretary General and the Accountant shall participate in the Board of Directors with an advisory voice.
      The Chair or Chair of the Academic Council participates in the Board of Directors without a deliberate vote. The same applies to any person invited by the Chair or Chair of the Board of Directors to collect his or her opinion.
      When the chair or chair cannot preside over a session of the board, his or her functions are performed by one of the directors of the board of directors on the terms and conditions set out in the rules of procedure.
      A director may give power to another administrator. No one can carry more than two proxys.
      The procedure for convening and holding meetings of the board of directors is detailed in the rules of procedure.
      Each administrator has one voice. The deliberations are taken by a simple majority of directors present or represented. In the event of a vote-sharing, the chair or chair is preponderant.
      By exception to the above, the Board of Directors' deliberations are adopted by an absolute majority of the directors in exercise:
      1° For amendments to the rules of procedure;
      2° For any changes to the statutes including, inter alia, the membership or withdrawal of a member; in support of its vote, the board of directors is informed of the distribution of the respective votes of higher education institutions and research organizations within the board of members.
      Deliberations on matters falling within the 26th of Article 7.5 are adopted by a majority of the directors in exercise under categories 1°, 4°, 5° and 6°.


      Article 8
      Presidency of Sorbonne University Paris Cité


      Article 8.1
      Election


      The Board of Directors shall elect the President or the Chairperson in accordance with the rules of procedure. The term is four years and renewable once.
      The chair or chair shall be elected by an absolute majority of the members present or represented.
      provisions of Article L. 711-10 of the Education Code the age limit applies to the term of office of president or president.


      Article 8.2
      Attributions


      The Chair or Chair shall be responsible for the direction of USPC as defined by the Board of Directors. As such:
      1° He or she chairs the board of directors;
      2° He or she sets the agenda for the Board of Directors, prepares its deliberations and ensures its implementation;
      3° He or she fixes the agenda of the meetings of the Council of Members;
      4° He or she represents the establishment in justice and in all acts of civil life;
      5° He or she prepares the budget and ensures its execution;
      6° He or she is the order of expenditure and revenue;
      7° He or she shall report annually to the Board of Directors on the execution of the shares and its management;
      8° He or she shall submit the rules of procedure for approval by the board of directors after prior notice of the board of members and ensure its implementation;
      9° He or she has hierarchical authority over the staff of the establishment and functional authority over the officers designated by the members who perform all or part of their duties;
      10° It or it defines the internal organization of the services and branches of USPC;
      11° He or she is responsible for the proper functioning, respect for the order and security of the establishment;
      12° He or she may propose to the board of directors the creation of any commission or committee that he or she considers useful;
      13° He or she may exercise any mission delegated to him by deliberation of the board of directors;
      14° He or she proposes to the Board of Directors the appointment of Vice-Presidents, including at least one Vice-President or Vice-President responsible for digital resources, who or who is appointed in accordance with the provisions of section 7.4. ;
      15° He or she may delegate part of his or her powers to the Vice-President(s), within the limits and conditions determined by the Board of Directors;
      16° He or she appoints the Secretary General and officials of the internal departments and offices of Sorbonne University Paris Cité.


      Article 9
      Academic Council


      Article 9.1
      Composition


      The academic council consists of 74 members divided according to the following categories:
      1° Thirty-two representatives of professor-researchers, researchers and teachers in USPC and/or a member;
      2° Eight representatives of other staff performing their duties within and/or within a member;
      3° Twelve user representatives following training in USPC and/or within a member;
      4° Sixteen persons designated by the Council of Members to ensure a balanced representation of major scientific areas;
      5° Six personalities outside the meaning ofArticle L. 719-3 of the Education Code, agreed by the members of the academic council at the first meeting of the other members of the academic council:
      (a) Five external personalities under the 1st of Article L. 719-3;
      (b) An external personality belonging to the 2nd of Article L. 719-3.


      Article 9.2
      Mode of designation and election of members


      The elected members of the academic council shall be appointed on the basis of the provisions of Article 6.3 of these statutes.
      By derogation from the above, where an institution has a single representative on the academic council under the category concerned, the representative is elected by a two-way uninominal vote. In this case, candidates who obtain the absolute majority of votes cast in the first round are elected. If no candidate reaches this threshold, a second ballot shall be held; the elected candidate is the one who obtained the largest number of votes.


      Article 9.2.1
      Designation of representatives of categories 1° and 2°


      The members of categories 1° and 2° are appointed by the representatives elected in the academic councils, or in the proceedings that take place, of each member institution, with equal number of representatives by institutions. These elections shall be conducted in accordance with the terms and conditions of each institution in accordance with the terms and conditions described in section 6.3.


      Article 9.2.2
      Designation of representatives of category 3°


      The members of category 3 are divided into two subcategories:
      1° The members of category 3°-a are appointed by the representatives of the users in the boards of training and student life, or in the bodies that take place, of each member institution, with equal number of representatives per institution. These elections shall be conducted in accordance with the terms and conditions of each institution in accordance with the terms and conditions described in section 6.3.
      2° The members of category 3°-b are elected by a panel of delegates appointed by the representatives of the users in the academic councils' research committees, or by the bodies taking place. These elections are carried out in accordance with the terms of Article 6.3 of these statutes. Each list of candidates for category 3°-b must include persons on the lists of electors of at least three (3) establishments.
      The rules of procedure specify the terms of designation of categories 4° and 5°.


      Article 9.3
      Eligibility to serve as a representative to the USPC Academic Council
      Article 9.3.1
      Eligibility under categories 1° and 2°


      Eligible for the terms of office of representative to the academic board under categories 1 and 2 of the staff of the institutions registered on the lists of electors of the college of public institutions of higher education and research mentioned in article 2.1 under the category concerned.


      Article 9.3.2
      Eligibility under category 3°


      Eligible for terms of reference as a representative to the Academic Council under category 3°-a to users of member institutions.
      Eligible for the terms of reference of a representative to the academic council under category 3°-b the users enrolled in a doctoral training within the meaning of the order of August 7, 2006 on doctoral training.


      Article 9.4
      Mandate of members and Chair of the Academic Council


      The term of office of the members of the academic council shall be four (4) years, with the exception of the elect of the users, whose term is two (2) years. When a member of the academic board loses the quality for which he or she has been appointed or when his or her seat becomes vacant for any cause, a new administrator shall be designated for the duration of the remaining term, under the conditions established by the rules of procedure.
      The academic council elects in its midst its president or president by absolute majority in a two-way uninominal election.
      The term of office of the president or president of the academic council expires on the expiration of the term of office of the elected representatives of the academic council staff.


      Article 9.5
      Attributions


      The academic council exercises the advisory role envisaged in theArticle L. 712-6-1 of the Education Code. The academic council gives an opinion on the shared project, the common part of the multi-year contract, the modalities of scientific and educational organization and the amendments to the rules of procedure. His notices are forwarded to the USPC Board of Directors.
      It may refer to the Council of Members on matters within its responsibilities.
      Commissions may be established within the Board and be consulted as much as required by the President or President of USPC.


      Article 9.6
      Meetings. - Decision-making


      The academic council meets at least once a academic semester, on the convocation of its president or president, which sets out the agenda. It may also, in accordance with the terms and conditions specified in the rules of procedure, be convened at the request of at least one third of its members on a specific agenda.
      When the chair or chair cannot preside over a session of the academic council, his or her functions are performed by one of the members of the council according to the conditions defined by the rules of procedure.
      Members of the academic board may give power to another member of the board. No one can carry more than one (1) proxy.


      Article 10
      Council of members


      Article 10.1
      Composition


      The Council of Members shall bring together a representative of each of the members of USPC, designated in accordance with the rules in force within each member.
      When a member of the Council of Members loses the quality for which he or she has been designated or when his or her seat becomes vacant for any cause, a new member is designated under the same conditions.


      Article 10.2
      Attributions


      The Council of Members is associated with the preparation of the work and the implementation of the decisions of the Board of Directors and the advice of the Academic Council.
      The Council of Members shall have a principal advisory role. As such, under the terms defined in the rules of procedure, it may be seized at any time by the academic council and by the board of directors on all or part of the draft deliberations of the latter.
      By exception to the above, the members' council is obligatoryly consulted on the following topics:
      1° The definition of shared project;
      2° The signing of the multi-year settlement contract;
      3° General guidance and the annual work programme of USPC;
      4° The adoption or modification of the budget;
      5° The amendment of the rules of procedure;
      6° The common part of the multi-year contract;
      7° The amendment of the statutes including, inter alia, membership or withdrawal of members;
      8° Association of higher education institutions.
      The favourable opinion of the Council of Members is required, in accordance with the terms specified in 10.4, with respect to items 5° to 8°.


      Article 10.3
      Meetings


      The Council of Members shall meet at least three times a year on the convocation of its President or its Chair, which shall determine its agenda. It may also, in accordance with the terms and conditions specified in the rules of procedure, be convened at the request of at least one third of its members on a specific agenda.
      It is chaired by the Chair or Chair of the Board of Directors.
      The Chair or Chair of the Academic Council may attend meetings of the Council of Members without a deliberate vote. Also attend the meetings of the Council of Members, and without a deliberate voice, representatives of the socio-economic world partners of USPC and engaged in its shared project. The list of these representatives, whose number cannot exceed that of the members, is approved by the Board of Directors on the proposal of the Chair or Chair.
      The Secretary-General attends meetings of the Council of Members without a deliberate vote.
      When the chair or chair cannot preside over a meeting of the members' council, his or her functions are performed by one of the members of the board on the terms and conditions set out in the rules of procedure.
      Members of the Council may give power to another member of the Council. No one can carry more than one proxy.
      For any decision-making requiring a vote, the board shall meet validly if the majority of members are present or represented. If the quorum is not reached at the opening of the session, the board will be reconvened on the same agenda within eight days. It then meets validly, regardless of the number of members present or represented.


      Article 10.4
      Opinions and votes


      Each member serving on the board of members has one (1) vote. Members' advice is obtained by a simple majority of members present or represented.
      However, in order to be adopted, notices falling within 6° to 8° of 10.2 must obtain a two-thirds majority of the board members:
      1° The common component of the multi-year settlement contract;
      2° The modification of these statutes, including membership, withdrawal of a member and their consequences;
      3° Association of higher education and research institutions.
      The distribution of votes between higher education institutions and research organizations is presented to the Board of Directors in support of its vote.
      The rules of procedure and its amendments are submitted to the board of members and must obtain a favourable opinion from a two-thirds majority of the members present or represented before being presented to the board of directors.

    • Part IV: OPERATIONAL PILOTAGE INSTANCES


      Article 11
      Office


      Placed under the authority of the chair or chair of the board of directors and intended to assist him, the office is responsible for:
      1° To conduct all preparatory work for the definition and implementation of the shared strategy, including the identification of shared objectives, implementation modalities, means and structures required;
      2° Implement all deliberations of the Board of Directors;
      3° To prepare the sessions of the board of directors and those of the board of members.
      In addition to the president or president of USPC, the office is composed of the chairs or directors of institutions under the College of Higher Education and Research Institutions as defined in section 2.1 of these statutes. The secretary-general attends the office. Depending on the agenda, the chair or chair may invite other persons.
      The chiefs of establishment of the second college (research bodies) are invited to attend the meetings of the office when the point addressed deals with the area of territorial coordination that concerns them.
      The operating rules of the office are defined in the rules of procedure.


      Article 12
      Scientific and educational Organization


      As part of the implementation of the USPC project, the office may propose to the Board of Directors the internal terms of scientific and educational organization.
      The proposals are submitted for advice to the academic council.


      Article 13
      Common departments and services


      In order to carry out its mission, USPC organizes itself in services.
      It has:
      1° Detached or contracted personnel, placed under the authority of the Chairperson;
      2° In accordance with the law of the public service, personnel from member institutions may exercise all or part of their duties, with their agreement, in the services of USPC. These officers are then placed under the functional responsibility of the President of USPC.
      USPC is subject to the provisions of Decree No. 2011-184 of 15 February 2011 relating to technical committees in government departments and public institutions of the State.

    • Title V: FINANCIAL RESOURCES. - ADMINISTRATIVE AND COMPTIVE FINANCIAL MANAGEMENT


      Article 14
      General provisions


      As a scientific, cultural and professional public institution, USPC reports to the financial regime as defined in chapter IX of Book VII of the Code of Education and to its texts of application.


      Article 15
      Income


      USPC's own revenues include:
      1° Contributions of any kind made by members;
      2° State subsidies;
      3° Subsidies of local authorities;
      4° Resources obtained from funding agencies for the participation of Sorbonne Paris Cité University in national or international programmes;
      5° The product of participation in ongoing training specific to USPC;
      6° The product of the research or enhancement contracts for the research of USPC, including the products of the exploitation of patents and licences;
      7° The proceeds of services of any kind;
      8° The product of alienations;
      9° The product of participations;
      10° Donations and bequests;
      11° Any other resources authorized by the laws and regulations in force.


      Article 16
      Expenditure


      USPC's own expenditures include the costs of its own personnel, equipment and operating expenses and, in general, all expenses required for its operations.
      The annual initial budget and revisions over the course of the year, subject to the Board of Directors' deliberation, must be balanced in revenues and expenditures.


      Article 17
      Accountant


      The accounting officer of USPC shall be appointed by joint order of the Minister in charge of higher education and the Minister in charge of the budget.

    • Part VI: REVISION OF STATUS AND INLAND REGULATIONS


      Article 18
      Revision of statutes


      In accordance withArticle L. 718-8 of the Education Code, the statutes are amended by deliberation of the Board of Directors of USPC after a favourable opinion from the Board of Members.
      These revisions are approved by decree.


      Article 19
      Procedure for taking minority notice into account


      The procedure for taking into account a minority opinion is in place in the case of a negative vote of at least one of the members following a vote of the council of the members on one of the three points, defined in article 10.4 of the present statutes, which require a vote by a two-thirds majority.
      The implementation of this procedure suspends the process of transmitting the advice of the board of members to the board of directors for a period of three months, during which a consultation is organized within the board of members and each of the institutions. At the end of this period, the notice, in its original form or as amended after consultation, is again subject to the vote of the Council of Members, before transmission to the Board of Directors of USPC. The advice of the Board of Members is mandatory on the Board of Directors' agenda for approval.
      At the end of a positive vote by the Board of Directors of USPC on a notice by the Council of members taken by a qualified two-thirds majority, a new negative vote of the deliberative proceeding of a member constitutes an application for the withdrawal of the community. The board of directors of Sorbonne Paris Cité deliberates on the terms and conditions of the member's withdrawal at the first session following this request.
      After changing the contractual commitments made within the framework of the COMEU, which concerns the member withdrawing, the withdrawal is effective on the date of publication of the amended Statutes Decree.


      Rule 20
      Rules of procedure


      The rules of procedure are adopted or amended by the Board of Directors after a favourable opinion from the Council of Members and consultation with the Academic Council.

    • Part VII: TRANSITIONAL MEASURES


      Article 21
      Presidency


      The chair in office at the time of publication of the statutes shall remain in office until the election of the new chair of the board of directors under the conditions set out in section 22.2 of the present statutes.


      Article 22
      Implementation of new statutes


      The new statutes are established in accordance with provisions of Article 117 of Act No. 2013-660 of 22 July 2013 related to higher education and research.


      Article 22.1
      Rules of procedure


      The current board of directors on the date of publication of the statutes shall, within a maximum period of three (3) months after the publication of the statutes, adopt the rules of procedure of USPC.
      The current president at the time of the publication of the statutes shall carry out all the operations necessary for the creation of the USPC bodies.


      Article 22.2
      Board of Directors


      Within a maximum period of six (6) months from the adoption of the rules of procedure and pursuant to the latter, the incumbent president shall organize the elections of the directors referred to in 4°, 5° and 6° of section 7.1 of these statutes. The terms of reference of the directors shall be effective from the first meeting convened for the appointment of members of categories 2° and 3°.
      Within a maximum period of two (2) months from the election of directors mentioned in the 4th and 5th, the president summons the administrators of categories 1°, 4°, 5° and 6° in order to appoint the members of categories 2° and 3°.
      Within a maximum period of one (1) month from the appointment of members of categories 2° and 3°, he shall summon the board of directors who shall elect, under the conditions set out in section 7.1 of these statutes, the President of USPC.


      Article 22.3
      Academic Council


      As of the adoption of the rules of procedure and pursuant to the rules of procedure, the president in office at the time of publication of the statutes shall, within a maximum of six (6) months, organize the elections to the academic council.
