    STATUS OF THE AGRICOLE SOCIAL MUTUALITY
    OF THE OR DEPARTMENTS OF .....

    PART I
    CONSTITUTION AND OBJECT OF CAISSE
    Article 1
    Mandatory provision


    The agricultural social mutuality fund of the department(s) of .... is constituted in accordance with articles L. 723-1 and L. 723-2 of the rural code.
    It is governed by articles 1027 and 1085 of the General Tax Code and the legislative and regulatory provisions applicable to the social protection regimes of nationals of agricultural professions.
    As part of these provisions, these statutes are intended to complement and specify the operating rules of the organization.


    Article 2
    Mandatory provision


    The duration of the body is ninety-nine years from the date of creation of the body. The social exercise is confused with the calendar year.


    Article 3
    Mandatory provision

    Article 4
    Mandatory provision


    The agricultural social mutuality fund of the department(s) of ...., responsible for the interests of its agricultural nationals
    with regard to their social protection, the aim is:
    1. To ensure, in accordance with existing legislation and regulations, the management of social protection schemes for agricultural nationals, namely:
    (a) Mandatory social insurance for employees of agricultural professions;
    (b) The insurance of workers employed in agriculture against industrial accidents and occupational diseases;
    (c) Obligatory insurance for the risks of illness, maternity and disability of non-employed persons in agricultural occupations and assimilated, as a direct insurer and as a body responsible for the tasks defined by Article L. 731-32 of the Rural Code;
    (d) Old-age insurance, compulsory supplementary old-age insurance and insurance for non-employed persons in agricultural and assimilated occupations;
    (e) Insurance of agricultural non-salarie against industrial accidents and occupational diseases;
    (f) The family benefits of employed and non-employed persons in agricultural occupations;
    (g) Preventive medicine in agriculture.
    2. Implement health at work.
    3. To promote, animate and manage health and social action.
    4. To participate in all institutions involved in the social protection of nationals of the agricultural regime and to create, develop works; institutions or institutions intended to improve the health and social condition or to participate in their creation or development.
    5. Directly manage works, institutions or institutions intended to improve the health and social state.
    6. Ensure partial management of activities in direct or complementary relationship with the management of social protection schemes for agricultural nationals.
    7. To contribute to the health and social development of rural territories.


    Optional provision


    8. To help ensure continued professional training in the context of ongoing education.


    PART II
    STRUCTURE AND FINANCIAL ORGANIZATION
    Article 5
    Mandatory provision


    Revenues from the Agricultural Social Mutual Fund of the Department(s) include:
    - resources for the financing of the benefits and expenses of compulsory agricultural insurance, insurance of workers employed in agriculture against occupational accidents and diseases, compulsory insurance "health, disability, maternity", agricultural operators, agricultural old-age insurance, compulsory supplementary old-age insurance and insurance for non-salarie agricultural, family benefits, preventive medicine and health insurance
    ― the contribution to the financing of the expenses of the management of social insurance plans, the insurance of workers employed in agriculture against occupational accidents and diseases, the health insurance of the operators, the old age insurance, the compulsory supplementary old-age insurance and the insurance of non-salarie agricultural, family benefits, the insurance against accidents and occupational diseases of non-salaried persons;
    - the resources received from the Central Fund for Agricultural Social Mutuality, in accordance with the institutional financing regulations, the regulation of the agricultural crisis solidarity fund and the regulation of the financing of occupational health services, under the financing of management, health and social activities, medical and occupational health control;
    - other resources for prevention and health and social action;
    - the resources received under the old-age solidarity fund, the disability solidarity fund and all other funds;
    - the amounts paid by other organizations or structures for the payment of services or the reimbursement of expenses made by the Agricultural Social Trust Fund for the performance of tasks performed on their behalf or pursuant to articles L. 723-7, L. 731-32, R. 731-111 and R. 731-112 of the Rural Code;
    - the amount of delay increases and penalties;
    ― eventually, the proceeds of rents of the premises belonging to the caisse and leased to third parties;
    the product of all appeals;
    the interests and products of the funds placed;
    – the grants, gifts and bequests that the caisse would receive.


    Article 6
    Mandatory provision


    The expenses of the agricultural social mutuality fund of the department(s) include:
    ― the benefits and expenses provided by the legislative and regulatory texts under compulsory agricultural social insurance, insurance of workers employed in agriculture against occupational accidents and diseases, compulsory insurance "health, disability, maternity", agricultural operators, old-age insurance, compulsory supplementary old-age insurance and insurance for non-salarie agricultural workers, family benefits, occupational health insurance
    - the benefits provided under the old-age solidarity fund, the disability solidarity fund and all other funds;
    - administrative management costs;
    - medical control costs;
    - expenses of prevention and health and social action;
    - advances to the Central Fund for Agricultural Social Mutuality under the Fund for Agricultural Crisis Solidarity;
    - miscellaneous expenses.


    PART III
    ADMINISTRATION COUNCIL
    Article 7
    Mandatory provision
    A. ― First formula


    Agricultural social mutuality fund of the department
    is administered by a board of directors established in accordance with section L. 723-29 of the rural code.
    The Board of Directors may call to attend its meetings, on an exceptional basis, on specific topics, any qualified person whose presence it considers useful.


    B. ∙ Second


    The agricultural social mutuality fund whose electoral district extends over the departments of and
    is administered by a board of directors established pursuant to section L. 723-30 of the rural code.
    The Board of Directors may call to attend its meetings, on an exceptional basis, on specific topics, any qualified person whose presence it considers useful.


    Article 8
    Mandatory provision


    The term of office of elected or appointed directors shall be five years.
    Their mandate is renewable.
    The term of office of any elected or designated administrator who ceases to be eligible to be registered on the lists of electors of the agricultural social mutuality under the electoral college in which he was elected or designated as well as in the cases referred to in Article L. 723-21 of the rural code.
    In the event of a serious fault of a director or in the event of non-payment by a director of his/her contributions, the administrator may be revoked under the conditions set for the application of section L. 723-39 of the rural code.
    It is provided for the vacancy of the administrator's mandates for any cause under the conditions provided for in articles R. 723-94 and R. 723-95 of the rural code. The term of office of directors elected or appointed as replacement shall be limited to the remaining term of office of the predecessor administrator.


    Article 9
    Mandatory provision


    The functions of a board member are free of charge.
    However, the members of the board of directors, on the occasion of the exercise of their mandate, are reimbursed for their travel and residence expenses and may receive lump sum allowances representative of the time spent in the exercise of their mandate, under the conditions fixed for the purposes of sections L. 723-37 and R. 723-103 of the rural code.
    Non-employed members working on the board of directors may, instead of vacations, opt for a replacement lump sum allowance equal to the amount determined under the conditions set out in section L. 732-12 of the rural code.
    Employee administrator employers are also reimbursed the wages maintained to enable them to perform their duties during the working time and the social benefits and expenses associated with them.


    Article 10
    Mandatory provision


    The Board of Directors rules by its deliberations the cases of the caisse. It shall decide in all matters that do not fall within the competence of the Director or General Assembly as specified in Articles L. 122-1 of the Social Security Code, L. 723-41, L. 723-46 and R. 723-106 of the rural code. The council has the following powers, which are given to it by the rural code and theArticle R. 121-1 of the Social Security Code :
    - it represents the fund for third parties, including government, agricultural professional organizations, other social security organizations and health professions;
    ― it develops the statutes and rules of procedure and any proposals to amend the statutes and rules of procedure that it submits to the approval of the General Assembly;
    ―he decides to join the caisse in an association or economic interest group established pursuant to article L. 723-5 of the rural code;
    ―he decides to join the caisse in a union, a social economic union, an economic interest group or a real estate civil society referred to in article L. 723-7 of the rural code;
    ―he summons the general assembly and sets its agenda;
    ―he decides on any agreements with third parties, except in matters that fall within the authority of the director to ensure the operation of the body;
    - it appoints or terminates management officers, accounting officer, consulting practitioners and occupational doctors and sets out their working and compensation conditions by observing the legal, regulatory and conventional provisions;
    - it consents to the executive staff to the necessary delegations of authority to ensure, under the legislative and regulatory legislation and under its control, the operation of the caisse;
    ―it outlines all general guidelines;
    ―he shall vote the budgets and approve, unless the two-thirds majority of the members vote, the annual accounts prepared by the accounting officer and determined by the director of the credit union;
    - it sets the rules for the financial investments of the caisse;
    - it decides the acquisition, exchange, rental, construction, development, sale of all buildings, under the regulatory conditions;
    ―he decides on borrowings necessary to finance the investment of the caisse;
    – it decides the opening of all accounts of deposits of funds or securities;
    ―he shall, with the commission of contracts, exercise the powers conferred upon him by the interdepartmental decree regulating the markets of social security organizations under theArticle L. 124-4 of the Social Security Code ;
    except in matters reserved by legislation or regulations, including articles L. 122-1, R. 121-1 and R. 121-2 of the Social Security Code with respect to the authority of the Director in the matter of representation of the body in justice and in all acts of civil life, he authorizes all judicial proceedings and represents the body before all jurisdictions, he treats, transigates and compromises all interests of the body;
    - it designates or proposes its representatives in the various commissions or committees established by a legislative or regulatory text;
    ―he may delegate, substitute and constitute all agents, in accordance with legislative and regulatory provisions.


    Article 11
    Mandatory provision
    A. ― First formula


    Upon their election by the General Assembly, the members of the Board of Directors met immediately to elect the office, which at least includes:
    the president;
    – the first vice-president of the component, employee or non-employed, different from that of the president;
    – two vice-presidents representing the two colleges that do not belong to the first vice-president and a vice-president representing families.
    The election of the office by all members of the council shall be made by secret ballot by the absolute majority of the vote in the first round and by the relative majority in the second round.
    To the extent that they are not already members of the office pursuant to the preceding paragraphs, the chairs of the committee on the social protection of agricultural non-salaries, the committee on the social protection of agricultural workers and the committee of health and social action shall participate fully in the deliberations of the office.
    The chair or, in the event of the incapacity of the chair, the first vice-president or, in the event of the incapacity of the vice-president, another vice-president shall ensure the permanent representation of the board of directors in the interval of the sessions of the board.


    B. ∙ Second


    Upon their election by the General Assembly, the members of the Board of Directors of the Multi-Departmental Fund shall meet immediately to elect the office, which shall include at least:
    the president;
    – the first vice-president of the component, employee or non-employed, different from that of the president;
    – two vice-presidents representing the two colleges that do not belong to the first vice-president and a vice-president representing families;
    – the chairs of departmental committees.
    The election of the office by all members of the council shall be made by secret ballot by the absolute majority of the vote in the first round and by the relative majority in the second round.
    To the extent that they are not already members of the office pursuant to the preceding paragraphs, the chairs of the committee on the social protection of agricultural non-salaries, the committee on the social protection of agricultural workers and the committee of health and social action shall participate fully in the deliberations of the office.
    The chair or, in the event of the incapacity of the chair, the first vice-president or, in the event of the incapacity of the vice-president, another vice-president shall ensure the permanent representation of the board of directors in the interval of the sessions of the board.


    Article 12
    Mandatory provision


    Upon a decision of the Board of Directors, the Bureau may proceed to pre-study matters on the Board's agenda. In the interval of meetings, it may ensure control over the application of Board decisions.
    The office may receive delegation from the board of directors in matters not reserved.


    Article 13
    Mandatory provision


    The Board of Directors shall meet at least six times a year on the summons addressed at least ten days in advance by the President or, in the event of the President's incapacity, by the First Vice-President or, in the event of his incapacity, by a Vice-President of the caisse, in the form of a single letter, fax or e-mail. The summons is obligatory if requested by the third party of the directors or by all the directors elected under one of the three electoral colleges.
    The convocation provides for the agenda of the meeting established by the President. Any questions that have been requested by at least five directors must also be included in the agenda.
    Only the issues on the agenda may be the subject of a decision of the Board of Directors.


    Article 14
    Mandatory provision


    The deliberations of the Board of Directors are valid as long as at least half of the directors are present.
    The quorum appreciates itself at the beginning of each of the sessions scheduled for deliberation.
    If the quorum is not reached, the board of directors will be convened at a new meeting on the same agenda and may validly deliberate whatever the number of directors present.
    The deliberations are taken by a majority of the votes of the members present. The President's voice is preponderant in case of sharing.
    The secret ballot vote is mandatory in respect of election and all matters when requested by a director. In the event of a vote sharing in a secret ballot, the question being put to the vote is subject to a second secret ballot vote during the council session; in the event of a new exchange of votes, this issue is not adopted and must be included in the agenda of the next session.
    Board members may not be represented at the sessions.
    Directors and all persons who are required to attend the Board of Directors' meetings are held at discretion in respect of information of a confidential nature and as such by the President of the Board of Directors and in respect of the rules relating to professional secrecy. The breach of the duty of discretion may incur civil liability.


    Article 15
    Mandatory provision


    The board of directors shall designate, for each of its sessions, a secretary who may be taken outside of its members.
    It is established a attendance sheet for each session of the board of directors or any commission constituted in its womb.
    The proceedings shall be recorded by minutes signed by the President or, in the event of the incapacity of the President, the First Vice-President or, in the event of the incapacity of the President, a Vice-President and the Secretary (or a director) and chronologically connected or registered in a special register or held on a medium to guarantee their authenticity and integrity. Copies or excerpts from these minutes to be brought to justice or to a third party are certified in accordance with either the President or the First Vice-President or by a Vice-President or by the Conference Secretary. The rationale for the number and quality of the members of the board of directors is, vis-à-vis the third parties, the denunciation of the names of the members present and those of the absent members in the minutes of deliberation and the extract that is issued.
    When the designation of members of a committee or commission is made that a class of directors (agricultural operators, employees, labour employers or family representatives) is not represented, one of the directors of that class may be called upon to assist in an advisory capacity in the work of that committee or committee.


    PART IV
    DIRECTOR (GÉNÉRAL)
    Article 16
    Mandatory provision


    The operation of the body and the execution of the decisions of the board of directors shall be carried out by the Director (General) under the control of the board of directors.
    The Director shall exercise the powers entrusted to him by the rural code and by the Articles L. 122-1 and R. 122-3 of the Social Security Codeincluding:
    - he represents the body in justice and in all acts of civil life;
    ―he decides on legal actions in the areas provided for inArticle L. 122-1 of the Social Security Code ;
    ―it stops the accounts of the organization;
    ― under the control of the board of directors, it carries out with the accounting officer the financial and accounting operations of the credit union, including expenses, accounts receivables and debts, issues orders of revenue and expenses;
    – he has sole authority over staff and sets the organization of work in services. As part of the provisions governing staff, it shall make any individual decisions that involve personnel management, including job names, severance, advance and discipline, within the limits of the powers expressly conferred on the board of directors.
    The Director may delegate, under his or her responsibility, part of his or her powers to certain officers of the caisse.


    PART V


    THE COMMITTEE ON THE SOCIAL PROTECTION OF SALARIES AND NON-SALARIES AND THE COMMITTEE FOR SANITARY AND SOCIAL ACTION


    Article 17
    Mandatory provision


    The Committee on Social Protection of Agricultural Employees is composed in accordance with Article L. 723-31 of the Rural Code.
    The Committee on the Social Protection of Agricultural Non-Salaries is composed in accordance with the same article.
    The Health and Social Action Committee, provided for in Article L. 726-1 of the Rural Code, is composed in accordance with Article R. 726-3 of the same Code. Its members are elected by an absolute majority of the vote in the first round and by a relative majority in the second round.


    Article 18
    Mandatory provision


    On each renewal of the board of directors, the committee for the social protection of agricultural workers and the committee for the social protection of agricultural non-salarie each elect their president by the absolute majority of voters in the first round and by the relative majority in the second round.
    Each year, the health and social action committee elects its president by an absolute majority of the vote in the first round and by a relative majority in the second round. The chair is provided alternately by an employee administrator and a non-employed administrator.
    The decisions of the committee on the social protection of agricultural workers, the committee on the social protection of agricultural non-salaries and the committee of health and social action are taken by a majority of the members present.
    In each committee, the chair's voice is preponderant in the event of a vote-sharing.
    In the event of the chair's incapacity, the committee shall designate a sitting chair from the same college as that of the chair.


    Article 19
    Mandatory provision


    The Chair of the Board of Directors shall transmit to the Chair of each of the Social Welfare Committees or to the Chair of the Health and Social Action Committee, for the purpose of deliberation for a consistent opinion or for a simple opinion, the matters referred to by the Board of Directors or by committees established within the Board in the areas for which the Act provides that the notice of these committees is required.
    The chair of the board of directors, or the director of the caisse, shall forward to the chair of the health and social action committee the applications for grants that the committee is called to instruct and the files of loans or aids that it is responsible for awarding.
    The chair of each committee, in conjunction with the chair of the board of directors or the director of the board of directors, shall summon the committee and seize the questions and requests referred to above.
    When a committee wishes to consider, at the request of one or more of its members, a matter within its jurisdiction as defined in section L. 723-35 or sections L. 726-1 and R. 726-1 of the rural code, it shall forward the request to the chair of the board of directors, who shall include the matter on the agenda of the next meeting of the board.
    This referral is entitled if requested by at least five members.
    The notices issued by the committees are communicated to the board of directors by the chair of the committee.


    Rule 20
    Mandatory provision


    The notices of the committees as well as the instruction of grant applications by the Health and Social Action Committee are found in minutes prepared by a meeting secretary who may be selected outside the committee members. These minutes are forwarded to the Chair of the Board of Directors to be attached to the minutes of the Board of Directors' deliberations on the related matters.
    Decisions taken by the Health and Social Action Committee are also recorded by minutes sent to the President of the Board of Directors, who is responsible for sending them to the audit, evaluation and oversight mission of the agricultural social welfare bodies.


    PART VI
    LOCAL AND DEPARTMENTAL STRUCTURES
    Chapter I
    Local level
    Article 21
    Mandatory provision


    The creation of local levels is decided by the board of directors. Local level membership functions are free of charge.
    The Board of Directors sets out the rules of operation and composition of the local levels: it determines, inter alia, their rules and the conditions under which the cantonal representatives of the agricultural social mutuality participate in the operation of these levels, which shall not have financial autonomy. He may involve all persons whom he deems useful in their action.
    He decides on reimbursement of travel and stay expenses for local delegates.


    Chapter II
    Departmental Committees (1)
    Article 22
    Mandatory provision


    The establishment of departmental committees within the departments of ..... and .... of the multi-departmental crate of .... is decided by the board of directors, in accordance with article L. 723-3 of the rural code.
    Each departmental committee consists of directors of the caisse, elected from the department concerned, a member designated by the departmental union of family associations and cantonal delegates of the same department.
    Cantonal delegates members of departmental committees may be:
    ― be elected by the cantonal delegates of the department, members of the general assembly, in accordance with the procedures established by the bodies of the bodies in accordance with the regulations specific to each college;
    or designated by the Board of Directors:
    - for employees, on the proposal of the employee component, in accordance with the results to the election of the board of directors;
    - for non-salaries, on the proposal of the non-salaried component,
    and with possible validation by the General Assembly.
    The board of directors of the caisse determines the distribution of cantonal delegates among the colleges within each departmental committee by ensuring the rules of distribution between the colleges, for the board of directors.


    Article 23
    Mandatory provision


    The Board of Directors sets out the operating and organization rules of departmental committees.
    The Board of Directors designates the chair of each departmental committee among the directors of the caisse and organizes the charge in the event of absence or incapacity of the caisse.


    Article 24
    Mandatory provision


    The departmental committees act within the framework of the policy and guidance defined by the board of directors and carry out the duties entrusted to them by the board under section L. 723-3 of the rural code.
    In particular, departmental committees, on the delegation of the board of directors, participate in the animation of the network of elected officials and can be consulted on individual requests for social contributions and individual aids related to health and social action, as well as any questions concerning the management of agricultural social protection schemes in the department and the health and social development of rural territories.

    PART VII
    GENERAL ASSEMBLY
    Rule 25
    Mandatory provision


    According to the provisions of Article L. 723-27 of the Rural Code, the General Assembly of the Agricultural Social Community of the Department(s) of .... is constituted by the meeting of the cantonal delegates of the agricultural social mutuality of the electoral district elected according to the provisions of articles L. 723-15 and following of the Rural Code.


    Rule 26
    Mandatory provision


    The functions of cantonal delegates are free of charge. They are, however, compensated for their travel and residence expenses caused by their participation in the general assembly or in the functioning of the local levels and, when they are responsible for a particular cash representation mission, upon the decision of the board of directors, they are reimbursed and compensated under the conditions defined for members of the board of directors. In accordance with Article R. 723-104 of the Rural Code, delegates to the General Assembly exercising an employee activity are reimbursed, on justification, for the actual loss of remuneration incurred as a result of their participation in the meetings of the General Assembly.


    Rule 27
    Mandatory provision


    As part of the legislative and regulatory texts, the General Assembly ruled sovereignly on all the interests of the caisse. It is, in its electoral district, the representative body of insured persons and their families with regard to agricultural social protection schemes. It carries out the tasks set out in article R. 723-106 of the rural code. The deliberations of the General Assembly, together with all accompanying documents, are brought by the President of the Board of Directors to the knowledge of the central board of the administration of agricultural social mutuality and transmitted to the audit, evaluation and control mission of the agricultural social welfare bodies.


    Rule 28
    Mandatory provision


    General assemblies are ordinary or extraordinary.
    The ordinary general assembly shall meet by decision of the board of directors whenever the interest of the caisse so requires and at least once a year.
    The General Assembly shall be convened by the President of the Board of Directors or, in the event of a failure of the Board, by the First Vice-President, or in the event of a failure of the Board, by a Vice-President of the caisse, by means of a simple letter addressed to the last known domicile of the members who compose it, a fax or e-mail, at least fifteen days in advance. The summons includes the agenda set by the board of directors.
    Decisions concerning the merger with one or more other agricultural social mutuality funds are taken in an extraordinary general assembly.
    The Extraordinary General Assembly may also be convened, in the event of exceptional circumstances, by the President, on the advice of the board of directors, upon request of the majority of cantonal delegates. The questions attached to the request for convening are mandatory on the agenda of the special meeting.


    Rule 29
    Mandatory provision


    The General Assembly shall be presided over by the President of the Board of Directors or, in the event of a failure of the Board, by the First Vice-President or, in the event of a failure of the Board, by a Vice-President or by any other administrator designated by the President.
    The president is assisted by three designated assessors, based on an assessor for all delegates from the first, second and third college respectively.
    The office shall designate the secretary of the assembly, who may be chosen outside the members of the assembly.


    Rule 30
    Mandatory provision


    The ordinary general assembly shall rule validly as long as the quarter of its members is present.
    If the quorum is not reached, the General Assembly shall rule validly on a second convocation, regardless of the number of delegates present or represented.
    Each delegate present may hold only one term entrusted to him by another delegate from the same college.
    Decisions of ordinary general assemblies shall be taken by a majority of votes cast by members present or represented.


    Rule 31
    Mandatory provision


    The Extraordinary General Assembly shall rule as long as, at the same time, half of its members and one-quarter of the delegates of each of the three colleges are present or represented.
    If, at the first convocation, the quorum set out in the preceding paragraph is not reached, the General Assembly shall rule on a second convocation, provided that the quarter of the members composing it is present or represented.
    The decisions of the extraordinary general assemblies shall be taken by a majority of the votes cast by the members present and represented.

    Rule 32
    Mandatory provision


    For each General Assembly, a attendance sheet is drawn by the members present and certified by the members of the Bureau.
    Deliberations are found by minutes whose content is determined by the President or, in the event that the President is unable to do so, the First Vice-President or, in the event that the President is unable to do so, a Vice-President and the Secretary (or an Administrator). Minutes are chronologically linked or recorded in a special register or stored in a medium to guarantee their authenticity and integrity.


    Rule 33
    Mandatory provision


    In the event of dissolution of the organization and apart from the cases of merger of agricultural social mutuality funds referred to in articles L. 723-4 and D. 723-4 to D. 723-13 of the rural code, the General Assembly appoints one or more liquidators of which it determines the powers.
    The net assets shall be assigned by the General Assembly in accordance with the laws and regulations in force.


    Rule 34
    Mandatory provision


    These Regulations are deposited with the audit, evaluation and oversight mission of agricultural social welfare organizations. They are approved by the administrative authority under the conditions established by Article R. 723-3 of the Rural Code.
