Making changes to some laws of Ukraine regarding information about the ultimate beneficiary of the legal entity (controller)

(Information Of The Verkhovna Rada (VR), 2015, No. 30, pp. 285)

Verkhovna Rada of Ukraine ruling :

I. Amend the laws of Ukraine to be amended:

1. In The Law of Ukraine "On State Registration of Legal Persons and Physical Persons-Entrepreneurs" (Information of the Verkhovna Rada of Ukraine, 2003, No. 31-32, art. 263 with the following changes):

(1) in the paragraph of the ninth part of the second article 17 words "its founder, if the founder" is replaced by the words "its founder (participant), if the founder (participant)" and complemented by the words " or information about the absence of a finite beneficiary owner (controller) Legal entity ";

(2) in the paragraph of the eighth part of the first article 24:

in the first sentence of the word "its founder, if the founder" replace the words "its founder (the participant), if the founder (participant)";

The second sentence after the words "trade-industrial chambers" complements the words "religious organizations, state and communal enterprises";

supplemented by the third sentence of this content: " In the case of absence from a legal personality of the ultimate beneficiary owner (controller), including the ultimate beneficiary of its founder (attendee), if the founder (member) is legal a person who is informed of his absence. "

2. Paragraph 1 Part of the seventh article 23 of the Law of Ukraine "On Public Associations" (Verkhovna Rada of Ukraine, 2013, No. 1, pp. 1; 2014, No. 50-51, pp. 2057) to read:

" (1) Store legal documents, documents containing information on activities undertaken according to the purpose (objectives) and tasks; to store and regularly update information sufficient to identify according to the requirements of the final The beneficiaries (controllers) of the public union, and to provide it with the public registrar in cases and in the extent provided by the law. This information cannot be attributed to information with limited access. "

3. Item 2 "The Final and Transitional Provisions of the Law of Ukraine" On Amendments to Some Legislative Acts of Ukraine on the Definition of Final Transmitters Of Legal Persons And Public Figures " (Verkhovna Rada of Ukraine, 2014, No. 46, pp. 2048) to read:

" 2. The legal entities registered in force under this Act are required to submit a government registration for information about their ultimate beneficiary (controller), including the ultimate beneficiary of their founder ' s ultimate beneficiary (controller). (a participant), if the founder (member) is a legal entity, or about the absence of such ultimate beneficiary owner (controller) within ten months of the day of the Act.

No information is provided:

1) legal entities, to the registration card for the state registration of which information about the final beneficiary owner (controller) is not included in accordance with part of first Article 24 of the Law of Ukraine "On State Registration of Legal Persons and Physical Persons-Entrepreneurs";

(2) by the legal entities, founders (participants) of which are solely physical individuals, if the ultimate beneficiaries of such legal entities coincide with their founders (participants). In this case, the founders are the beneficiaries of such a legal entity.

In the case of disobedience (except for legal persons listed in the paragraphs of the third and fourth of this item), the specified information in this paragraph of the person responsible for the submission of such information is prosecuted. according to the law. "

II. Final Position

1. This Act will take effect from the day of its publication.

2. The Cabinet of Ministers of Ukraine:

To bring their legal and legal acts into compliance with the Act;

Provide a revision and enforcement of the ministries and other central executive bodies of their normative acts in compliance with the Act.
