Verkhovna Rada of Ukraine Orders:
I. Amend the following legislative acts of Ukraine:
1. Law of Ukraine "On the state registration of legal entities and individuals-entrepreneurs" (Information of the Verkhovna Rada of Ukraine, 2003, No. 31-32, art. 263 with the following changes):
On the state registration of legal entities, individuals-entrepreneurs and public formations
This Act governs the relationships arising from the state registration of legal entities, their symbols (in cases stipulated by law), public entities that do not have legal personality, and individuals-entrepreneurs.
1. In this Act, the terms are used in this way:
1) a statement from the Single State Registry of Legal Persons, Physical Persons-Entrepreneurs and Public Formulas (hereafter-the issuer)-a document in electronic form that is formed and updated by the results of the registration actions and contains information on the legal entity or its separate unit, the physical person-an entrepreneur (including the taking of accounting in state statistics and public fiscal service, issuing licenses and documents of permissive nature) or public formation, That does not have a legal entity;
2) extract from the One State Register of Legal Persons, Physical Persons-Entrepreneurs and Public Formulas (further-excerpts)-a paper in paper or electronic form formed by the United State Register of Legal Persons, individuals-entrepreneurs and public entities with the stated applicant criteria and contains information from the United State Register of Legal Persons, Physical Persons-Entrepreneurs and Public Formulas, which are relevant on date and time shaping the extraction or at date and time defined in the request, or information about the absence of such Information in this registry;
(3) Public formations-political parties, structural formation of political parties, public associations, local bodies of public association with a status of legal personality, professional unions, their union, trade union organisations envisioned. the status of trade unions and their union, creative unions, local leaders of creative unions, constantly acting third courts, organization of employers, their unification, separate units of foreign NGOs, representation, foreign branches Charities;
(4) State registration of legal persons, public entities that do not have a legal entity, and individuals-entrepreneurs (further-state registration)-official recognition by issuing or ending a legal entity to the state, public formation, which has no legal status, evidence of the existence of a relevant status of public association, professional unions, its organization or union, political party, employer organizations, associations of organizations the employers and their symbols, the testimony of the fact of being or Incarceration of an entrepreneur in a physical person, a change of information contained in the Single State Register of Legal Persons, Physical Persons-Entrepreneurs and Public Formations, on the legal person and physical person-entrepreneur, as well as the conduct of others Registration activities provided by the Act;
5) the state registrar of legal persons, individuals-entrepreneurs and public entities (hereinafter-the State registrar)-a person who is in labour relations with the subject of state registration, notary;
6) Holder of the United State Register of Legal Persons, Physical Persons-Entrepreneurs and Public Formulas (further-holder of the United State Register)-Ministry of Justice of Ukraine, which uses organizational activities related to the The functioning of the Single State Register of Legal Persons, Physical Persons-Entrepreneurs and Public Formations;
7) The only public register of legal entities, individuals-entrepreneurs and public entities (further-The Single State Register) is the only public information system providing harvesting, accumulation, processing, protection, accounting and information delivery. Legal persons, individuals-entrepreneurs and public non-legal entities;
The founder (founders) or authorized by them-in the event of submission of documents for the public registration of the establishment of a legal entity, a public formation that does not have a status of a legal person;
The head of a state body, a local government authority, or an authorized person, in the event of a submission of documents for the State registration of the establishment of a state body, a local government body;
The Chairman of the Commission on the termination or authorization of the person-in the case of submission of documents for the public registration of a legal entity;
Authorized by a representative of a legal entity, a public formation that does not have a legal entity, in the case of a submission of documents to conduct other registration actions on a legal entity, a public formation that does not have a status of a legal person;
The Fund for Guarantees of Individuals-in the event of filing documents for the state registration of a bank's termination in connection with the decision to withdraw the banking license and liquidation of the bank;
The Ministry of Justice of Ukraine and its territorial authorities-in case of submission of documents for the state registration of a decision to end the political party, its structural formation in connection with the adoption of a court decision on the annulment of registration or ban Political parties;
The Ministry of Justice of Ukraine-in the event of submission of documents for the state registration of the termination of a separate unit of foreign non-governmental organization, representation, branch of a foreign charitable organization;
A person who intends to become an entrepreneur or is authorized by her-in the event of submission of documents for the public registration of a physical person to an entrepreneur;
A physical person is an entrepreneur or an authorized person-in the event of a submission of documents to conduct other registration actions on a physical person-an entrepreneur;
state body, relatives (husband, wife, parents, children, grandchildren, grandfather, baba, brothers, sisters) and heirs of a physical person-an entrepreneur-in case of submission of documents for the state registration of an end to the physical activity of a physical person Due to her death, the confession is without or being declared to be dead;
9) the access code to the results of the provision of administrative services in the field of public registration (further-access code) is a unique digital sequence of 6 to 12 characters generated in automatic mode and used for access to the results of the review of documents through the portal of electronic services of legal persons, individuals-entrepreneurs and public entities (hereinafter-portal of electronic services);
10) a personal study of a legal person, another organization and a physical person-an entrepreneur (further-a personal cabinet)-a personal page in the Internet of a legal person, a physical person-an entrepreneur and a public entity that has no status legal entity, on the portal of electronic services, intended to submit documents in electronic form to conduct registration activities, free access of legal persons, individuals-entrepreneurs and public entities that do not have a status legal entity, to information about the results of these documents, documents, are contained in the registration case of such persons in electronic form, and information on these individuals who are relevant at the time of the request or on the specified date;
11) The electronic service portal is a website organized as a system-wide multi-level union of various resources and services to provide maximum access to information and services in public registration, licensing and leisure activities. The area of economic activities;
12) the principle of linguistic consent in the field of state registration (further-the principle of language consent) is the principle under which the state registrar acquires the right to conduct public registration and other registration actions without public authority in the state. the order and cases defined by this Act, the relevant documents (except for court decisions and executive documents) or information, provided that the relevant public bodies in the established Act did not send to the state registrar such as Documents or Information;
13) the registration case is the collection of documents in paper and/or electronic form submitted for the registration activities;
(14) State registration subject:
Ministry of Justice of Ukraine-in the case of state registration of political parties, all-Ukrainian professional unions, their associations, all-Ukrainian associations of employers ' organizations; separate divisions of foreign NGOs, The branches of foreign charitable organizations, constantly acting the third parties, the founders of whom are all-Ukrainian public organizations, all-Ukrainian creative unions and their symbols;
The territorial organs of the Ministry of Justice of Ukraine in the Autonomous Republic of Crimea, areas, cities of Kyiv and Sevastopol-in the event of state registration of regional, regional and republican professional unions, their organizations and associations, the formation of political parties, regional (local) creative unions, territorial leaders of all-Ukrainian creative unions, regional, republican Autonomous Republic of Crimea, Kiev and Sevastopol city organizations of employers and their (a) The United States of America;
district, district in cities, urban (cities of regional importance), urban, inter-district justice management-in the case of public registration of public associations, their separate units, public associations, which do not have a legal entity, local and primary professional unions, their organizations and associations, structural entities of political parties, regional (local) creative unions, territorial pockets of all-Ukrainian creative unions, local employers and their Association, confirmation of the all-Ukrainian status of the public association;
The executive organs of rural, village and city councils, Kiev and Sevastopol city, district, district in the cities of Kiev and Sevastopol state administration, notaries, accredited entities-in the event of state registration of other legal entities and Individuals are entrepreneurs.
The executive organs of rural, village and city councils (except the cities of the regional and/or Republican Autonomous Republic of Crimea) acquire authority from the state registration of other legal entities and individuals-entrepreneurs according to this. An accredited entity may be a legal entity of public law, in labour relations with at least three government registrars and which before the administration of state registration is established:

Accreditation of subjects and monitoring of the conformity of such entities the requirements of accreditation shall be carried out by the Ministry of Justice of Ukraine in the order established by the Cabinet of Ministers of Ukraine;

2. Other terms are used in the meaning given in Master , Civilian Codes of Ukraine and other legislative acts.
Article 2. Public registration legislation
1. Relations that arise in public registration are regulated Constitution of Ukraine , by this Act and the regulations adopted under this Act.
2. If an international treaty, consent to the binding of the Verkhovna Rada of Ukraine, is established by other rules than those provided by the legislation of Ukraine on state registration, the rules of the international treaty apply.
1. The action of this Act extends to the state registration of all legal entities regardless of the organizational of legal form, form of property and submission, their symbolism (in cases prescribed by law), public entities that do not have a status Legal personality, and individuals-entrepreneurs.
2. The law may be subject to the peculiarities of the public registration of public formations.
Article 4. General public registration
1. State registration is based on the following basic principles:
1) the duty of state registration in the Single State Registry;
2) public registration in the United State Registry and documents that have become the basis for its conduct;
(3) Settlement of relations related to public registration, and the features of the state registration solely by this Act;
(4) State registration for the applicant's principle;
5) the adoption of documents for the public registration and the implementation of public registration for the principle of extraterritoriality within Ukraine;
(6) The unity of the State Registration methodology;
7) objectivity, authenticity and completeness of information in the Single State Registry;
(8) To make information to the Single State Register solely on the basis of and under this Act;
9) openness and availability of information to the Single State Registry.
2. In the case of a selection of legal persons, the State registration of legal entities, formed by the allocation, and the state registration of changes to the information contained in the Single State Registry, on the legal entity from which to Legal successor. The selection is considered to be completed with the date of the state registration of changes to the information contained in the Single State Registry, on the legal entity on which the legal person is the successor.
3. In the event of a confluence of legal entities, the state registration of a newly formed legal entity and the state registration of the termination of legal entities is suspended as a result of the merger. The termination is considered to be completed with the state registration of the termination of legal entities, which are discontinued as a result of the merger.
4. In the case of the conversion of legal persons, a state registration is carried out, which is terminated by the resulting conversion and the state registration of a newly formed legal entity. The conversion is considered to be completed with the date of the state registration of a newly formed legal entity.
5. In the case of a division of legal entities, the state registration of the newly formed legal persons and the state registration of a legal entity ceases to be terminated as a result of the division. The separation is considered to be completed with the state registration of a termination of a legal entity, which is stopped by the result of the division.
6. In the case of the accession of legal persons, the state registration of the termination of legal persons ceased by the accession, and the state registration of changes to the information contained in the Single State Register, regarding the succession the legal person to join. The accession is considered to be completed with the date of public registration of changes to the information contained in the Single State Registry, regarding the legal succession of the legal person to which.
7. The female entrepreneur is deprived of the status of an entrepreneur from the date of entry into the Single State Registry on the state registration of an end to the physical activity of this physical entity.
8. The representation of foreign entities of economic activities is subject to registration in a manner defined by the Law of Ukraine "On Foreign Economic Activity".
Chapter II
PUBLIC REGISTRATION BODIES
Article 5. State registration bodies system
1. The system of public registration bodies is as follows:
(1) Ministry of Justice of Ukraine;
(2) Other public registration subjects.
2. Before the authority of the Ministry of Justice of Ukraine in the sphere of public registration is:
1) the formation of public policy in the area of public registration;
(2) Legal, methodological and information security in the field of public registration;
(3) Coordination of activities in the field of public registration of public formations;
(4) Control of the activities in the field of public registration;
5) the exercise of the holder of the Single State Register;
(6) Definition of the technical administrator;
7) to provide access to the State Registry to the Single State Register and to accept the blocking and annulment of such access to the cases provided by the Act;
(8) Consider complaints, actions or inactivity of state registrants, subjects of public registration, territorial bodies of the Ministry of Justice of Ukraine and the adoption of binding entities to the state registration of decisions provided by By law;
(9) To make protocols about administrative offences in cases foreseen Codes of Ukraine on administrative offences ;
(10) Interaction with state bodies, local government bodies, international organizations on state registration;
(11) State registration of political parties, All-Ukrainian trade unions, their associations, all-Ukrainian associations of employers, separate units of foreign NGOs, offices, affiliates of foreign charities, The constantly acting third courts, the founders of whom are all-Ukrainian public organizations, all-Ukrainian creative unions and their symbolism;
(12) providing statements and information to the paper form to address the apostyle and the attitude of the apologetic;
13) the exercise of other powers stipulated by this Act and other regulations.
3. To the authority of other entities of the State registration, it belongs to:
Admission of documents submitted to public registration;
Public registration and the conduct of other registration activities;
Conduct of the Single State Registry and the provision of information from it;
2) the exercise of other powers stipulated by this Act and other regulations.
Accredited entities can exercise all powers defined in this part, or exercise authority to ensure acceptance and issuance of documents in the field of state registration on the basis of a treaty with another subject of public registration A/or a notary.
1. A State registrar may be a citizen of Ukraine who has a higher education, meets the qualification requirements defined by the Ministry of Justice of Ukraine, and is in labor relations with the subject of state registration (except for the notaries), and a notary.
2) check the documents for the presence of the grounds for stopping the review of documents;
(3) To check the documents for the presence of the basis for the refusal of public registration;
4) conducts registration action (including subject to the principle of silent consent) in the absence of a basis for stopping the review of documents and abandonment of public registration by making the record of the Single State Registry;
(5) Leading the Single State Registry;
(7) authorship other powers provided by the Act.
3. The State registrar during the State registration of the termination of an entrepreneurial activity-an entrepreneur in connection with her death or the announcement of her dead, as well as during the state registration of changes related to the change of composition the founders (participants) of the legal person in connection with the death or declaration of the deceased founder (participant), necessarily using the information of the State Register of Acts of the Civil State of Citizens by direct access to it.
Information from the State Registry of the Citizens ' Acts of Citizens, obtained by the State Registry, remains in the relevant registration case.
The use of the State Registry of the Citizens ' Acts of Citizens is carried out directly by the State Registry, which holds the appropriate state registration.
4. The State registrar shall not have the right to register the subject of state registration, with which the state registrar is in the labour relations or the founder (the participant) he is. In this case, state registration is carried out by another state registrar.
The state registrar has no right to register for himself, her husband, or his wife, his (her) and his relatives (parents, children, grandchildren, grandfather, babi, brothers, sisters), and legal entities, and the founder (the participant) of whom he is. In such a case, state registration is carried out by another state registry of the relevant subject of state registration.
5. Intervention of any organs, their officials, citizens, legal persons and public entities that do not have a legal entity, in the State registrar ' s activities during the registration actions, other than cases provided by the Law, Prohibited and enforcing responsibility under the law.
6. In the event of armed conflict, temporary occupation, the conduct of anti-terrorist operation, the Ministry of Justice of Ukraine may decide on a temporary blocking of access to the Single State Register of State Registrants acting on the appropriate Territory (notarial district).
Chapter III
THE ONLY PUBLIC REGISTER AND PORTAL OF ELECTRONIC SERVICES
Article 7. The Only State Registry
1. The only state registry is created to provide state bodies and local governments as well as members of the civil defence of reliable information on legal entities, public forming entities that do not have legal status individuals, and individuals-entrepreneurs from the United State Register.
2. The only public register is conducted by a state language using software developed according to public standards, which provides its compatibility and interaction with other information systems and networks that make up the information resource of the state.
3. The Secretary-General should provide the following:
1) automating the process of public registration and other registration actions and reproduction of its procedures;
(2) To fill and print the form of the official registration statement;
(3) Identification of applicants who submit documents for public registration in electronic form, using electronic digital signature and alternative electronic digital signatures of the identification of such claimants;
(4) State registration for the principle of extraterritoriality;
(5) Control of the completeness of the entry into the Single State Registry and the conduct of the registration activities;
(6) finding relationships between legal entities and their founders (participants), ultimate beneficiary owners (controllers), including the ultimate beneficiary owners (controllers) of the founder, law leaders, visualizations, and others. All direct and indirect bonds;
7) conduct registration cases in electronic form and the creation of their electronic archive;
8) to transfer public authorities to information from the United State Register in cases stipulated by this Act;
(9) Information interaction between the United State Registry and the information systems of state bodies;
(10) Storage of information on legal entities, other organizations and individuals-entrepreneurs for 75 years from the date of writing a state registration of a termination of a legal entity, another organization or termination of an entrepreneurial activity A physical person is an entrepreneur;
(11) Data protection under the law;
12) performance in full functions of the United State Registry database administrator (accumulation, data analysis, actualization and data processing, permissions, etc.);
13) conducting other operations defined by this Act.
4. Before the Single State Register, the information that constitutes a state secret is not available.
5. The only state registry and its software is the object of state ownership rights.
Article 8. Electronic Services Portal
1. The electronic service portal should provide:
1) the filing of documents in electronic form for public registration, licensing of the activities of the economic activity, issuing the documents of permissive nature;
2) control of the full filling of statements on public registration, licensing of the activities of the economic activity, issuing of documents of permissive nature;
(3) A view of the status of the submitted documents;
(4) Access to information and documents defined by this Act;
(5) To publish the results of the provision of administrative services;
(6) The formation and submission of requests in electronic form on the provision of extracts;
7) view, copy and print statement, extract, other documents and information from the Single State Register;
8) the payment of administrative collection and payment of information from the United State Register using payment systems over the Internet in real time;
(9) The functioning of the personal cabinet;
10) access of public bodies, including courts, bodies of the National Police, prosecutors ' bodies, Security Service bodies of Ukraine, and local government authorities and their officials to information from the United State Register;
11) conduct other operations defined by this Act.
2. The functioning of the electronic services portal is defined by the Ministry of Justice of Ukraine.
Article 9. Unified State Register Information
1. The legal entity, public formation that does not have a legal entity and a physical entity-an entrepreneur is made available to the United State Register on the basis of:
(1) The relevant statements on the state registration;
(2) Documents filed for other registration activities;
(3) Information resulting from the information interaction between the United State Registry and the public information systems.
2. The Single State Registry contains the following information about the legal entity other than government bodies and local government bodies as legal entities:
1) the naming of a legal person, including reduced (if available);
2) the identification code of the legal person in the Single State Registry of Enterprises and Organizations of Ukraine (further-identification code);
4) a public formation (political party, structural creation of a political party; public union, local cell of public association with a status of a legal person; professional union, union of professional unions, organization) Trade unions provided by the status of trade unions, union organizations union, employers 'organization, association of employers' organizations; creative union, local government of the creative union);
5) Data on the status of public formation;
(6) The central or local executive body, to the scope of which is a legal entity of public law or which carries out functions to manage corporate rights of the state in a legal entity;
(7) Purpose of public formation;
(8) a list of founders (participants) of the legal entity: surname, name, by parent (availability), date of birth, nationality country, residence, registration card of the taxpayer (availability), series and passport number, if The founder-physical person; naming, the country of residence, location and identification code if the founder is a legal entity; the mark of the end of the authority of the founder of public formation in connection with the public registration;
9) information about the ultimate beneficiary of the legal entity (controller) of the legal person, including the ultimate beneficiary of its founder, if the founder is a legal entity (except for public formations, law unions, trade-industrial chambers, the union of co-owners of multi-guard houses, religious organizations, state bodies, local government agencies, their associations, state and municipal enterprises, institutions, organizations: name, parent (availability), date of birth, citizenship country, series and number passport documents passports of the citizen of Ukraine or passport document, the place of residence, registration number of the taxpayer ' s account card (for availability), date of birth, and full naming and identification code (for resident) of the founder a legal entity in which this person is the ultimate beneficiary of the holder (controller). (10) Location of the legal person;

17) information on the established document, on the basis of which public formation is established, in the case of establishing a legal entity on the basis of an established document of another public formation;
18) information for carrying out communication with the legal person: phone, email address;
19) date and record number in the Single State Register;
(20) Data on separable units of the legal person:
Identification code of the separated unit;
The naming of a separate unit;
The location of a separate unit;

21) data on the public formation unit, which has legal personality status (local settlement of public association, local government of the creative union, union of trade unions);
22) the data that a legal entity is a separate unit of public formation;
23) data that a legal entity is a structural formation of a political party;
24) information about the structural formation of the political party:
the kind of structural formation of a political party (regional, urban, district organization, primary cell, other structural formation);
the territory within which the structural formation of the political party acts, the presence of a legal entity;
Date and number of decision of the governing body of the political party, which is a statement of the state registration of the structural formation of the political party;
Information on the structural establishment of a political party with the status of the legal person contained in part 2 of this article;
additional information on the structural entities of the political party, which do not have a legal entity: date and record number in the Single State Register, Naming (full, reduced (for availability), date of legalization (registration) and registration number in Paper Reesters of regional, urban, district organizations or other structural entities, predicted by the statute of the party, or in the book account of the primary sources of political parties, information about the leader of the structural formation: surname, by father, information about the governing body, location, telephone number, Information on the termination of the structural formation of the political party: the date, the ways (reorganization, liquidation (self-disclosure), prohibition of activities, annulment of registration) and the basis of termination of activity, reason to stop the review of documents, Grounds for refusal in public registration, information about the abolition of registration actions, information on the subject of public registration and public registration, data on the publication of the results of the documents submitted for public registration, the location of storage of the registration case in paper form, the Providing information from the United State Register, information on the correction of errors issued in the information provided by the Common State Registry;
25) the date of legalization (registration) and registration number in the paper Register of political parties, the Register of Citizens, the Register of Creative Unions-for public entities legalized (registered) prior to the Act;
26) data on legal personality in the process of termination, including decisions regarding termination of a legal person, information on the commission termination (liquidator, liquidation commission, etc.) and on the lines issued by the founders (participants) a legal entity, a court or body that has adopted a decision to end a legal entity, to declare creditors of its requirements;
27) data on abolishing the decision of the founders (participants) or the authorized authority to end the legal entity;
28) data on the tenure of a legal person in the proceedings of bankruptcy, santation, including information on the debtor of the property, the administration of the santation;
