The Royal Decree 421/2015, of 29 May, which regulates the standard models of statustatus-type and standardized public writing of limited liability companies, is approved model of statuette-type, the Agenda is regulated Electronic Notarial and the Stock Exchange of Social Denominations with reservation, has approved the regulation regarding the public writing in standardized format referred to in Articles 15 and 16 of Law 14/2013, of 27 September, of support to the entrepreneurs and their internationalisation.

In relation to this, the final provision of that Law, in paragraph 2, states that, by Order of the Ministry of Justice, the writing of the constitution will be regulated in a standardized format and with coded fields.

In its compliance, Article 6 of Royal Decree 421/2015, of 29 May, develops the aforementioned provision of paragraph 2 of the final provision of the Law, specifying that the model of public writing in a standardized format with coded fields must be approved by the Order of the Minister of Justice.

Consequently, the object of this Order is the approval of the model of public writing in standardized format and with coded fields provided for in Articles 15 and 16 of Law 14/2013 of 27 September, supporting entrepreneurs and their internationalisation. To this effect, and following the model that the Royal Decree has established for statuettes, a model of great simplicity has been chosen, without prejudice to the future approval of another model or other models that incorporate greater complexity.

Also, it is also the object of this Order to approve the relationship of activities which may be integrated into the social object of the statutes, in accordance with the provision of the second paragraph of the final provision of the same law.

This Order has been submitted to the hearing of the College of Registrars of Property, Mercantile and Furniture, and of the General Council of the Notary, and is delivered in compliance with the provisions of Article 6 of Royal Decree 421/2015 of 29 May.

In its virtue, I have:

Article 1. Object.

Constitutes the object of this Order the approval of the public writing model in standardized format and with coded fields for the constitution of limited liability companies, by means of the single document Electronic (DUE) and the telematics processing system of the Business Creation Network and Information Center (CIRCE), as well as the approval of the list of economic activities that may constitute its social object.

Article 2. Standardized public-write model.

The standardized model of public writing with coded fields for the constitution of limited liability companies is set out in Annex I to this Order.

Each of the fields listed in the standardized model shall contain the coded data corresponding to the numbering in the standardized model in accordance with the ratio set out in Annex II to this Order. The fields will be completed by the notary so that the structured information is electronically treatable. To this effect, the description of the format of the Standard Write using an XSD schema, XML Schema Definition, is included in Annex III of this Order.

Public writing should indicate whether the society is in a succession training regime.

Article 3. Social object.

The determination of the social object shall be made by the selection of some or some of the economic activities and their codes determined in Annex IV of this Order, which shall be available at the Electronic Headquarters. of the Ministry of Justice.

The code or codes to be selected must be at least two digits. In case the social object collects more than one activity, the activity must be the main character, in which case it will be identified with four digits.

Single repeal provision. Regulatory repeal.

Order JUS/3185/2010, dated 9 December 2010, is hereby repealed and the statutes of the limited liability companies are hereby approved.

Final disposition first. Enablement.

The General Directorate of Records and Notary is enabled in the field of its competences to dictate the resolutions and instructions necessary for the implementation of the provisions of this Order.

Final disposition second. Competence title.

This Order is dictated by the exclusive powers conferred on the State by Article 149.1.6. of the Constitution, in matters of commercial law, and Article 149.1.8. of the Constitution, in the field of public records and instruments.

Final disposition third. Entry into force.

This Order will enter into force on September 13, 2015.
