Russian Federation On Amendments and Additions to Article 59 of the Federal Law "On Societies with Restricted Liability" Accepted by the State 2 December 1998 Article 1. Article 59, paragraph 3, of the Federal Law on Societies with Restricted Liability (Assembly of Russian Federation, 1998, N 7, est. 785; N 28, est. 3261), the following amendments and additions: in the first paragraph of the first word "not later than 1 January 1999" to read "not later than 1 July 1999"; in the second paragraph, replace by 1 January 1999 to 1 January 1999 "; in the third paragraph," in closed joint-stock companies ", replace by" joint-stock companies or production cooperatives "; to add a new paragraph to the fourth paragraph, to read: " General decision Meetings of limited liability companies (partnerships with (a limited liability) for the transformation of a limited liability company (limited liability), which at the time of the enactment of this Federal Law exceeds fifty, shall be adopted by a majority of not less than two thirds of the total number of votes of the participants in the limited liability society (limited partnership). The limited liability company (limited partnership) who voted against the decision to convert it or who did not take part in the vote has the right to withdraw from the limited society liability (limited partnership) in the manner prescribed by article 26 of this Federal Law.
