Note * *) Text corrected according to the corrections published in the Official Gazette No. 135 and 143 of 14 and 24 June 1948. + Chapter 1 The object of + Article 1 It nationalizes all the riches of the subsoil that were not owned by the State on the date of entry into force of the Constitution of the Romanian People's Republic, as well as individual enterprises, companies of any kind and particular associations industrial, banking, insurance, mining, transport and telecommunications, listed below, according to the criteria indicated for each category: 1. Steel, metallurgy, non-ferrous and laminated enterprises, as set out in Annex No. I. 2. All enterprises in the field of processing metallurgy with more than 100 employees. 3 3. Metal processing enterprises, shipyards, enterprises producing precision instruments and electrotechnical material, garages and auto repair shops, listed in Annex No. II. 4. All enterprises that produce, transport or distribute electricity, with the exception of plants belonging to local government bodies and those belonging to unspecified enterprises and serve for the most part their own needs of these plants. 5. All enterprises for the extraction and processing of iron ores, gold, silver and other non-ferrous metals. 6 6. Companies in the field of coal industry, as well as the quarries listed in Annex No. III. 7 7. Enterprises in the field of oil and natural gas industry, listed in Annex No. IV. 8. All cement companies. 9. Enterprises producing construction materials, namely: lime, ceramic materials, raw and fine, building stones, stone products, cement products, materials for thermal insulation, asphalt cardboard, according to the annex No. V. 10. All enterprises producing refractory materials. 11. All window-producing enterprises. 12. Glass-producing enterprises, mirrors for mirrors according to the annex no. VI. 13. Construction enterprises listed in Annex No. VII. 14. All timber-producing enterprises, with at least one mechanical gater, having a force installation of at least 50 HP. 15. All enterprises producing art and binal carpentry, carpentry tools, with a driving force installation of at least 50 HP., equipped with at least 5 machine tools, such as: bandseg, abricht, circular saw, milling machine, car of thickness, chain, car, borcar, lathe, nut and feder, or cars of close importance. 16. All the companies producing plywood, panelas, furnishing, parquet and haircuts, with a driving force installation of at least 20 HP. 17. All enterprises producing accessories for the textile, calapoade and wooden nails industry, with a driving force of at least 100 HP. 18. All enterprises producing pencils, school supplies made of wood, meters of wood with a driving force of at least 30 HP. 19. All enterprises producing pipes and barrels, with a driving force of at least 20 HP. 20. All enterprises producing lumber, strollers, toys, brushes and brushes, rolls and blinds, chillers and other articles of wood, listed in Annex No. VIII. 21. All enterprises producing cellulose, paper, cardboard and mucava. 22. All graphic arts enterprises, paper confections, cartonages, as well as graphic arts and cartonages sections, belonging to other enterprises, having at least one rotating machine or a driving force installation of at least 30 HP. 23. All companies producing cardboard pipes, necessary for the textile industry, companies producing glass paper (emeri) or other articles of paper, listed in Annex No. IX. 24. All cotton fillets. 25. All cotton weavers, having at least 30 wars. 26 26. Cotton-processing enterprises, namely: weavers, knitwear undertakings, producer companies, vata companies, as well as cotton ginning enterprises, listed in Annex No. X. 27. All silk fillets. 28. All silk weavers having at least 20 wars. 29. Silk processing enterprises, namely: weavers, knitwear enterprises, braids, ribbons, thread, stockings, listed in Annex No. XI. 30. Vopsitories, aprets and confection undertakings listed in Annex No. XII. 31. All wool fillets and weavers having at least 150 fuse or at least 4 heart wars. 32 32. wool-producing enterprises, namely: knitwear, tailoring wool, felt, hats and technical articles, listed in Annex No. XIII. 33. Enterprises producing flax, hemp and jute, listed in Annex No. XIV. 34. All textile enterprises with diverse production, however, having at least 30 wars. 35. All integrated and semi-integrated enterprises, in the field of leather industry, having a driving force installation of at least 30 HP. 36. All tanneries having a driving force installation of at least 20 HP. 37. All footwear enterprises having a driving force installation of at least 10 HP. 38 38. Fur-processing enterprises, producing gloves and other leather goods, listed in Annex No. XV. 39. Enterprises of the basic chemical industry, as listed in Annex No. XVI. 40. Companies producing rubber items, with a driving force of at least 80 HP. 41. Manufacturing and manufacturing enterprises of plastics, with a driving force of at least 20 HP. 42. All processing enterprises of fatty materials: soap, stearin, olein and candles, having a driving force of at least 50 HP., as well as all factories that produce glycerin. 43. All enterprises producing varnishes and paints, of colors, metal oxides, colouring matter, of ultramarine, having a driving force installation of at least 40 HP. 44. Ribbon-producing enterprises for typewriters, carbon paper, indigo, pasta and inks for sapirograph and inks in general, having a driving force installation of at least 10 HP. 45. Enterprises producing black smoke, vegetable and animal coal, according to the annex no. XVII. 46. Chemical manufacturing enterprises for textile and tannery industries, having a driving force plant of at least 10 HP. 47. Oxygen-producing enterprises, having a driving force of at least 50 HP. 48. Enterprises producing various chemicals, listed in Annex No. XVIII. 49. Enterprises producing perfumery and cosmetic items, solvents, essences and ethereal oils, as well as pharmaceutical laboratories, listed in Annex No. XIX. 50. All systematic mills having at least one double valt for wheat or corn and a theoretical capacity of macinis of at least 1 vag/24 hours of straw or corn. 51. All breweries with a production capacity of at least 1,000,000 l/year. 52. All spirit-producing enterprises with a production capacity of at least 100 tonnes/year. 53 53. Businesses producing spirits, listed in Annex No. XX. 54. Enterprises producing glucose, dextrin, starch, compressed yeast, listed in Annex No. XXI. 55. Oil-producing enterprises, listed in Annex No. XXII. 56. All mechanical oil presses belonging to the mill owners that were nationalized by the effect of the present law, those that work together with a nationalized mill, regardless of the owner, as well as those whose capacity production is at least 500 kg oil in 24 hours. 57. All enterprises producing artificial ice and all cold stores. 58. All sugar-producing enterprises. 59. All enterprises producing sugary products (candy, chocolate, halva, marmalade, etc.), with a production capacity of at least 1 to/8 hours. 60. All canned food businesses of any kind, possessing plants for the manufacture of preserves in sheet metal boxes or hermetically sealed glass jars, all the enterprises producing broth or marmalade, with a capacity of at least 1 to/8 hours, as well as all establishments producing smoked or meat preparations, with a production capacity of at least 500 tonnes produced/year. 61. Fruit dried enterprises, listed in Annex No. XXIII. 62. All grain husked enterprises (rice, arpacas, oatmeal), with a production capacity of at least 1.5 to/8 hours. 63. All companies producing pasta. 64. All bakeries possessing mechanical installations for kneading the dough. 65. All enterprises producing butter, cheeses and pasteurized milk, with a daily processing capacity of at least 2,000 liters of milk. 66. All enterprises producing broth or marmalade, with a production capacity of at least 1 to/8 hours. 67. All particular slaughterhouses with a daily cutting capacity of at least 100 cattle or 150 pigs. 68. Railways listed in Annex No. XXIV. 69. All private trams operating companies, if not nationalized with industrial enterprises. 70 70. The holding companies of tankers, listed in Annex No. XXV. 71. All pipelines for the transport of liquid and gaseous products, which are not nationalized by the effect of this law, together with the respective industrial companies. 72. Navigation societies, listed in Annex No. XXVI. 73. All river and sea vessels listed in Annex No. XXVII, as well as all the vessels under the Romanian flag, immersed in the Romanian or foreign territorial waters. 74. Insurance companies, listed in Annex No. XXVIII. 75. The Romanian Anonymous Society of Phones. 76. Romanian Radio-Diffusion Society. 77. National Industrial Credit Society. At enterprises established by a special convention by a foreign State with the Romanian State, it is nationalized everything that does not belong to the two states. The annexes shall form an integral part of this Law. An undertaking shall be deemed to be entered into the provisions of the present law if the conditions laid down by the criteria indicated for each category existed at any time during the period between 1 January 1938 and the date of publication this law. The undertakings listed in the Annex lists shall be deemed to be nationalised, even if their name or address is indicated in these lists in part or in particular; also if they have changed their name or address. Companies shall also be deemed to be nationalised if they are indicated by the name of the natural or legal person who has held them under any title (lease, etc.) On the date of publication of this law, pass into the property of the State as common goods of the people, administered through the Ministry of Finance, free of any tasks, actions and social parts of companies and associations that enter into the provisions this article. The goods nationalized by the effect of this law will be administered by the ministries in whose area of concern is the subject of nationalized enterprises. Bakeries, slaughterhouses, mills, mechanical oil presses, which fall under the criteria of the present law, art. 1, will be taken over and administered by the local mayoral bodies, except for those to which they have been appointed or will be appointed directors by the relevant ministries. Within ten days of the occurrence of this law, the mayoralties will communicate to the Council of Ministers, through the respective County Commission of Nationalization, as well as to the Ministry of Interior, the list of these industrial units to give the decision their passage into the mayoral administration. The boards of nationalised enterprises dissolve on the date of publication of the present law. + Article 2 With the main enterprises all annexes are nationalised. It also nationalises installations that are permanently serving the activity of a nationalised enterprise, even if these installations belong to a landlord other than that of the nationalised undertaking. + Article 3 Companies of any kind that possess several units, are nationalized in their entirety, if any of the units fall within the provisions of the present law. + Article 4 Starting from the date of publication of this law, no enterprise will be able to alienate, neither in total nor in part, nor move its machinery or its installations, except with the prior authorization of the relevant ministry, even if it does not. within the provisions of this law. The estrangements made without respecting the above provisions are void of law, the nullity being of public order and can be invoked by anyone. Owners or legal representatives or their power of attorney, of enterprises under construction or of those who, for any reason, have not been put into service, as well as those who have ceased or interrupted their activity, are obliged as in days after the publication of the present law, to submit to the General Directorate of the Economic Control, and in the province of the County Services of Economic Control, a statement prepared according to the form constituting Annex No. XXIX of the present law. + Article 5 Do not enter into the provisions of the present law and do not nationalize the enterprises or the part of their capital, which are found in the property of a State making part of the United Nations, which has acquired these goods as a result of the execution of the Treaty of Peace, or by paying compensation bonds, arising from the state of war. + Chapter 2 The effects of + Article 6 By the effect of nationalization, businesses pass into State property with the trade fund and all bonds contracted for their exploitation; companies in the form of a company or association retain their heritage, as such he will emerge from the balance sheet concluded in order to surrender to the new leadership designated by the State following the nationalization; in the asset and liability of enterprises of any kind, nationalized, entering: a) To the asset all immovable and movable property, tangible and incorporated, such as: land, buildings, installations, patent rights, licenses, contracts, authorizations, factory marks, value papers, bills, deposits, cash, amounts due the undertaking, accessories, raw materials, semi-finished or finished goods, and the like; b) To the liabilities of the company's bonds By the effect of this law, nationalized enterprises are substituted for all the rights and bonds of the old enterprises + Article 7 The new management of the nationalized enterprise will be able to ask, within six months of the publication of this law, to declare void the bonds or transactions concluded by that enterprise before nationalization, which were concluded with the obvious purpose of damaging the undertaking, for the personal benefit of the contract or of a foreign natural or legal person. A commission composed of three magistrates appointed by the Ministry of Justice will be established in order to judge these requests. The commission will judge at the first term, based on written pleadings filed by interested parties 15 days before the trial deadline. The commission's decision is not subject to any ordinary or extraordinary remedy. + Chapter 3 Nationalisation procedure + Article 8 Upon the entry into force of this law, the relevant ministries will appoint directors who will receive the management of nationalized enterprises on the basis of summary situations, from their owners or representatives or their representatives. The new directors will exercise all the duties of the old governing bodies. In case of lack of their owners, representatives or powers, the enterprise will be taken over in the presence of the police authorities, in the urban communes, or of the communal authorities in the rural communes. + Article 9 Until the new management takes over the companies, according to the inventory and balance sheet that enterprises are obliged to conclude for this purpose, the old management is at the disposal of the new one for any clarification, being responsible for the deficiencies found, except for the deprivation and damage resulting from the administration's acts of the new management. + Article 10 A minutes will be concluded at the handover of the enterprise, in triplicate, to which copies will be joined from the inventory and balance sheet. A copy of the minutes will be handed to the old owner, another will be kept by the enterprise, and the last one will be submitted to the relevant Ministry. + Chapter 4 Compensation + Article 11 The state will give compensation to owners and shareholders of nationalised enterprises To this end, the "Nationalized Industry Fund", the legal entity of public law, autonomous, based in Bucharest, is established. For the amounts due, the Nationalized Industry Fund will issue bonds, which it will redeem from the net benefit of the nationalized enterprise. + Article 12 The organization and functioning of the Nationalized Industry Fund will be determined by a decision of the Council of Ministers. The management of the National Industry Fund is subject to the control of the Ministry + Article 13 The compensation due to the owners will be determined by the commissions operating under the Courts, consisting of three magistrates appointed by the Ministry of Justice. Against the decisions of these commissions there is no remedy. + Article 14 The compensation rights will decrease the debts of the unforeseen enterprises in their liabilities, as well as those arising from tax evasion or other operations contrary to the law, as well as the losses from the bad administration of these enterprises, before nationalisation. + Article 15 No compensation shall be awarded: a) Those who, being in the service of the State, counties or communes, were enriched during the time they were in service, through illicit acts found to be of course; b) Those who, have left the country clandestinely or fraudulently, as well as those who do not return to the country after the expiry of the term of validity of the travel documents issued by the Romanian authorities. + Chapter 5 Establishment of new enterprises and concessions + Article 16 In the branches where enterprises have been nationalized, the right to create new enterprises belongs to the State. + Article 17 By exception the State will be able to grant concessions for the establishment of new enterprises to individuals or legal entities, by journal of the Council of Ministers, at the proposal of the relevant Ministry. + Chapter 6 Sanctions + Article 18 It is punishable by 5-10 years hard labor and with the confiscation of all wealth those who, regardless of what means, with intentiune, will thwart or try to thwart the nationalization provided by this law, will conceal part of the patrimony companies or will harm, nothing, alienate, move, export or shrink, by any means, goods or installations subject to nationalization. With the same punishment will be sanctioned and those who intentionally will present to the State bodies inaccurate or incomplete data on these goods. + Article 19 They are punishable by correctional imprisonment from 4-10 years and with a fine of 50,000-500,000 lei, civil servants or persons empowered under this law, who will not execute or will thwart the execution of the duties its provisions. + Article 20 The offences to the provisions of this law are found, followed and judged, according to Law No. 351 of 3 May 1945 , for the repression of illicit speculation and economic sabotage and Law No. 252 of July 15, 1947 , for organizing economic control. + Chapter 7 Final provisions + Article 21 With the making of nationalization and with the resolution of problems and disputes arising from its application, the Council of Ministers is charged. The Council of Ministers will be able to delegate a restricted commission from its breast for the operative management of operations that will have as external organs, in each county, a County Commission of Nationalization. + Article 22 Nationalized enterprises can be given in the property or in simple use of local governments, based on the decision of the Council of Ministers. + Article 23 In the event of the dissolution of a nationalized enterprise, the net asset left after liquidation passes into State property. + Article 24 The creditor accounts of the owners of the nationalised enterprises, at these undertakings, whether these accounts were opened in their name or in the name of interposed, after a court finding is considered as capital contribution to that undertaking, which is not a claim against the undertaking. + Article 25 The members of the industrial cooperative societies existing on the date of entry into force of this law, upon their exit from the company, will be able to withdraw from their social part a maximum of 50,000 lei cash, the rest The provisions of the previous paragraph will not be applied to cooperative societies that will be notified after the entry into force of the present law. + Article 26 For three months from nationalisation, administrative staff from section chief up, as well as technical staff (engineers, subengineers, drafters, builders, foremen, etc.), of nationalised enterprises, will not be able to leave the enterprise and will not be able to be licensed from it, without the approval of the relevant ministry + Article 27 The policies of nationalised enterprises due in the course of a month from the day of nationalization, will not be able to be protested, giving them a thirty-day extension from the due date. + Article 28 The delegations appointing the new directors give them the right of signature even until the legal forms of publication in the Official Gazette are fulfilled. + Article 29 Unnationalised businesses will continue their work under the laws in force. + Article 30 The present law comes into force on the date of its publication in the Official Gazette. + Article 31 Any provisions contrary to this law shall be repealed. The law voted by the Grand National Assembly at its meeting on 11 June 1948.
