The Romanian Parliament adopts this law + Article 1 Article 212 of Law no. 31/1990 on companies is amended and supplemented and will read as follows: " Within companies with full or partial state capital, until the application of the provisions of art. 39 39 of Law no. 58/1991 of the privatization of companies, the interests of state capital will be represented by two empowered powers of the Ministry of Economy and Finance and a power of attorney mandated by the relevant ministry or, as the case may be, by the local council or county. At commercial banks with full state capital, its interests will be represented by two empowered powers of the Ministry of Economy and Finance and a mandate mandated by the National Bank of Romania. Mandating is done on a contract basis. The powers provided in par. 1 and 2 may not be part of the boards and may not be directors of the respective companies. The members of the boards of companies in which the state is sole shareholder shall be appointed and replaced under the conditions of this law, with the agreement of the relevant ministry or, as the case may be, of the local or Administrators, as well as their relatives and affiliates up to the second degree, may not, at the same time, be patrons or associates in companies with private capital, with the same profile, or with which they are in direct commercial relations. Censors in companies with full state capital will be representatives of the Ministry of Economy and Finance. " + Article 2 The words "Council of Empowers of the State" of the laws and decisions of the Government, in force on the date of publication of the present law in the Official Gazette of Romania, shall be replaced by the words " the interests of state capital ". This law was adopted by the Senate at the meeting of June 4, 1992, in compliance with the provisions of art 74 74 para. (2) of the Romanian Constitution.
