MOTION FOR RESOLUTION No. 37 /X

Having regard to the prediction of Article 5 (2) of the Act of Accession of the New States-

Members to the European Union, pursuant to which these have committed to join the

Convention on the Law Applicable to Contractual Obligations, open to signature in

Rome, on June 19, 1980, as well as to the First and Second concerning Protocols

to their interpretation by the Court of Justice;

Considering that for the realization of the said purpose it matters to establish the

changes and adaptations to the accession of the new Member States to the Convention on the Law

Applicable to Contractual Obligations and their Protocols.

Thus:

Under the terms of the paragraph d) of Article 197 (1) of the Constitution the Government presents to the

Assembly of the Republic the following motion for a resolution:

Approves, for ratification of the Convention on the accession of the Czech Republic, of the Republic

of Estonia, of the Republic of Cyprus, of the Republic of Latvia, of the Republic of Lithuania,

of the Republic of Hungary, of the Republic of Malta, of the Republic of Poland, of the

Republic of Slovenia and the Slovak Republic to the Convention on the Law Applicable to

Contractual Obligations, open to signature in Rome on June 19, 1980, well

as to the First and Second Protocols relating to their interpretation by the Court of

Justice of the European Communities, signed in Luxembourg, on April 14, 2005,

whose text, in the authenticated version in the Portuguese language, publishes itself in annex.

ON THE ACCESSION OF THE CZECH REPUBLIC,

OF THE REPUBLIC OF ESTONIA OF THE REPUBLIC OF CYPRUS,

OF THE REPUBLIC OF LATVIA OF THE REPUBLIC OF LITHUANIA,

OF THE REPUBLIC OF HUNGARY, OF THE REPUBLIC OF MALTA,

OF THE REPUBLIC OF POLAND, OF THE REPUBLIC OF SLOVENIA

AND OF THE SLOVAK REPUBLIC

TO THE CONVENTION ON THE LAW

APPLICABLE TO CONTRACTUAL OBLIGATIONS,

OPEN TO THE SIGNING IN ROME ON June 19, 1980,

AS WELL AS THE FIRST AND SECOND PROTOCOLS

CONCERNING YOUR INTERPRETATION

BY THE COURT OF JUSTICE OF THE EUROPEAN COMMUNITIES

THE HIGH CONTRACTING PARTIES TO THE TREATY ESTABLISHING A

EUROPEAN COMMUNITY,

HAVING REGARD to the Act on the Conditions of Accession of the Czech Republic, of the

Republic of Estonia, the Republic of Cyprus, the Republic of Latvia, the Republic of

of Lithuania, of the Republic of Hungary, of the Republic of Malta, of the Republic of Poland,

of the Republic of Slovenia and the Slovak Republic, and the adjustments to the Treaties in

which is founded by the European Union, in particular Article 5 (2),

REMEMBERING that, by becoming members of the European Union, the new states-

Members pledged to accede to the Convention on the Law applicable to the Obligations

Contractual, open to signature in Rome on June 19, 1980, as well as to the

First and Second Protocols relating to their interpretation by the Court of Justice,

with the amendments brought to it by the Convention signed in Luxembourg

on April 10, 1984, concerning the accession of the Hellenic Republic, by the Convention

signed at the Funchal on May 18, 1992, concerning the accession of the Kingdom of Spain and

of the Portuguese Republic, and by the Convention signed in Brussels on November 29

of 1992, concerning the accession of the Republic of Austria, the Republic of Finland and the

Kingdom of Sweden,

THEY AGREED IN THE FOLLOWING:

Title I

GENERAL PROVISIONS

ARTICLE 1.

The Czech Republic, the Republic of Estonia, the Republic of Cyprus, the Republic of

Latvia, the Republic of Lithuania, the Republic of Hungary, the Republic of Malta, the

Republic of Poland, the Republic of Slovenia and the Slovak Republic adheres:

a) To the Convention on the Law applicable to Contractual Obligations, open to signature

in Rome on June 19, 1980, hereinafter referred to as the "Convention of 1980", with

the adaptations and changes in it:

-by the Convention signed in Luxembourg on April 10, 1984, hereinafter

designated "Convention of 1984", concerning the accession of the Hellenic Republic to the

Convention on the Law applicable to Contractual Obligations,

-by the Convention signed at the Funchal on May 18, 1992, hereinafter

designated "Convention of 1992", concerning the accession of the Kingdom of Spain and

of the Portuguese Republic to the Convention on the Law applicable to the Obligations

Contractual,

-by the Convention signed in Brussels on November 29, 1996, the

hereinafter referred to as the "Convention of 1996", concerning the accession of the Republic of

Austria, the Republic of Finland and the Kingdom of Sweden to the Convention on

the Act applicable to Contractual Obligations;

b) To the First Protocol signed on December 19, 1988, hereinafter referred to

"First Protocol of 1988" concerning the interpretation by the Court of Justice of the

European Communities of the Convention on the Law applicable to Obligations

Contractual, with the adaptations and changes in it introduced by the Convention

of 1992 and by the Convention of 1996;

c) To the Second Protocol signed on December 19, 1988, hereinafter referred to

"Second Protocol of 1988", which it awarded to the Court of Justice of the

European communities certain competences in relation to interpretation

of the Convention on the Law applicable to Contractual Obligations.

Title II

ADAPTATIONS TO THE FIRST PROTOCOL OF 1988

ARTICLE 2.

In Article 2 (a) the following indents are inserted:

a) Between the first and the second indents:

Title III

FINAL PROVISIONS

ARTICLE 3.

1. The Secretary General of the Council of the European Union shall send a copy

authenticated from the 1980 Convention, of the 1984 Convention, of the First Protocol

of 1988, of the Second Protocol of 1988, of the Convention of 1992 and of the Convention

of 1996 in the German, Danish, Spanish, Finnish, French, Greek languages,

english, Irish, Italian, Dutch, Portuguese and Swedish to the Governments of the Republic

Czech, the Republic of Estonia, the Republic of Cyprus, the Republic of Latvia, the

Republic of Lithuania, of the Republic of Hungary, of the Republic of Malta, of the Republic

of Poland, the Republic of Slovenia and the Slovak Republic.

2. The text of the Convention of 1980, of the 1984 Convention, of the First Protocol

of 1988, of the Second Protocol of 1988, of the Convention of 1992 and of the Convention

of 1996 in Czech, Slovak, Slovenian, Estonian, Hungarian, Latvian, Lithuanian, Maltese, and

polish, makes faith in the same conditions as the other texts of the 1980 Convention, of the

Convention of 1984, of the First Protocol of 1988, of the Second Protocol of 1988, of the

Convention of 1992 and the Convention of 1996.

ARTICLE 4.

This Convention shall be ratified by the signatory States. The instruments of

ratification shall be deposited with the Secretary General of the Council of the European Union.

ARTICLE 5.

1. This Convention shall enter into force, in the relations between each of the States

that they have ratified it, on the first day of the third month following the deposit of the

second instrument of ratification.

2. UlLater, this Convention shall enter into force, in respect of each

Signatory state that comes forward to ratify, on the first day of the third month following the

deposit of its instrument of ratification.

ARTICLE 6.

The Secretary General of the Council of the European Union notifies the signatory States:

a) From the deposit of each instrument of ratification;

b) of the dates of entry into force of this Convention in the Contracting States.

ARTICLE 7.

This Convention, drawn up in a single copy, in the German languages, Czech,

Danish, Slovak, Slovenian, Spanish, Estonian, Finnish, French, Greek,

Hungarian, English, Irish, Italian, Latvian, Lithuanian, Maltese, Dutch, Polish,

Portuguese and Swedish, making equally faith any of the twenty one texts, will

deposited in the archives of the General Secretariat of the Council of the European Union. The

Secretary-General shall refer a certified copy to the Government of each signatory State.
