In this regard, we considered that it would be desirable for the State of the Netherlands to participate in the capital of the public limited company in the merger of the Netherlands Central Bank N.V. and the Postbank N.V. in which both banks working together, and Article 40 of the Comptability Act 1976 ( Stb. 671) is required for this participation by law;

In this way, we, the Council of State, and with the mean consultations of the States-General, have been well-regarded and understood to be right and to be understood by the following:

  • 1 Our Minister of Finance is authorized to take part, on behalf of the State of the Netherlands, in the capital of the public limited company as part of the joint venture between the public limited liability company, Nederlandsche Middenestates NV and the public limited liability company. Mr Postbank N.V. will hold shares in the Postbank N.V. and the shares in the Nederlandsche Middenimpaired bank N.V. or the shares in the company in which the assets and liabilities of the Nederlandsche Middenimpaired bank N.V. are held. will be accommodated.

  • 2 The authorisation shall be limited to holding an interest of up to nine and 40% of the capital of the public limited company.

This Act shall enter into force from the day following the date of issuance of the State Sheet where it is placed.

Burdens and orders that are in the State Sheet will be placed, and that all ministries, authorities, colleges and officials who so concern will keep their hands on the precise execution.
