p>BAB IV

THE POSITION, PRINCIPAL DUTY AND FUNCTION

Article 5

(1) The Occupation of BUMD PT. Established is an element of regional autonomy in the field of venture activities in order to develop the economy to increase Regional Real Revenue.

(2) BUMD PT. Established has the principal task of carrying out a portion of the Regional Government's affairs in the field of business activities.

BAB V

TYPE OF EFFORT

Section 6

BAB VI

STATUS AND PLACE OF POSITION

Article 7

(1) BUMD PT. Established is a parent company or Holding Company.

(2) BUMD PT. Established as referred to in verse (1) is headquartered in the Full River.

BAB VII

CAPITAL AND SHARES

Article 8

Article 9

(2) Any shareholder according to the law must be subject to the basic Budget and to all decisions taken lawfully in the RUPS as well as the basis of applicable laws.

Article 10

(1) Addition BUMD capital based on RUPS approval.

(2) The addition of the capital is derived from: a. Budget and Regional Shopping (b). Reserve capitalization; and c. Other sources.

(3) Each addition of capital funds derived from APBD was first consulted to the DPRD for the next set with the Regional Regulation.

BAB VIII

WORKING PARTNER

Article 11

Second Section RUPS

Article 13

(1) RUPS in the BUMD PT. Established is: a. An annual general meeting; and b. Outstanding shareholder general meeting;

General

Article 14

BAB III

FORMATION

Article 4

Paragraph 3 Of Directors Meeting

Article 25

BAB X

WORK AND BUDGET PLAN

ENTERPRISE (RKAP)

Article 27

(1) The Corporate Work and Budget Plan (RKAP) is the guideline and management tool in managing the organization and activities of the annual business BUMD.

(2) Directors deliver the Corporate Work and Budget Plan (RKAP) to RUPS no later than 3 (three) months before the end of the book year running to receive assent after the Commissioner's approval.

(3) The Company ' s Work and Budget Plan (RKAP), by RUPS, is conducted at least 2 (two) months after the RKAP is accepted.

(4) In terms of the Corporate Work and Budget Plan (RKAP) that the RUPS has passed in its management. required an adjustment, then the Directors may hold a change or revision.

BAB XI

MANAGEMENT OF GOODS

REPORT ACTIVITY

Article 29

BAB XIII

YEAR OF BOOK AND ANNUAL RECKONING

Article 30

(1) The book year is the calendar year. (2) The directors deliver the financial annual report

BAB XIV

ASSIGNMENT AND PROFIT USAGE

Section 31

(1) Profit Revenue The net is set by RUPS.

b. hold loans, issue bonds, capital inclusion and hold new investmenalues and shares under the laws.

(3) The use of net profit is specified in accordance with the provisions of the laws.

BAB XV

COACHING

Article 32

(1) The mayor is doing public coaching against the BUMD in order to improve the purpose and outcome of the BUMD as the Regional Autonomy tool.

(2) The general coaching performed by the Mayor as referred to in paragraph (1), in its implementation assisted by the Regional Secretary and related Area Device Unit.

BAB XVI

SUPERVISION

Article 33

(1) The general supervision of the BUMD is carried out by RUPS.

(2) In terms of general supervision as referred to in paragraph (1), the RUPS is assisted in the Inspectorate.

(3) Inspectorate carrying out oversight covering checks against BUMD.

(4) In establishing BUMD supervision, RUPS periodically holds a meeting with authorized officials to discuss the development and survival of the BUMD.

(5) Surveillance as referred to in paragraph (1) is performed 1 (one) year at the end of the book year after obtaining a financial report published by the Independent Auditor.

(6) The report as referred to paragraph (5) is also delivered to the DPRD.

BAB XVII

KEPAILITAN

Article 34

BUMD PT. Established can be declared pailit under applicable law.

BAB XVIII

THE ANSWER AND DAMAGES CHARGES

section 35

(1) All BUMD employees include members of the Board of Directors who are unburdened to the task save money, valuable letters and items that are due to acts against the law or because of labeling the obligations and duties that are charged to them, directly or indirectly have incurred a loss to the BUMD, required to replace those losses and or are sanctioned in accordance with the regulations Applicable law.

BAB XIX

CLOSING provisions
