BEING A PERSEROAN COMPANY (PERSERO)

PRESIDENT OF THE REPUBLIC OF INDONESIA,

.,, weighed: a. that in order to improve the efficiency and effectiveness of the effort, then the General Enterprise (PERUM) Port III which was established with Government Regulation No. 6 of 1985 needs to be transferred its form into a Perseroan Company (PERSERO) as the referred to in Act Number 9 of 1969;
., b. that in connection with this, the transfer of the Form of General Enterprise (PERUM) Port III becomes a Perseroan Company (PERSERO), needs to be established with the Government Regulation;

.,, Given: 1. Section 5 of the paragraph (2) of the Basic Law of 1945;
., 2. The Code of Trade Law (StaatsbladTahun 1847 Number 23) as has been several times amended, last with Law No. 4 of 1971 (State Sheet of 1971 Number 20, Additional Gazette number 2959);
., 3. Law Number 9 of the Year 1969 on the Enaconing Of The Statutory Successor Government Number 1 Year 1969 on State Forms Of Effort (state Gazette 1969 Number 16, Additional Gazette number 2890) into Law (State Gazette 1969 Number 40, Additional Gazette Number 2904);
., 4. Government Regulation Number 12 of 1969 on the Company Perseroan (PERSERO) (1969 State Sheet Number 21, Additional Gazette State Number 2894) as amended by Government Regulation No. 24 of 1972 (State Sheet) 1972 Number 32, Auxiliary Leaf Country Number 2987);
. .5. Government Regulation No. 3 of 1983 on the Governance of Coaching And Supervision Of The Corporation (PERJAN), Public Company (PERUM), And The Perseroan Company (PERSERO) (State Sheet Of 1983 Number 3, Extra State Sheet Number 3246) as has been amended with Government Regulation No. 28 of 1983 (State Sheet of 1983 Number 37);

DECIDED:

.,, Setting: REGULATION OF THE GOVERNMENT OF THE REPUBLIC OF INDONESIA ON THE DIVERSION OF THE FORM OF A GENERAL CORPORATION (PERUM) PORT III INTO THE COMPANY OF PERSEROAN (PERSERO).

BAB I
DIVERSION OF FORM AND DISSOLUTION

Section 1
.,, (1) The General Enterprise (PERUM) Port III which was established with Government Regulation No. 6 of 1985 was transferred its form into the Perseroan Company (PERSERO) as referred to in Law Number 9 of 1969.
.,, (2) With the exception of the form of the General Enterprise (PERUM) Port III to be a Perseroan Company (PERSERO) as referred to in paragraph (1), the General Company (PERUM) Port III was declared disbanding at the time of the founding of the Company of Perseroan () It is provided that all rights and obligations, wealth and employees of the General Company (PERUM) of Port III, at the time of its dissolution are turned to the Perseroan Company (PERSERO), including the ports of the United States Department of State. as set forth in this Government Regulation Attachment.

BAB II
INTENT AND PURPOSE

Section 2
The intent and purpose of the Perseroan Company (PERSERO) as referred to in Article 1 is to host the following efforts:
., a., a. harbor pools and vast waters for cruise traffic and berths;
., b. The services associated with the ships (pilotage) and the delivery of marine vessel delay;
., c. docks for taming, unloading, goods and animals, as well as the provision of passenger-ride facilities;
., d. The warehouses and heaps of the city's goods, unloading equipment, and port equipment;
., e. land for various buildings and fields, in connection with the importance of maritime and industrial transport;
., f. networks of roads and bridges, aqueducts, power channels, drinking water channels, fire extinguers and others;
G. terminal services;
h. Other efforts that can support the company's objectives.

BAB III
PERSERO CAPITAL

Section 3
.,, (1) The Modal Company of Perseroan (PERSERO) as referred to in Article 1 of which is placed and tuned at the time its founding came from the wealth of the State embedded in the General Enterprise (PERUM) Port III.
.,, (2) The value of the Country ' s wealth as referred to in paragraph (1) is set by the Minister of Finance based on the results of a joint calculation by the Department of Finance and the Department of Transportation.
., (3) other provisions of the Perseroan Company ' s (PERSERO) application are set up in its Basic Budget, including the provisions regarding the base capital of the Company Perseroan (PERSERO) which is divided over the shares in accordance with the provisions of the Regulation. The Government Number 12 Year 1969 as amended by Government Regulation No. 24 of 1972.
.,, (4) Neraca the opening of the Perseroan Company (PERSERO) is set by the Finance Minister
BAB IV
THE IMPLEMENTATION OF THE PERSERO ESTABLISHMENT

Section 4
The implementation of the establishment of the Company (PERSERO) as referred to in Article 1 is conducted under the provisions of the Code of Trade Law (Staatsblad of 1847 Number 23) as has been several times amended, last with the Act of Law of the Law of Commerce (WSDM). Number 4 of 1971 with regard to the provisions set forth in Government Regulation No. 12 of 1969 as amended with the Government Regulation No. 24 of 1972.

Section 5
.,, (1) The completion of the establishment of the Perseroan Company (PERSERO) as referred to in Article 4 is felt to the Minister of Finance.
.,, (2) the Finance Minister may submit the power as referred to in paragraph (1) with the accompanying substitution right to the Minister of Transportation provided that the Basic Budget Plan of the Company (PERSERO) must be granted consent. First from the Minister of Finance.

BAB V
CLOSING PROVISIONS

Section 6
Since the establishment of the Company Perseroan (PERSERO) and the creation of the General Company (PERUM) Port III, the Government Regulation No. 6 of 1985 was declared to be not valid.

Section 7
The further provisions necessary for the implementation of this Government Regulation are governed by the Minister of Finance and the Minister of Transportation both jointly and individually in accordance with their respective fields of duty.

Section 8
This Government Regulation shall come into effect on the date of the promulctest.
