CHANGES TO THE REGIONAL REGULATIONS OF WEST JAVA ' S REGIONAL I REGION NUMBER 2 OF 1999 ON BUSINESS AGRI BUSINESS COMPANY

AND WEST JAVA ' S I-LEVEL PROPINSI MINING

WITH THE GRACE OF GOD ALMIGHTY

THE WEST JAVA GOVERNOR,

DRAWS: A. that the Regional Property Agency has a strategic role in the development and economic development process of the Regions as well as having a function as the native income source of the Regions;

b. that the Regional Group of Agriculture and the Mining Propinsi Region of West Java which was established under the Regional Propinsi Regulation of West Java No. 2 Year 1999, in its operations encountered various problems which were resulting loss, so that it needs to be done significant steps through the Regional Corporate restructuring;

c. that based on consideration as in letter a and b, need to be made changes to the Regional Regulations Province of West Java Level I No. 2 Year 1999, which is set with Province Of West Java Province;

Given: 1. Law No. 11 of 1950 on the Establishment of West Java Province (State News of the Republic of Indonesia on 4 July 1950) Jo. DECIDED:

STIPULATING: THE REGIONAL REGULATIONS ON THE CHANGE OVER THE REGULATIONS OF THE REGION OF WEST JAVA ' S WEST I REGION NUMBER 2 YEAR 1999 ABOUT THE AGRI BUSINESS COMPANY AND MINING THE PROVINCE OF WEST JAVA ' S AREA I.

Article I Some provisions in the Regional Regulation of West Java Region No. 2 Year 1999 concerning Agribusiness and Mining Regions of West Java Region I Province (Local Gazette of 1999) Number 6 Series D), modified as follows:

1. The provisions of Article 1, after the letter g plus the letter g1 as follows:

g1. A restructuring is an attempt made in the framework of a Regional-Owted Business Agency which is one of the strategic steps to improve the company's internal conditions in order to improve performance and improve the value of the company.

2. The provisions of Article 7, amended as follows:

Article 7

(1) The base Modal of the Regional Company is set at Rp. 72.771.688.651.00 (seventy-two billion seven hundred and seventy one million six hundred and eighty-eight thousand six hundred thousand six hundred thousand six hundred thousand six hundred thousand six hundred thousand six hundred thousand six hundred sixty thousand Fifty-one rupiah.

(2) Basic Modal as referred to in verse (1), has been met by the Local Government as the owner of the Regional Company of Rp. 72.771.688.651.00 (seventy-two billion seven hundred and seventy one million six hundred and eighty-eight. Thousand six hundred and fifty-one rupiah.

3. Between BAB XVI and BAB XVII, inserted a BAB XVIA consisting of Section 19a and Section 19b as follows:

RESTRUCTURING

Article 19a

(1) The Local Government must be restructuring County Company for the purpose of improving and optimizing the performance of the Regional Company, in the slowest term of 1 (one) year since the expiration of this Regional Regulation.

(2) Restructuring as referred to in paragraph (1), includes:

a. assets;

b. business types;

c. entrees and finance; and

d. organization.

(3) The provisions of the order and restructuring mechanisms as referred to in paragraph (1) and (2), are further regulated by the Governor in accordance with the provisions of the laws.

Section 19b

(1) The Restructuring Of The Area Corporation as referred to in Section 19a may be:

a. enterprise development and investment;

b. changes to the legal form into a Limited Perseroan;

c. Merge/merger; and/or

d. liquidation.

(2) The governor delivered the results of the restructuring as referred to paragraph (1) to the DPRD.

4. The provisions of Article 20, after paragraph (1) plus paragraph (1a) as follows:

(1a) During the term of the restructuring process as referred to in Section 19a paragraph (1), the Regional Company remains in operation as usual.

Article II

This Regional Regulation is beginning to apply to the date of promulgations.

AND MINING PROPINSI AREA I WEST JAVA

I. UMUM

Agricultural and Mining Regional Corporation of West Java Region as one of the Regional Enterprises Belonging To The Area of the Local Corporate Law has a function among others as one of the original sources of revenue Area.

Performance of the Regional Agribusiness and Mining Company of West Java in the last 10 years showed a development that was not in compliance with expectations and continued to suffer losses. Under the conditions of the Company's Enterprise, it must be made a vision effort by improving and optimizing the Company's overall performance through a restructuring of the company covering assets, business type, application and finance and organization to create an enterprise climate that is conducive to optimal efficiency and service.

In the implementation of such restructuring, the Local Government as a regulator with a functional relationship with the Company The area needs to provide the setting and setting of the Regional Company as The business entity, including, applies good corporate governance principles and sets directions in order to exercise public service obligations.

The relationship with that, it needs to be done. changes to the Regional Regulation No. 2 of 1999 concerning the Agricultural Regional Company and the Mining Propinsi Region of West Java, which is set with the Regional Regulation.

6. The inclusion of the Government of the Local Government in 2003, amounted to Rp. 6,900.000.00 (six billion nine hundred million rupiah); and

7. The Government of the Local Government in 2004 amounted to Rp. 4,350,000.00 (four billion three hundred and fifty million rupiah).
