INDONESIAN ASAHAN ALUMINIUM ASSIGNMENT
AS THE COMPANY OF PERSEROAN (PERSERO)
PT INDONESIA ' S ASAHAN ALUMINIUM
WITH THE GRACE OF THE ALMIGHTY GOD
PRESIDENT OF THE REPUBLIC OF INDONESIA,
Weigh: a. that the Parent Agreement between the Government of the Republic of Indonesia with Modal Planters To Project Power Plants and Aluminium Asahan (Master Agreement Between The Government Of Indonesia And The Investors For Asahan Hydroelectric And Aluminum Project) ended on October 31, 2013;
B. that the Government of the Republic of Indonesia has decided not to extend the Parent Agreement as referred to in the letter a and agree the implementation of termination is done through the transfer of shareholding (share transfer) as a replacement The transfer of the assets (the asset transfer) that is governed by the Master Agreement
c. that on December 19, 2013, it has been signed Deed Diversion Stake PT Indonesia Asahan Aluminium owned by Nippon Asahan Aluminium Co., Ltd. to the Government of the Republic of Indonesia;
D. that under consideration as intended in the letter a, the letter b, and the letter c, and to carry out the provisions of Article 4 paragraph (3) of the Law No. 19 Year 2003 on the State-owned Enterprises, need to establish the Government Regulation (s). about Redemption PT Indonesia Asahan Aluminium as Corporate Perseroan (Persero) PT Indonesia Asahan Aluminium;
Remembering: 1. Article 5 of the paragraph (2) of the Basic Law of the Republic of Indonesia in 1945;
2. Act No. 19 of 2003 on the State Governing Body (Indonesian Republic of Indonesia Year 2003 Number 70, Additional Gazette of the Republic of Indonesia Number 4297);
3. Act No. 1 Year 2004 on the State Treasury (State Sheet Indonesia 2004 Number 5, Additional Gazette Republic of Indonesia Number 4355);
4. Government Regulation No. 44 Year 2005 on the Tata Way Inclusion And Entrepreneurship Enterprises of the State-owned Enterprises and Limited Perseroan (State Sheet of the Republic of Indonesia 2005 No. 116, Additional Gazette of the Republic of Indonesia Indonesia Number 4555);
DECIDED:
SET: GOVERNMENT REGULATION ON THE DESIGNATION OF PT INDONESIA ASAHAN ALUMINIUM AS THE COMPANY PERSEROAN (PERSERO) PT INDONESIA ASAHAN ALUMINIUM.
Section 1
(1) PT Indonesia Asahan Aluminium is designated as Corporate Perseroan (Persero) PT Indonesia Asahan Aluminium as referred to in Law No. 19 of 2003 on the State-owned Enterprises Agency, as a result of Nippon-owned stock transfer Asahan Aluminium Co., Ltd. at PT Indonesia Asahan Aluminium to the State of 58.88% (fifty-eight in comma eighty-eight percent).
(2) With the transfer of the shares of Nippon Asahan Aluminium Co., Ltd. as referred to in paragraph (1), then the value of the inclusion of the capital of the Republic of Indonesia on the Perseroan Company (Persero) PT Indonesia Asahan Aluminium which was previously 41.12% (forty-one twelve percent comma) to be 100% (one hundred percent).
(3) Over the transfer of shares of Nippon Asahan Aluminium Co., Ltd. as referred to in paragraph (1), the State provides compensation with funds sourced from the State Budget and Revenue Budget Year of 2012 and the Budget and Revenue Budget State of Budget 2013.
Section 2
The value of the inclusion of the State capital as a result of the transfer of shares belonging to Nippon Asahan Aluminium Co., Ltd. at PT Indonesia Asahan Aluminium as referred to in Article 1 is set by the Minister of Finance.
Section 3
This Government Regulation came into force on 19 December 2013.
