Publics concerned: users and staff of higher education and research institutions members of the community of universities and institutions (COMUE) "Confederal University Léonard de Vinci".
Subject: approval of the statutes of the public institution of a scientific, cultural and professional character "Confederal University Leonardo da Vinci".
Entry into force: the text comes into force on the first day of the month following its publication.
Notice: this decree approves the COMUE statutes, in accordance with theArticle L. 718-8 of the Education Code. The property consists of the following members: the universities of La Rochelle, Limoges, Orleans, Poitiers and Tours, the Ecole nationale supérieure de mécanique et d'aérotechnique and the Institut national des sciences appliqués Centre Val de Loire.
The facility carries the shared project defined in the articles L. 718-2, L. 718-5 and L. 718-16 Education code. In this context, in particular, the COMUE ensures synergy between institutions for the development of new research and training projects, the porting of projects of the future investment program 2, the establishment of a single doctorate and the piloting of the doctoral policy, the definition of a common signature policy for the scientific production of member institutions, the accreditation of masters, the definition of a digital policy.

The scientific, cultural and professional public institutions "PRES Limousin-Charentes" and "Centre - Val de Loire Université" are dissolved.
The property, law and obligations, including the contracts of the staff, as well as the activities of these institutions are transferred to the "Confederal University Leonardo da Vinci".
The financial accounts for the 2015 fiscal year of these institutions are prepared by the accounting officers in office when the establishments are removed. They are approved by the board of directors of the "Confederal University Leonardo da Vinci".

    STATUS OF THE PUBLIC APPROACH TO SCIENTIFIC, CULTURAL AND PROFESSIONAL CHARACTERIAL "UNIVERSITY CONFÉDÉRALE LÉONARD DE VINCI"
    Preamble


    Higher education and research institutions and research institutions in the Central, Limousin and Poitou-Charentes regions have decided to establish a community of inter-academic universities and institutions (COMUE) pursuant to the provisions of the Act of 22 July 2013 on higher education and research. This COMUE takes the name of "Confederal University Leonardo da Vinci".
    The confederal university Leonardo da Vinci is carrying on a project shared by all the institutions that compose it. The aim shared by the institutions is to create in the national landscape a large university in a network of European dimension and international visibility thanks to its potential for research and higher education. By its size and geographic scope, this grouping is thus a powerful lever of international positioning and territorial structuring. Also, the confederal university Leonardo da Vinci will carry strategic site contracts. The project of the confederal university Leonardo da Vinci in the proposed configuration presents great intrinsic coherence and draws its relevance and strength from the originality of its organizational model in a network of balanced sites.
    In this context, the confederal university Leonardo da Vinci allows its members to strengthen their competitiveness by defining a common strategy that concerns all areas of activity of the institutions. They will thus collectively be able not only to position themselves as the key interlocutor of public authorities at the national and regional levels, but also to increase their European and international visibility. The confederal university Leonardo da Vinci is a confederal university, around a shared project, operating in a network according to the principle of ascending subsidiarity (do together what it is not possible to do alone). In addition to the work of consultation of its members, the coordination of their strategies and the pooling of their activities, the confederal university Léonard de Vinci will set up new tools, which will fall within its own competence, to drive and integrate the priority axes of the joint global strategy.
    These statutes are supplemented by rules of procedure and by a social annex.

    • Part I: GENERAL PROVISIONS


      Article 1
      Legal nature


      The community of universities and establishments referred to as "Tedral University Leonardo da Vinci" is a public institution with a scientific, cultural and professional character under the supervision ofArticle L. 711-2 of the Education Code.


      Article 2
      Headquarters


      The head office is fixed by a statutory deliberation of the Board of Directors of the COMUE.


      Article 3
      Composition of the grouping


      Article 3.1
      Composition of the grouping


      The grouping includes the members of the COMUE, as well as its partners and partners, engaging on all or part of the shared project. Members, partners and partners retain their moral personality.
      Members are:
      1° University of La Rochelle;
      2° University of Limoges;
      3° University of Orleans;
      4° University of Poitiers;
      5° University of Tours;
      6° École nationale supérieure de mécanique et d'aérotechnique;
      7° INSA Centre - Val de Loire.
      The partners are public institutions that are committed to the COMUE project, but support only part of this project, depending on their skills or resources.
      A special convention links the COMUE to partners and partners. This agreement must determine the objectives of the partnership or association related to the shared project. It should specify the support provided by these institutions to the objectives and missions of the COMUE and, for the partners, their participation in the COMUE governance bodies.
      The list of partners and partners, on the date of the creation of the COMEU, is specified in the annex.


      Article 3.2
      Principle of adhering to reunification


      Other higher education or research institutions can join the COMUE:
      1° Either as members, subject to approval by the board of members and the board of directors under the conditions set out in section 8;
      2° Either as partners, by decree following the signing of an association agreement in accordance with the third paragraph of Article L. 718-16 of the Education Codeand subject to approval by the Council of Members and the Board of Directors under the conditions set out in section 8;
      3° Be as partners, by signing a partnership agreement, in accordance with first paragraph of Article L. 718-16 of the Education Code and subject to approval by the Council of Members and the Board of Directors under the conditions set out in section 8.


      Article 3.3
      Principle of withdrawal and exclusion


      Any wish to withdraw a member or any wish to terminate an association or partnership agreement shall be communicated to the President of the COMEU no later than one year before the date of withdrawal or termination envisaged. The terms and conditions for the withdrawal of a member or the conditions for the termination of an association or partnership agreement, established in accordance with the institution concerned, shall be approved by the Board of Members and the Board of Directors of the COMUE.
      Any withdrawal from one of the members of the COMEU results in a return to the latter of the missions transferred, and the sharing of the COMUE's assets and values, as well as the participation in the commitments undertaken by the COMEU.
      The exclusion of a member, including the terms and conditions of this exclusion, may be pronounced by deliberation of the board of directors, after advice from the board of members. The heritage and financial consequences of the exclusion are treated under the same conditions as in the event of a member's withdrawal.

    • Part II: MISSIONS, COMPÉTENCES OF THE COMMITTEE


      Article 4
      Missions


      COMUE carries the shared project provided for in the articles L. 718-2, L. 718-5 and L. 718-16 the code of education in research, training, valorization and, in particular, the transfer of technologies, the professional integration of users, international action, campus life, communication, and the diffusion of scientific, technical and industrial culture.
      The joint component corresponding to the shared project adopted by the Board of Directors of the COMUE, and approved by the two-thirds majority board, deputy to the specific component of each institution and adopted by each of their boards of directors, constitutes the site contract.


      Article 5
      Jurisdiction


      Within the framework of the shared project and in accordance with the principle of subsidiarity, COMUE ensures:
      1° Development and implementation of the common component of the multi-year site contract;
      2° The synergy between institutions for the development of new research and training projects within the framework of the shared project strategy;
      3° The porting of PIA 2 projects;
      4° The establishment of a single doctorate and the piloting of doctoral policy: the COMUE issues the doctoral degree and supervises all doctoral schools common to all members and doctoral colleges of site;
      5° The definition of a common signature policy for the scientific production of member institutions, partners and partners, while ensuring the visibility of each member's contributions;
      6° Accreditation of masters in connection with the scientific axes of the shared project to position itself internationally;
      7° Communication on the COMEU within the scope of the shared project;
      8° The definition of a digital policy.
      In agreement with members, within the framework of the shared project, the COMUE is particularly coordinating the overall coherence of the actions of institutions related to the policy and strategy of:
      1° Communication and legibility of the training offer;
      2° Success in license;
      3° Continuous training;
      4° The training continuum bac - 3 bac + 3 ;
      5° The orientation and professional integration of students;
      6° Active orientation and post-bac admission;
      7° The development of student mobility;
      8° The reception and support of foreign students;
      9° Improvement of the quality of student life and social promotion in the territory;
      10° The directions of the valuation policy;
      11° The transfer and dissemination of knowledge;
      12° A system of open and shared documentary resources within the COMEU;
      13° Personnel training.
      Any change in the scope of competence requires a request to amend the statutes, with the prior agreement of the Board of Directors of the COMUE, seized by the Council of Members after a favourable vote of all relevant boards of directors of the universities and member institutions.


      Article 6
      Means of action


      To implement its skills, the COMUE has a general delegate. The COMUE relies primarily on the services of member institutions, or on the provision of personnel.

    • Part III: INSTANCES OF COMUAL GOVERNANCE


      Article 7
      General Organization


      The COMUE is administered by a board of directors, assisted by a board of members and an academic council.
      The president, elected by the board of directors, directs the institution.


      Article 8
      Board of Directors


      Article 8.1
      Composition


      The Board of Directors includes forty-six directors:
      1° Seven representatives of higher education institutions members of the community, representing each institution or organization;
      2° Eight qualified personalities designated jointly by the members mentioned in 1°;
      3° Eight representatives of enterprises, territorial authorities, including at least one of each region concerned, public inter-communal cooperation institutions and associations;
      4° Twelve representatives of teachers, research teachers and researchers serving in the COMEU or in the member institutions or both in the COMEU and one of the member institutions, elected in two separate colleges as defined in the COMEUArticle D. 719-4 of the Education Codesix representatives under College A and six representatives under College B;
      5° Six representatives of other personnel in the COMEU, or in member institutions or both in the COMEU and one of the member institutions;
      6° Five user representatives who attend training in the COMUE, or in a member institution.


      Article 8.2
      Designation or election mode


      Article 8.2.1
      Members of colleges 1° to 3°


      The directors referred to in 1° of Article 8.1 shall be elected by the board of directors of each establishment on the proposal of the president or director of the establishment.
      The list of companies and associations whose representatives sit under category 3 of Article 8.1 is fixed by statutory deliberation of the board of directors, on the proposal of the members of category 1°.
      Renewal of mandates occurs every four years. In the event of a vacancy, a new member shall be elected or designated for the term remaining to be run only when the lists are exhausted.


      Article 8.2.2
      Members of colleges 4° to 6°


      The members mentioned in the 4th to 6th of Article 8.1 shall be elected by direct ballot. Elections are held over the same period in each institution.
      For College No. 4, each list of candidates must represent at least three of the following four disciplinary sectors:
      1° Human and social sciences;
      2° Law, economy, management;
      3° Science and technology;
      4° Health.
      This provision does not apply to Colleges Nos. 5 and 6.
      Each list of candidates must ensure the representation of at least five member institutions of the COMEU. It is composed alternately of a candidate of each sex.
      Renewal of mandates occurs every four years, except for representatives of users, whose terms are two years.
      In the event of a vacancy, a new member is elected for the remaining term of office.
      The election is made for the three colleges by the list vote in one round, with proportional representation to the strongest remains. The list that did not obtain a number of votes at least ten per cent of the votes cast is not allowed to the distribution.
      A nomination is mandatory for each list of candidates.
      If several lists have the same rest for the award of the last seat, it returns to the list that won the largest number of votes. In the event of equality of votes, the seat is assigned to the youngest candidates who may be declared elected.
      The renewal of one or more colleges of staff representatives to the board of directors, for any reason, intervenes for the duration of the term of office of the president of the COMEU remaining to run.
      However, the concomitant resignation of two-thirds of the members holding the board of directors or the cancellation of the elections in one or more colleges of representatives of staff and users corresponding to two-thirds of the elected members holding the board of directors shall prevail the dissolution of the board of directors and the academic council and the termination of the term of office of the President of the COMEU.


      Article 8.3
      Attributions


      Within the framework of the shared project, and in accordance with the principle of subsidiarity, the Board of Directors defines, by its deliberations, the COMUE policy. This includes the following:
      1° Vote the general guidelines and strategic plan for COMUE actions, means and structures;
      2° Approves the shared project and the common part of the multi-year settlement contract with the State;
      3° Approves the general organization and operation of the COMEU, including the creation and suppression of its coordination components;
      4° Approves the COMUE training and diploma offer;
      5° Decides on the membership of a new member, its principle and its terms;
      6° Says on any application for association, in the sense of theArticle L. 718-16 of the Education Code, its principle and its terms; in the case of higher education institutions established in the territory and under the sole Ministry of Higher Education, the deliberation concerns the content of the association agreement, in accordance with article L. 718-16 referred to above;
      7° Decides on the withdrawal and exclusion of a member, its principle and its terms;
      8° Denounces a convention of association, its principle and its terms;
      9° Approves the budget and its amendments, the financial account and the allocation of results;
      10° Voting the rules of procedure and its amendments;
      11° Vote the rules relating to doctoral and other training for which the COMUE is accredited;
      12° Establishes general terms and conditions of recruitment and employment of COMEU personnel, including contractual agents;
      13° Deliberation on digital issues and resources;
      14° Approves acquisitions, alienations and exchanges of buildings;
      15° Approves leases and leases of buildings;
      16° Accepts the alienation of household goods;
      17° Accept gifts and bequests;
      18° Approves contracts and conventions;
      19° Authorizes legal actions, transactions and recourse to arbitration in cases of disputes arising from the execution of contracts with European or foreign organizations of any kind;
      20° Authorizes participation in legal entities, including by taking part and creating subsidiaries;
      21° Approves the annual activity report, the social balance sheet and the disability master plan;
      22° Eliminates the President of the COMEU;
      23° Eliminates the Vice President of Digital Resources on the proposal of the President;
      24° Creates any commission or committee that it considers useful or proposed to it by the Chair, as these committees or committees are placed directly under the authority of the Chair in accordance with the terms and conditions set out in the rules of procedure;
      25° Takes note of the recommendations of the academic council and deliberates on the follow-up to be given;
      26° Approves the amendments to these statutes;
      27° Vote the creation of the COMUE technical committee created in accordance with theArticle L. 951-1-1 of the Education Code ;
      28° Describes the member public institution of higher education, the disciplinary section of which is competent to examine the facts leading to prosecution, committed by teachers-researchers or teachers from a higher education institution or users, at the COMUE premises and premises.
      As part of its competence, the Board may establish any relevant commissions to which it designates members and defines missions.
      Within the limits it determines, the board of directors may delegate to the President all or part of its powers in the matters referred to in 14° to 19° above.
      In addition, the President may receive delegation to make the amending decisions of the budgets that are not intended to increase expenditures, or to transfer credits between the operating, personnel and investment chapters, or that are intended to allow the execution of conventions, in accordance with the overall balance. At the next meeting of the Council, he reported on the decisions taken in the context of those delegations.


      Article 8.4
      Meetings


      Article 8.4.1
      Frequency and method of convening


      The Board of Directors shall meet at least twice a year, at the convocation of its Chair, on an agenda jointly prepared by the Chair and the Council of Members. It is also convened at the request of at least half of the directors on a specific agenda.


      Article 8.4.2
      Quorum


      Subject to the provisions below, the board shall deliberate validly if at least half of the directors in exercise are present or represented or participate in the session by means of videoconferencing or electronic communication under conditions permitting the identification of the directors and guaranteeing the collegial character of the deliberation, under conditions detailed in the rules of procedure. Directors may give power to another administrator. No one can carry more than two proxys. If the quorum is not reached at the opening of the session, the board shall be reconvened on the same agenda within eight days of the date of this session of the Board of Directors. It then deliberates validly, regardless of the number of directors present or represented.


      Article 8.4.3
      Presidency of the meeting


      When the Chair cannot preside over a session, the Board shall be chaired by one of the Vice-Chairs designated by the Chair. If not, the election of a sitting chair shall be made by a majority of the directors present or represented.


      Article 8.4.4
      Decision-making


      Each director has a deliberate vote on the board of directors. Unless otherwise provided in these statutes, the deliberations shall be acquired by a simple majority of the votes of the directors present or represented. In case of equality, the president's voice is preponderant. When the chair is not a member of the board of directors, the number of votes of the board is increased by one vote.
      Adopted by an absolute majority of the members in exercise of the Board of Directors:
      1° The election of the president;
      2° Amendments to these statutes including membership of any new member, exclusion or withdrawal of a member;
      3° The association or dissociation of any institution or organization.
      The rules of procedure are adopted and amended by a deliberation of the board of directors voted by a two-thirds majority, after favourable advice from the council of members expressed unanimously.


      Article 8.4.5
      Guests


      Academy rectors attend or be represented at the Board of Directors with an advisory voice.
      The President may invite any person whom he or she deems the useful presence to attend, with an advisory vote, the meetings of the Council. Member heads of establishment, accounting officer and deputy head attend advisory sessions.


      Article 8.4.6
      Executory character


      Subject to the legislative and regulatory provisions in force, decisions of the board of directors shall be enforceable without delay.


      Article 9
      Council of members


      Article 9.1
      Membership composition


      The Council of Members shall bring together the President and the Director or their representative of each member institution of the COMEU.
      Each member has a deliberate voice. The Council of Members is chaired by the President of the COMEU, who has no deliberative voice.


      Article 9.2
      Attributions


      The Council of Members is associated with the preparation of work, the definition of agendas and the implementation of the decisions of the Board of Directors.
      It prepares the proposals and is obligatoryly consulted on the following topics:
      1° General guidance and the COMUE strategy;
      2° The adoption and modification of the budget;
      3° Applications for associations or the denunciation of an association agreement;
      4° Preparation of the joint multi-year contract between the Minister for Higher Education and Research and the community of universities and institutions;
      5° Amendments to these statutes;
      6° Preparation of the work of the academic council;
      7° The adoption or amendment of the COMUE rules of procedure;
      8° The general organisation and operation of the COMUE.


      Article 9.3
      Opinion and vote


      The board of members meets at a minimum before each session of the board of directors. It is possible to ensure the participation of members by videoconferencing or by means of electronic communication under conditions allowing the identification of these administrators and guaranteeing the collegial character of deliberation, detailed in the rules of procedure.
      When the chair cannot preside over a session of the Council of Members, his or her functions shall be performed by one of the members of that Council under the conditions set out in the rules of procedure.
      Members of this board may give power to another member of this board. No one can carry more than one proxy.
      The Accountant Officer, the President of the Academic Council, the Delegate General may attend meetings of the Council of Members without a deliberate vote.
      The Council of Members shall meet validly if the majority of members are present or represented or participate in the session by means of videoconferencing or electronic communication under conditions allowing the identification of such representatives. If the quorum is not reached at the opening of the session, the Council of Members shall again be convened on the same agenda within eight days. It then meets validly, regardless of the number of members present or represented.
      Each member serving on the Council of Members has one vote.
      Members' advice is acquired:
      1° A majority of members present or represented on item 2° referred to in Article 9.2 above;
      2° A qualified majority of two thirds of the members present or represented on the subjects mentioned in points 1°, 3°, 4°, 5° and 6° of article 9.2 above;
      3° Unanimity of the members present or represented on the subjects mentioned in paragraphs 7° and 8° of Article 9.2 above.


      Article 10
      Academic Council


      Article 10.1
      Composition


      The academic council comprises ninety-two members:
      1° Fifty-eight representatives of professor-researchers, teachers and researchers serving in the community of universities and institutions or in member institutions or both in the community of universities and institutions and in one of the member institutions, elected in two separate colleges as defined at theArticle D. 719-4 of the Education Codetwenty-nine representatives under College A and twenty-nine representatives under College B;
      2° Seven representatives of other staff serving in the community of universities and institutions or in member institutions, or both in the community of universities and institutions and in one of the member institutions;
      3° Twelve user representatives who attend training in the community of universities and institutions or in a member institution;
      4° It also includes representatives of member institutions:
      (a) A representative of each member university;
      (b) A representative of each member school;
      5° External personalities:
      (a) A representative of the regional centres of academic works associated with the COMUE;
      (b) Four representatives of other partners or partners;
      (c) A representative of health institutions associated with the COMUE;
      (d) Two qualified personalities.


      Article 10.2
      Designation mode


      The representatives of College No. 1 of Article 10.1 shall be elected by an indirect majority vote of two towers in the following way:
      1° Ten are elected by the academic council of each university, of which at least four are from the research commission and at least four of the formation commission of each university;
      2° Four are elected by the board of directors of the member schools.
      The representatives of College No. 2 of Article 10.1 shall be elected by indirect ballot as follows:
      1° The academic council of each university elects a representative of College No. 2. He is elected by a single-minal majority vote of two towers;
      2° The board of directors of each school elects a representative of College No. 2. He was elected by a single-minal majority vote of two towers.
      The representatives of College No. 3 of Article 10.1 shall be elected as follows:
      1° The academic council of each university elects two representatives of College No. 3. They are elected by a majority uninominal vote of two towers;
      2° The board of directors of each school elects a representative of College No. 3. He was elected by a single-minal majority vote of two towers.
      The representatives of College No. 4 of Article 10.1 shall be elected by the boards of directors of the member universities or schools, on the proposal of the presidents of the university or directors of the institution. They are elected by a single majority vote of two towers.
      For all two-round uninominal votes indicated in this article, the election shall be obtained in the first ballot if the candidate obtains the absolute majority of the votes cast and in the second ballot by a simple majority.
      The representatives of College No. 5 of Article 10.1 shall be appointed by the associated institutions and partners, with the exception of the two qualified personalities elected by the members of Colleges 1 to 4 of the Academic Council, on the proposal of the President of the COMUE.
      In all colleges, only large electors are eligible.


      Article 10.3
      Mandate of members and Chair of the Academic Council


      The president is elected by a majority of the members of the academic council present or represented, as part of a single majority vote of two towers. He is declared elected in the first round if he obtains the absolute majority and in the second round if he obtains the simple majority. Its mandate is four years, renewable once. The term of office of the members of the academic council is four years renewable, with the exception of the elect of the users whose term is two years renewable once.
      The term of office of the president of the academic council expires on the expiration of the term of office of the elected representatives of the academic council staff.


      Article 10.4
      Attributes and opinions


      In accordance withArticle L. 718-12 of the Education Code, the academic council shall, for the areas of competence assigned to the COMUE, have an advisory role. It provides its opinion on the shared project and on the multi-year contract under articles L. 718-2 and L. 718-3, respectively. He elects his president.
      The Board makes its opinion validly if half of the members in exercise are present or represented. It is possible to ensure the participation of members by videoconferencing or by means of electronic communication under conditions allowing identification and guaranteeing the collegial character of the notice rendered, under detailed conditions in the rules of procedure.
      If the quorum is not reached at the opening of the session, the board will be reconvened on the same agenda within eight days. He then validly renders his opinions, regardless of the number of members present or represented.
      Each member has a voice. The notices are rendered by a majority of the members present or represented. Those who sit in the boardroom and those sitting by videoconference are considered present. Council members may give power to another board member. No one can carry more than two proxys. In case of equality, the president's voice is preponderant. When the chair is not a member of the academic council, the number of votes of the council is increased by one vote.


      Article 10.5
      Meetings


      The academic council meets at least twice a year on the convocation of its president who sets its agenda. It may also, in accordance with the terms and conditions specified in the rules of procedure, be convened at the request of at least one third of its members on a specific agenda. It may also be consulted by the board of directors or the board of members.
      When the president cannot preside over a session of the academic council, his functions are performed by one of the members of the academic council according to the conditions defined by the rules of procedure.

    • Part IV: THE PRESIDENCE OF THE COMMITTEE


      Article 11
      The presidency


      The president is elected by a majority of the votes of the directors present or represented, as part of a two-round majority uninominal vote. He is declared elected in the first round if he obtains the absolute majority and in the second round if he obtains the simple majority. Its mandate is four years, renewable once. This mandate is incompatible with that of President of the Academic Council and that of President or Director of a public institution of higher education or research.
      Prior to the meeting of the board of directors at which the election takes place, the candidates are heard by the board of members who give notice to the board of directors before the election.
      When the President reaches the legal age limit of sixty-eight years in the current term, he or she shall serve until 31 August after the date on which he or she has reached that age. It may be terminated at any time by a decision made by a qualified majority of two-thirds of the members of the board of directors.
      The President shall be responsible for the management of the COMUE within the framework of the guidelines defined by the Board of Directors:
      1° He chairs the board of directors. As such, it prepares and ensures its implementation;
      2° It sets out the agenda of the meetings of the Council of Members; any member may request to add an item to the agenda, item submitted at the beginning of the session to the approval of the Council of Members;
      3° It prepares and implements the multi-year settlement contract mentioned in theArticle L. 711-1 of the Education Code ;
      4° It represents the COMEU in respect of third parties and in court, concludes agreements and conventions;
      5° He prepares the budget and executes it;
      6° He is the COMUE revenue and expenditure order;
      7° It reports annually to the Board of Directors of Decisions and its management;
      8° It submits the rules of procedure for approval by the Board of Directors, after prior advice from the Council of Members and ensures its implementation;
      9° It has authority over COMUE personnel and a functional authority over designated officials to carry projects within the framework of the COMEU;
      10° It may propose to the board of directors the establishment of any commission or committee that it considers necessary in accordance with the terms and conditions set out in the rules of procedure;
      11° He may exercise any mission delegated to him by deliberation of the board of directors;
      12° He proposes one or more Vice-Chairs and Directors for advice from the Council of Members and a vote in accordance with the Board of Directors, and then appoints them. The proposal and the designation of the Vice-Chairs should ensure a balanced representation of the COMUE member institutions;
      13° It may delegate a portion of its powers to the Vice-President(s), within the limits and conditions determined by the rules of procedure and by the Board of Directors. He may delegate his signature to the COMUE Heads of Establishment and to the General Delegate;
      14° It signs contracts, conventions and transactions under the conditions determined by the Board of Directors.

    • Part V: FINANCIAL RESOURCES - FINANCIAL, ADMINISTRATIVE AND COMPTABLE MANAGEMENT


      Article 12
      Provisions applicable


      The COMUE is subject to the provisions of Articles L. 719-4 and L. 719-5 and those of thearticle R. 719-51 of the Education Code as well as the provisions of Article L. 719-9 of the same Code relating to a posteriori financial control.


      Article 13
      Income


      The COMUE revenue includes:
      1° Contributions of any kind made by members, partners and partners, under the conditions set out in the Association and Partnership Conventions;
      2° State subsidies;
      3° Subsidies of local authorities;
      4° Resources obtained from funding agencies for COMUE participation in national or international programmes;
      5° Donations and bequests;
      6° Any other resources authorized by the laws and regulations in force.


      Article 14
      Expenditure


      The expenses of the COMUE include personnel costs, equipment and operating expenses and, in general, all expenses necessary for its activities.


      Article 15
      Accountant


      The accounting officer may belong to one of the COMUE member universities. He is appointed by joint order of the Minister in charge of higher education and research and the Minister in charge of the budget, on the proposal of the President of the COMEU.


      Article 16
      Revision of statutes


      In accordance withArticle L. 718-8 of the Education Code, the statutes are amended by deliberation of the Board of Directors of the COMUE taken by an absolute majority of the members in office, after favourable notice to the qualified majority of two thirds of the Council of Members.


      Article 17
      Rules of procedure


      The rules of procedure are adopted or amended by the board of directors after unanimous advice from the board of members.


      Article 18
      Entry into force


      The statutes come into force on the first day of the month following the date of publication of the decree establishing the COMUE in the Official Journal of the French Republic. The Council of Members shall be constituted within thirty days of this entry into force.
      The board of directors and the academic council shall be established within a maximum period of six months from the coming into force of the creation decree of the COMUE.


      Article 19
      Budget. - Transitional period


      By derogation from section 9-2, the initial budget for the 2015 fiscal year is decided and approved by the Council of Members. A corrigendum budget will be submitted to the Board of Directors at its first meeting.


      Rule 20
      Temporary Administrator


      Pending the election of the President of the COMUE, a provisional administrator is appointed by the Council of Members. He is responsible for the organization of elections to the board of directors and to the academic council.
