Subject: creation of the scientific, cultural and professional public institution "Sorbonne Universities" and approval of its statutes.
Entry into force: the text comes into force on July 1, 2015.
Notice: this decree creates the COMUE "Sorbonne Universities" and approves its statutes, in accordance with theArticle L. 718-8 of the Education Code. The establishment is composed of the following members:
- in the context of higher education institutions: the International Centre for Educational Studies, the European Institute for Business Administration, the National Museum of Natural History, the Pôle Supérieur d'Enseignement artistique de Paris - Boulogne-Billancourt, the University of Technology of Compiègne, the University of Paris-IV, the University of Paris-VI;
- for research organizations: the National Centre for Scientific Research, the National Institute for Computer and Automatic Research, the National Institute for Health and Medical Research, the Institute for Development Research.

    STATUS OF PUBLIC ETABLISHMENT WITH SCIENTIFIC, CULTURAL AND PROFESSIONAL SORBONNE UNIVERSITY

    • Section 1: Nature and values


      Article 1


      The community of universities and institutions Sorbonne Universities, known as Sorbonne Universities or SU, is a public institution with a scientific, cultural and professional character governed by the education code and responsible for the public service missions he mentions. Its project is to establish a world-class research university with training, research and innovation missions. His seat is in Paris; it may be moved by deliberation of the board of directors. The inter-academic territory on which Sorbonne Universities ensures territorial coordination referred to in Article 7.1 is that of the academic springs where the seats of the members are established.


      Article 2


      Sorbonne Universities is composed of universities and research or training institutions, as well as other institutions, including identity, autonomy, specificities, especially with regard to their staff and resources, are maintained and affirmed, and who decide to exercise in common competences, for the implementation of projects decided according to their statutes and those of Sorbonne Universities, or to consolidate means for them. Sorbonne Universities develops and promotes through its actions and the coordination of those of its members the initial, continuing and throughout life in all disciplines for the issuance of titles and diplomas, research and innovation, the valorization of their result and their diffusion.


      Article 3


      Guaranteed of equality, solidarity and the valorization of the skills of everyone, SU, in accordance with the values and principles governing the public service missions of which it is responsible, contributes by an adequate social policy to guarantee the right to initial training and throughout life.
      It promotes diversity, gender equality, combats discrimination through its governance and actions and aims at achieving equality in access to its services and activities of disabled users and personnel.
      It participates in the guarantee of academic freedoms, scientific integrity, the independence of research and training, as well as the respect for the ethics of the exercise.
      She promotes everyone's access to knowledge.
      It makes it easy for everyone, by the means available and the digital strategy it develops, to access the most efficient digital technologies.
      It is governed in accordance with the principles of:
      1° Participation of students and staff, in liaison with the territories in which it registers its activities and their representatives, and in connection with organizations, trade unions, groupings, companies, participating in its missions or benefiting;
      2° Transparency of its actions and free access to the documents and information it develops or holds within the limits and according to the rules laid down by law;
      3° collegiality in the development of the decision based, on the one hand, on commissions representing each of the members at the appropriate level and, on the other hand, as necessary on independent, objective and transparent expertise;
      4° Quality and efficiency in the implementation of responsible and auditable administrative processes;
      5° Sobriety in the means of operation and support;
      6° Minimalization of the ecological footprint and compensation for environmental damage resulting from its activity;
      7° International opening and participation in mutual enrichment through dialogue and exchange of cultures, as well as balanced development through the diffusion of research, innovation and training;
      8° Laity.

    • Section 2: Members and Associated Institutions


      Article 4


      The members of Sorbonne Universities are the institutions and organizations listed in the annex to these statutes.


      Article 5


      The membership of an additional member shall be effected by the approval of the statutes, and by a vote of the board of directors of Sorbonne Universities, on the proposal of the council of members adopted by a two-thirds majority, after the advice of the academic council.
      The member of Sorbonne Universities chooses the common practice skills to which he joins and informs Sorbonne Universities.
      Any establishment may withdraw from SU upon the expiration of a fiscal year, provided that it has notified its intention at least three months before the end of the current fiscal year and after an audit of the establishment's commitments and an agreement setting out the terms and conditions of any kind of withdrawal, approved by the institution concerned and the board of directors of Sorbonne Universities.
      The exclusion of a member may be pronounced by deliberation of the SU Board of Directors. The heritage and financial consequences of the exclusion are treated under the same conditions as in the event of a member's withdrawal.


      Article 6


      The association of a public or private institution involved in public service missions of higher education or research is carried out by decree, after the advice of the National Council of Higher Education and Research. A contract of association is concluded between Sorbonne Universities and the said institution. Sorbonne Universities submits this contract to the vote of its board of directors after advice from the academic council and on proposal from the board of members.
      The association contract, which can only have a fixed duration, describes the areas in which the associate member and Sorbonne Universities intend to develop joint actions and specify the modalities of any kind. It may be subject to technical agreements concluded for its implementation, signed by the associate member and the president of Sorbonne Universities, after advice from the council of members.
      The denunciation of the association contract is carried out in accordance with its stipulations, after the failure of a conciliation.
      Enhanced cooperation can also be established by Sorbonne Universities with institutions or organizations involved in the public service of higher education or research, in accordance with the first paragraph of Article L. 718-16 of the Education Code.

    • Section 3: Skills


      Article 7.1
      Clean skills


      Sorbonne Universities coordinates the development by its members of a shared project, adopts and fines, sets its objectives and means and ensures the conditions for implementation and evaluation.
      As part of this shared project:
      1° It implements the territorial coordination of the training offer and strategy for the research and transfer of its members and, within the limits of the association agreements reached, associate members; as such, it implements the IDEX;
      2° It develops and implements the project to improve the quality of student life and social promotion under the conditions provided for in theArticle L. 718-4 of the Education Code ;
      3° It concludes and implements the multi-year settlement contract provided for by theArticle L. 711-1 of the Education Code.


      Article 7.2


      Within the framework of the shared project, members can exercise in common in Sorbonne Universities and through its governing bodies the following skills:
      1° Coordinated training strategy;
      2° Coordinated research strategy;
      3° Coordinated development strategy;
      4° Coordination of means of support and dissemination;
      5° Coordinated strategy for development, innovation and technology transfer;
      6° Logistics and environmental coordination;
      7° Coordinated strategy for European and international development;
      8° Common social policy and participation of users and staff;
      9° Coordinated strategy to combat discrimination and promote diversity;
      10° Support and relations with the association of the alumni Sorbonne Universities;
      11 degrees.


      Article 8


      Each member decides to participate in the common exercise of a jurisdiction and defines the means and resources it allocates to that end.


      Article 9
      Digital strategy


      The digital strategy of the institution defines in a multi-year programming document the modalities under which members direct and coordinate their equipment policies, promote and develop the interoperability of their systems, and ensure the access of students and staff to the most efficient digital resources and technologies. The budget includes an annex to the annual implementation modalities.

    • Section 4: Governance bodies


      Article 10
      The Board of Directors


      The Board of Directors of Sorbonne Universities includes forty members:
      1° Eleven representatives of the members, appointed by each member, by a representative per member;
      2° Six qualified personalities, designated by the Council of Members on the proposal of members;
      3° Three representatives of enterprises and local authorities or their establishments, employee unions or associations, on the proposal of members;
      4° Five representatives of university professors and assimilations and five representatives of teachers, teachers and researchers other than university professors in Sorbonne Universities or its members;
      5° Five representatives of other staff in Sorbonne Universities or one of its members;
      6° Five representatives of the users following an initial or ongoing training at Sorbonne Universities or its members.
      When a member of the board ceases to exercise his or her mandate, he or she shall be replaced, for the remaining period of time, either by the following of the list on which he or she has been elected, or by the manner in which this section is designated.
      The duration of the term is four years, with the exception of that of the representatives of the users following training, whose duration is two years.
      The chair is elected for four years by the council among its members.
      The mandates begin at the first meeting convened for the President's election.


      Article 11


      Article 11.1
      Method of election of elected members of the first board of directors


      For the election of the members of the board of directors of Sorbonne Universities mentioned in the 4th to 6th of Article 10, each elected to the deliberative body of each member, with the exception of the elected members of the legislative organs of the public institutions of a scientific and technological character (EPST) whose members concerned have participated in the election of members of the legislative organs of one or more other members, is delegated for the election under the category.
      Within each member participating in this designation and for each category, these delegates designate additional delegates to ensure that each member has seven delegates for each category represented. Members with a strength of less than one percent of the total number of staff in the category have one additional delegate.
      An additional number of delegates equal to the total of the delegates referred to in the preceding paragraph is distributed among the members, prorated in each category present at the beginning of the current academic year, for the students, or in the staffing table of the current budget year, for the other categories.
      All delegates elect the members referred to in Article 10 by the highest proportional vote. The lists, composed of a number of candidates equal to the number of seats to be filled, alternate women and men.


      Article 11.2
      Modalities for subsequent elections


      Prior to December 31, 2016, Sorbonne Universities shall elect the members of the board of directors mentioned in the 4th to 6th of Article 10, by designation in each member institution in which the members of the electoral body vote to designate members representing them in the governing bodies of that institution, all the delegates mentioned in Article 11.1 above, to the proportional representation of the strongest remains; all of these delegates then proceed to the election of the members of the board of directors of the category they represent.
      The subsequent renewal of the board is in the same way.
      The conditions of eligibility and the operating conditions of the electoral commission are those fixed by the education code.


      Article 12


      The membership of a member between two renewals of the elected members of the council gives him the right to appoint a representative to the board of directors who sits there with an advisory vote, and is not counted for the quorum.


      Article 13


      The Board shall meet at least three times a year, on the convocation of its Chair, on its own initiative or on the application of the Board of Members, or on the proposal of at least forty percent of the Board of Directors. The agenda is decided by the President and includes at least the points that raised the demand.
      The convocation shall be addressed to the members of the board of directors at least eight days before the scheduled date of the meeting. It specifies the agenda and is accompanied by any useful document and a formula of power.


      Article 14


      The board shall only sit validly if half of its members plus one is present or represented or participate in the session by means of videoconferencing or electronic communication under conditions allowing the identification of these directors and the effective participation in a collegial deliberation. If this quorum is not reached, the Chair will again call the Board within eight working days, which is validly on the same agenda without a quorum.
      The quorum is found at the beginning of the session; each member may give power to another member, no one who may receive more than two powers, communicated to the Chairperson no later than the beginning of the meeting, who is made available to the board and who is informed.
      In the event of an emergency and on an exceptional basis, the members of the Board of Directors may, by decision of the President of Sorbonne Universities, be consulted in writing, under the conditions provided for in the rules of procedure.
      The president of the academic council attends with an advisory voice. Representatives of associate members may also attend the board.
      The chair may authorize the board to assist any person whose presence it considers useful.


      Article 15


      Unless otherwise provided, the proceedings shall be adopted by a majority of valid votes cast; in case of sharing, the president's voice is preponderant.


      Article 16


      The board shall adopt its rules of procedure, which may specify, inter alia, the conditions under which a member may participate in the board by electronic means, the terms and conditions for the sending of draft deliberation, the establishment of commissions and their role.


      Article 17


      In the event of the absence of the President, or if he does not participate in a deliberation, for any reason, the Council shall be chaired by a representative of the members designated by the Council of Members for that purpose.


      Article 18


      The Board of Directors administers the public institution by its deliberations. In addition to the powers mentioned in the other articles or assigned by law, the Committee shall decide on:
      1° The general directions and strategic plan of the community of universities and institutions;
      2° The initial budget and changes;
      3° The financial account and the allocation of results;
      4° The shared project;
      5° The project to improve the quality of student life and social promotion;
      6° The signing of the common component of the multi-year settlement contract;
      7° The general organization and functioning of the community of universities and institutions;
      8° The offer of training and diplomas delivered by the community of universities and institutions;
      9° Acceptance of gifts and bequests;
      10° Contracts and contracts, investments, government authorizations, transfers and acquisitions of assets in excess of a threshold that it defines, transactions in a lesser amount that may be decided by the President, the President reporting, to the next Council, transactions to which he or she has undertaken;
      11° Decisions on principles governing the common exercise of jurisdiction;
      12° Strategic partnership agreements with a foreign partner;
      13° The multi-year plan to reduce the impact of disability on Sorbonne University users and staff;
      14° The digital strategy;
      15° The environmental strategy;
      16° The real estate master plan;
      17° Participation and participation in entities with moral personality;
      18° Membership of new members of the community of universities and institutions;
      19° Applications for associations at Sorbonne Universities and association contracts;
      20° Exclusion and exclusion of a member of the community of universities and institutions;
      21° The modalities for the withdrawal of a member from the community of universities and institutions;
      22° The denunciation and termination of an association contract with the community of universities and institutions;
      23° Creation of the components of the community of universities and institutions and approval of their statutes;
      24° The rules of procedure of the community of universities and institutions;
      25° General terms and conditions of recruitment and employment of community staff from universities and institutions, including contractual agents;
      26° Acquisitions, alienations and exchanges of buildings of the community of universities and institutions;
      27° leases and rentals of buildings in the community of universities and establishments;
      28° The alienation of movable property of the community of universities and institutions;
      29° The legal actions of the community of universities and institutions, its transactions and the use of arbitration in cases of disputes arising from the execution of its contracts with foreign agencies;
      30° The annual report of the community of universities and institutions;
      31° The creation of the technical committee of the community of universities and establishments created in accordance with theArticle L. 951-1-1 of the Education Code ;
      32° Creation and organization within the community of universities and co-ordinated actions based on particular governance;
      33° The designation of a member higher education institution whose disciplinary section is competent to examine the facts leading to prosecution by teachers-researchers, teachers or users, in the premises and premises of the community of universities and institutions.
      In the subjects mentioned in 9°, 12° and 26° to 29°, the board of directors may delegate all or part of its powers to the president. The latter shall inform the board of directors of the decisions made under these delegations.


      Article 19
      The Academic Council


      The academic council represents in Sorbonne Universities the interests of users, staff and members of Sorbonne Universities.
      He exercises advisory skills governed by theArticle L. 712-6-1 of the Education Code.
      For the implementation of the shared project, and in the areas of competence of Sorbonne Universities or that its members exercise in common within it, he advises on the site contract, the questions relating to the program of formation of the components of Sorbonne Universities, the orientations of training and research policies, the dissemination of scientific, technical and industrial culture and scientific and technical documentation, applications for accreditation; he also issues an opinion on the measures relating to university freedoms and political and trade union freedoms of students.
      It may also be seized for advice of any matter or project relating to a deliberation of the board of directors or another of the organs of Sorbonne Universities.


      Rule 20


      The academic council comprises ninety-one members in six colleges:
      1° Eleven members;
      2° Twenty qualified personalities, including eight representatives of associate members and twelve representatives of the persons involved in training and patronage;
      3° Eleven representatives of university professors;
      4° Twenty-two elected representatives of teachers, teachers and researchers;
      5° Eleven elected representatives of other staff;
      6° Sixteen elected representatives of the users, including eleven student representatives and five elected representatives of the persons following training without having the status of a student.
      The elected members are elected for a four-year term, with the exception of the elected representatives of the users, whose term is two years, at the same time as the board of directors, by a list of representation proportional to the highest average, the lists to include as many women as men.
      The elected members of each college shall be elected by the delegates referred to in Article 11, 11-1 for the first constitution, 11-2 then.


      Article 21


      The academic council elects its president, who participates in the board of directors with advisory voice.
      It adopts its rules of procedure.


      Article 22
      Council of members


      The Council of Members, chaired by the President of Sorbonne Universities who has no deliberative voice, coordinates the work of Sorbonne Universities and members. It guarantees respect for the integrity of the members' skills, rights and statutes.
      Each member is represented on the board of the members by his or her executive director, or, if not, by his or her representative who designates for that purpose on a permanent or temporary basis, and that he or she then invests the broadest powers that his or her statutes allow him to delegate.
      The agendas and draft deliberation of the bodies are transmitted to the Committee for information. Any member has the ability to address at a meeting of the Council of Members one of the items on the agenda of a Sorbonne University organ and to request that the Council issue an opinion on this issue. This notice is then communicated to the body concerned.
      It meets on the convocation of the president of Sorbonne Universities on an indicative agenda, at least twelve times in the year, or at the request of a member, who indicates the reason.
      Its opinions are regularly issued only if half of the members took part, personally or by means of communication allowing identification and effective participation in the debates, at the meeting during which it was adopted. When less than half of the members are present at a meeting in which such notice is to be issued, the Chair re-volves on the board no later than eight days, and the notice may be issued without a quorum rule.
      The Council of Members is associated with the preparation of the work and the implementation of the decisions of the Board of Directors. He is associated with the preparation of the work of the academic council. He may propose topics on the agenda of these proceedings.
      It is consulted by the Board of Directors prior to the definition and implementation of the shared project, at the signing of the multi-year contract, on the common part of the multi-year contract, the adoption of the budget of the community of universities and institutions and any changes to these statutes including, inter alia, the accession of new higher education institutions or research organizations, the withdrawal or exclusion of a member.
      It is also consulted by the Board of Directors prior to:
      1° Creation of the components of the community of universities and institutions and approval of their statutes;
      2° Participation in entities with corporate personality as well as participation and the creation of subsidiaries entering the fields of business of its members under the conditions established by the articles R. 711-10 to R. 711-16 of the Education Code ;
      3° The definition of general guidelines and the strategic plan for the actions, means and structures of the community of universities and institutions;
      4° The modification affecting the scientific perimeter of a member or associate in his involvement in the community of universities and institutions;
      5° Any application for association, within the meaning of theArticle L. 718-16 of the Education Code, its principle and its terms; in the case of higher education institutions established in the territory and under the sole ministry responsible for higher education, the deliberation concerns the content of the association agreement, in accordance with theArticle L. 718-16 of the Education Code ;
      6° The denunciation of an association agreement with the community of universities and institutions, its principle and its terms;
      7° The adoption and amendment of the rules of procedure of the community of universities and institutions;
      8° The designation of Vice-Presidents nominated by the Chair or Chair of the University and Institution Community.
      It may also be consulted in terms defined by the rules of procedure by the board of directors, as well as by the academic council, on any matter within their respective competences.
      A notice in accordance with the qualified two-thirds majority of Council members is required to:
      1° Approval of the common part of the multi-year contract with the State;
      2° Approval of any statutory amendment:
      (a) Including new higher education institutions or research organizations; withdrawal or exclusion of a member and their consequences; or
      (b) As a result of the creation of a component by the Board of Directors, where applicable.


      Article 23
      Strategic Directions Board (COS)


      The COS is composed of international personalities, mainly from the world of research, innovation and training, or whose experience in the fields of competence of Sorbonne Universities can benefit it, and ensuring a varied representation of cultures and currents of thought. They are designated by the president of Sorbonne Universities for a period of four years after consultation with the governing bodies of the community of universities and institutions to collect proposals. At least 10 members are appointed on the proposal of the academic council. The president of the academic council is a member of law.
      The COS informs by its reports and recommendations the strategy of Sorbonne Universities, in particular by helping it to locate and evaluate its international action. He informs Sorbonne Universities of the major developments that are discerned and the strategic priorities that arise from it; it may be seized by the President of Sorbonne Universities of any forward-looking matter to report to the governing bodies.


      Article 24


      The functions of a member of a governance body described above do not give rise to any remuneration.
      Travel expenses incurred are reimbursed in accordance with the provisions applicable to State officials.


      Rule 25
      President of Sorbonne Universities


      The president of Sorbonne Universities is responsible for the community of universities and institutions.
      As such:
      1° It prepares and executes the deliberations of the board of directors that it chairs;
      2° He appoints jobs and exercises hierarchical authority;
      3° He executes the budget;
      4° He organizes the services;
      5° It prepares and executes the deliberations of the Board, and other administrative and management bodies;
      6° He signs contracts and markets;
      7° It represents the institution in court. He engages the shares and reports them to the board of directors.
      He or she may delegate his or her credentials to the Director General of Services, as appropriate, and to any other person designated to serve as responsibilities at Sorbonne Universities. He reports to the board of directors of the delegations he consents.


      Rule 26


      The president is the principal agent for the budget of Sorbonne Universities. As such, he may request the accounting officer from Sorbonne Universities. By decision taken after notice of departments in charge of higher education and budget, it designates one or more secondary ordinators.


      Rule 27


      Under the authority of the President, the Director General of Services directs and directs the services of Sorbonne Universities. He may be assisted by Deputy Executive Directors appointed by the Chair on his proposal. The Chair, the Executive Director and Deputy Executive Directors may have access to meetings of governance bodies.

    • Section 5: Financial arrangements


      Rule 28
      Budgetary and accounting management


      The community of universities and institutions Sorbonne Universities is subject to provisions of Article L. 719-5 of the Education Code and to those of its implementing texts, as well as the provisions of Article L. 719-9 of the same Code relating to a posteriori financial control.


      Rule 29
      Budget


      The Board of Directors shall determine the appropriate modalities for the establishment's own budget development; the institution's budget includes:
      1° Revenue:
      (a) Budgetary allocations;
      (b) Grants;
      (c) Grants and bequests accepted by the Board of Directors or in accordance with its deliberations;
      (d) Payments by users;
      (e) Investment products;
      (f) Revenue from the property available to it;
      (g) Product of sales, royalties, rents and any other remuneration of its activity;
      (h) Borrowing;
      2° Expenditures:
      (a) Operating;
      (b) Personnel;
      (c) Investment.
      The budget is enforceable after approval by the board of directors, and subject to the conditions of entry into force of the budgets of the public institutions of the State applicable to it.
      The budget includes the distribution of fractions of endowments received by Sorbonne Universities for its members, in accordance with the principles established by the Council of Members.


      Rule 30


      An accounting officer, head of the institution's accounting service, shall be appointed by joint order of the Minister for Higher Education and the Minister responsible for the budget on the proposal of the President and in accordance with the regulations in force. The accounting officer participates, with an advisory voice, in the board of directors and in the academic board; the Chief Financial Officer may, upon a decision of the President, perform the functions of Chief Financial Officer of the establishment.


      Rule 31


      The accounts of Sorbonne Universities are certified annually by an External Auditor.


      Rule 32
      Accounting regulations


      Advantages of advances and recipes may be created with the community of universities and institutions under the conditions provided by the Decree No. 92-681 of 20 July 1992 modified for revenue-based authorities and governed by advances from public bodies.

      Rule 33


      The statutes are revised in accordance with the provisions of education codeafter deliberation of the competent organ of each member.

    • Section 7: Transitional provisions


      Rule 34


      The Council of Members shall be constituted within eight days of the entry into force of these Regulations.
      Within the same period, a provisional board of directors shall be established and shall be convened, as follows:
      1° Directors representing the members serving on the Board of Directors of the Scientific Cooperation Foundation Sorbonne Universities, supplemented by three representatives of the higher education and research institutions designated by the Council of Members;
      2° Directors serving as a qualified personality on the board of directors of the aforementioned foundation;
      3° Two representatives of the local authorities.
      The members of the Provisional Board of Directors elect a provisional president of Sorbonne Universities who takes all the necessary steps in the running of Sorbonne Universities until the final constitution of the board of directors to which he shall proceed as soon as possible, as provided for in Article 10 of these statutes.
      The members of the provisional board of directors shall remain in office until the designation of their successors made in accordance with these statutes.
      The term of office of the President of the Provisional Board of Directors is terminated on the date of the first meeting of the Board of Directors that he convenes for the election of the President of Sorbonne Universities.
      By derogation from section 18 of these statutes, a transitional budget to ensure the first necessities of the current operation of Sorbonne Universities is decided by the Provisional Board of Directors, after advice from the Council of Members.
      The Provisional Board of Directors shall, within a maximum period of one month from the publication of these Regulations, adopt a transitional rules of procedure to ensure the sole establishment of the Board of Directors and the Academic Council.
      Upon the adoption of the provisional rules of procedure and pursuant to the provisional rules of procedure, the Chairman of the Provisional Board of Directors shall organize:
      1° The elections of the directors mentioned in the 4th, 5th and 6th of Article 8 of these statutes, within a maximum period of three months; and
      2° The elections of the academic council within a maximum of three months.
      The terms of reference of the administrators shall run from the first meeting convened for the election of the president of Sorbonne Universities.
