Notice: this decree creates the COMUE "Université Paris-Saclay" and approves its statutes, in accordance with theArticle L. 718-8 of the Education Code. The establishment is composed of the following members:
- under higher education institutions: the Central School of Arts and Manufactures, the Ecole des hautes Études Commerciales, the Ecole Normale Supérieure de Cachan, the Ecole Nationale Supérieure de Techniques Advanced, the Ecole Polytechnique, the Ecole Supérieure d'Ecole de Electricité, the Groupe des École nationales d'économie et statistique, the Institut Mines-Télécom, the Institut d'opières Living
- for research organizations: the National Centre for Scientific Research, the Office of the Commissioner for Atomic Energy and Alternative Energy, the Institute of High Scientific Studies, the National Institute for Agricultural Research, the National Institute for Health and Medical Research, the National Institute for Computer and Automatic Research, the National Office for Aerospace Studies and Research.
The decree also dissolves the public institution of a scientific, cultural and professional nature "UniverSud Paris".

Property, rights and obligations, including staff contracts, as well as the activities of the scientific, cultural and professional public institution "UniverSud Paris" are transferred to the "Paris-Saclay University".
The financial account for the 2014 fiscal year of the scientific, cultural and professional public institution "UniverSud Paris" is established by the accounting officer in office when the establishment is abolished. It is approved by the board of directors of the "Paris-Saclay University".

    Preamble


    In a rapidly changing international context, universities, major schools and research organizations present on the south-west sector of the Ile-de-France region decide to collectively create the Paris-Saclay University, a world-class research and innovation university carried by the community of universities and institutions subject to these statutes.
    The decision to create the Université Paris-Saclay is the culmination of a process of cooperation between its members, initiated on the occasion of their project of installation on the site of the plateau of Saclay and which benefited from a new dynamic in 2007 on the occasion of the creation of thematic networks of advanced research (RTRA) "Triangle de la physique" and "Digitéo". This dynamic was reinforced in 2011 by the creation of the Jacques Hadamard Mathematical Foundation and the establishment of the scientific cooperation foundation Campus Paris-Saclay. The latter institution brings together most of the members of the Université Paris-Saclay and carries out the contracts of the collective projects carried out in the framework of the future investment programme (PIA), in particular that of the initiative of excellence (Idex) Paris-Saclay notified in April 2012.
    Cooperation between members, initially primarily focused on research, has gradually spread to all fields of action of a university through Idex: training, transfer, international, interactions with society. Idex Paris-Saclay's institutions now want to go further in cooperation and mutualization as part of a shared project; they are convinced that it is necessary to bring this project shared by a new institution, that of a community of universities and institutions, as defined at theArticle L. 711-2 of the Education Code.
    The Paris-Saclay University brings together in an original model a set of autonomous institutions of higher education and research and research organizations that retain their identity as well as their means and agree to coordinate their actions and to pool certain means within the framework of a shared project defined and implemented jointly.
    On the south - south-west area of the Ile-de-France region, the Université Paris-Saclay organizes the territorial coordination of higher education and research institutions and research organizations that request it, in terms of the provision of training and research and transfer strategy as provided for in the case of research and transfer strategyArticle L. 718-2 of the Education Code, in the form of the territorial group Paris-Saclay comprising the member institutions of the Université Paris-Saclay and the associated institutions.
    The creation of the Université Paris-Saclay also benefits from a financial endowment for the development of the campus located on the territory of the community of agglomeration of the plateau of Saclay (CAPS) and the realization of a real estate project allowing the arrival of new member institutions, the relocation of many research teams, the accommodation and restoration of students and staff.

    • Part I: GENERAL PROVISIONS Article 1


      It is established, under the name "Université Paris-Saclay", a community of universities and institutions established in the legal form of a public institution of a scientific, cultural and professional character in application of the 4° of Article L. 711-2 of the Education Code.
      The Paris-Saclay University guarantees its users and its staff strict respect for their rights and freedoms as they result, in particular, of theArticle L. 811-1 of the Education Code and, with regard to the military students of the Polytechnic School, articles L. 4121-1 of the Defence and Defence Code Act No. 83-634 of 13 July 1983 amended to include the rights and obligations of public servants and, with respect to HEC staff in the Paris-Ile-de-France region Chamber of Commerce and Industry, the Order of July 25, 1997 relating to the Staff of Chambers of Commerce and Industry.


      Article 2
      Composition and principles of accession and withdrawal from the Paris-Saclay University or the « Paris-Saclay » grouping
      Article 2.1
      Composition of the Université Paris-Saclay


      The Paris-Saclay University, in two colleges, consists of the following institutions, as follows:
      Research organizations:
      1° National Centre for Scientific Research (CNRS);
      2° Office of the Commissioner for Atomic Energy and Alternative Energy (CEA);
      3° Institute of High Scientific Studies (IHES);
      4° National Institute of Agricultural Research (INRA);
      5° Institut national de recherche en informatique et automatique (INRIA);
      6° National Aerospace Research and Research Office (ONERA);
      7° National Institute of Health and Medical Research (INSERM).
      Higher education and research institutions:
      8° Institut des sciences et industries du vivre et de l'environnement Agro Paris Tech (APT) ;
      9° Central School of Arts and Manufactures (ECAM);
      10° School of High Commercial Studies (HEC);
      11° Polytechnic School (X) ;
      12° Cachan College (ENS Cachan);
      13° École nationale supérieure de techniques avancée (ENSTA ParisTech);
      14° Graduate School of Electricity (Supélec);
      15° Group of National Schools of Economics and Statistics (GENES);
      16° Institut Mines-Télécom (IMT) ;
      17° Graduate School Optical Institute (IOGS);
      18° Université Paris Sud (UP Sud) ;
      19° Université de Versailles - Saint-Quentin-en-Yvelines (UVSQ).
      The annex to these statutes specifies, for each research agency and higher education and research institution, the entities under which it is a member of the Paris-Saclay University. The list of research and training structures for entities engaged by members at the Université Paris-Saclay is given in the rules of procedure referred to in Article 22.

      • Article 2.2 Composition of the group « Paris-Saclay »


        As part of the article L. 718-2, the Université Paris-Saclay organizes a territorial coordination in the form of a group "Paris-Saclay", consisting of members of the Université Paris-Saclay, as well as public or private institutions and bodies involved in the missions of the public service of higher education and research that have concluded with the Université Paris-Saclay an association approved by decree, in accordance with theArticle L. 718-16 of the Education Code (hereinafter referred to as "Associés").


        Article 2.3
        Principles of Membership of the Group: Members and Associates of the Université Paris-Saclay


        Other public or private higher education or research institutions can join the grouping organized by the Université Paris-Saclay:
        1° be as members, subject to approval by the board of directors under the conditions set out in articles 9.4 and 9.5 of these statutes;
        2° Be associated with the signature of an association agreement with the Université Paris-Saclay under the conditions of acceptance defined in articles 9.4 and 9.5 of the present statutes as well as in accordance with theArticle L. 718-16 of the Education Code.


        Article 2.4
        Principles for withdrawal of grouping: members and associates of Université Paris-Saclay


        Any request for withdrawal of a member or denunciation of an association agreement shall be communicated to the President of the Paris-Saclay University no later than one (1) year before the intended withdrawal date. The President, after deliberation of the Board of Directors, shall, within six (6) months after receipt of the application, determine the conditions for acceptance of the application for withdrawal or denunciation of the agreement.
        Any higher education or research institution that no longer wishes to be a member may apply to be Associated at the Paris-Saclay University under the conditions set out in theArticle L. 718-16 of the Education Code or join another group.


        Article 3
        Headquarters


        The seat of the Paris-Saclay University is fixed on the proposal of the president, by deliberation of the board of directors.

    • Part II: MISSIONS, COMPÉTENCES AND MOYENS DE L'UNIVERSITÉ PARIS-SACLAY Article 4 Missions


      The Université Paris-Saclay carries the shared project defined in the articles L. 718-2, L. 718-5 and L. 718-16 the code of education in research, training, valorization, including transfer of technologies, professional integration of users, international action, communication, dissemination of scientific, technical and industrial culture and campus life.
      In this context, the Université Paris-Saclay has the following tasks:
      1° The collective development, reviewed annually, of a shared vision and strategy as well as the decline of the latter in actions and programs to be carried out from a multi-year perspective;
      2° Implementation of actions and programmes that may be entrusted to one or more members engaging in their means; these are then called "operators members".


      Article 5
      Jurisdiction


      On the basis of the shared project, for the realization of its missions, and in accordance with the principle of subsidiarity, the Université Paris-Saclay exercises the following skills.


      Article 5.1
      Clean skills


      Université Paris-Saclay :
      1° Implements the common part of the multi-year contract of the Université Paris-Saclay, which is published annually by the strategic plan for the actions, means and structures of the Université Paris-Saclay;
      2° Ensures communication relating to the Université Paris-Saclay within the scope of the shared project;
      3° Research:
      (a) Launch and support new research programmes or projects within the framework of the shared strategy;
      (b) Defines a common policy for the signing of scientific publications that reveals the Université Paris-Saclay while ensuring the visibility of its contributions to each member;
      4° In the field of training: carries the accreditation of a training offer that carries the degree of doctorate and diplomas of degree and master's degree, on the understanding that each college of higher education Member enrolls the students for diplomas issued by the Université Paris-Saclay and for the diplomas it delivers itself.


      Article 5.2
      Coordination skills


      Université Paris-Saclay :
      1° Ensure coordination of the implementation of the research component of the shared strategy;
      2° Put in place a high quality and attractive international training offer ensuring a strong professional integration, notably through:
      (a) Agreed definition of common training arrangements;
      (b) The display of the training offer through a common website;
      3° Implement a policy and project to improve the quality of student life and social promotion to provide students with effective services in social policy, student housing, in particular in connection with CROUS, transport, health, cultural, sports, social and associative activities;
      4° Assure the promotion of international development of the Université Paris-Saclay;
      5° May ensure the promotion and enhancement of joint research activities or, at their request, by each member or associate, including the implementation of technology transfer systems in the territory and the definition of a common intellectual property policy;
      6° Promotes the development of relations with French and international companies;
      7° Proposes the arrangements for the provision of facilities and equipment for the benefit of its members and third parties;
      8° Promotes the consultation to identify relevant job profiles for the implementation of the shared project and facilitates the support of the recruitment of researchers and researchers who can contribute to the implementation of the shared project;
      9° Ensures the control of the coordination components as defined in Article 15 of these statutes;
      10° Proposes any other joint action that aims to consolidate the strategy of the Université Paris-Saclay in its areas of action.


      Article 6
      Means of action


      For the purpose of exercising his skills, the Université Paris-Saclay carries out the following actions:
      1° It puts in place and ensures the management of the Paris-Saclay University, allocates funding to services or equipment that may or may not be common to members, such as technology platforms, hospitality and accommodation, support services and logistics facilities;
      2° It negotiates, concludes and manages any legal act with public or private, French or foreign partners; in particular, it may purchase service benefits for its members and associates;
      3° It acquires, cedes, manages buildings;
      4° It funds or contributes to the financing of research programmes or projects carried out by members;
      5° It recruits its staff and manages them within the framework defined by the board of directors in the manner specified in the rules of procedure;
      6° It provides financial assistance to students;
      7° It produces the publishing and marketing of scientific or technical books and periodicals;
      8° It creates and operates data banks;
      9° It takes participations or creates subsidiaries entering its area of activity;
      10° It implements any other operation that contributes to the exercise of its missions.

    • Title III : INSTANCES DE GUVERNANCE DE L'UNIVERSITÉ PARIS-SACLAY Article 7 General Organization


      Paris-Saclay University is administered by a board of directors. The board of directors is assisted by a board of members and an academic council.
      It is headed by the chair assisted by a Vice-President on Digital Issues and Resources and, possibly, other Vice-Presidents.


      Article 8
      Common provisions for elections to the board of directors and the academic council of the Université Paris-Saclay


      The elected members of the board of directors and academic council of the Université Paris-Saclay, apart from the external personalities and the president, are elected by direct suffrage and in accordance with the provisions of the articles L. 719-1 and L. 719-2 the Code of Education, subject to the special provisions provided for in these Statutes, by an electronic vote by secret ballot of the list at a tower by college, with proportional representation to the strongest remaining, possibility of incomplete lists and without panaching.
      The President of the Université Paris-Saclay is responsible for organizing electoral operations. It is assisted by an electoral commission whose composition and competence are defined in the rules of procedure. Any judicial appeal against the elections must be preceded by an appeal filed with the President within five days of posting the results. The President shall rule on this appeal within eight days of its filing. If not, the appeal is deemed to be rejected.
      In order for the President of the Université Paris-Saclay to stop the list of electors for the elections to the board of directors as well as the list of electors for the elections to the academic council, members designate those of their staff who, as part of their involvement in the Université Paris-Saclay, are electors and eligible. This designation is made in particular in relation to the list of their relevant research and training structures, as referred to in the last paragraph of Article 2.1 of these statutes. Research organizations other than scientific and technological public institutions specify the distribution of their staff among the various colleges concerned. For staff of public institutions with a scientific and technological character, this distribution is based on the basis used in theArticle D. 719-4 of the Education Code.


      Article 9
      Board of Directors
      Article 9.1
      Composition


      The Board of Directors consists of twenty-six (26) directors divided according to the following categories:
      1° 6 representatives of higher education and member research institutions and 4 representatives of member research organizations, designated by members, to ensure an alternate representation of members, under conditions established by the rules of procedure, being specified that some institutions may have, by exception, permanent representation;
      2° 2 qualified personalities designated jointly by the directors mentioned in 1;
      3° 2 representatives of the socio-economic world appointed by the directors mentioned in 1°; 2 representatives of the local authorities, including 1 representative from the Ile-de-France region and 1 representative appointed by the college constituted by the local authorities in which the Paris-Saclay University is established;
      4° 5 representatives of professor-researchers, teachers and researchers in the Paris-Saclay University, or in a member, or both, elected in two separate colleges as defined at theArticle D. 719-4 of the Education Code : 2 representatives under College A and 3 representatives under College B if the latter represents more than 50% of the electoral body of Class 4 and, if not, 3 representatives of College A and 2 representatives of College B, on the understanding that the change in the number of representatives of each college can only intervene after the duration of their term, every four years;
      5° 3 representatives of the other staff serving at the Paris-Saclay University or in a member or both, elected in a single college;
      6° 2 elected representatives of the users who attend a course at the Paris-Saclay University or a member, one of the representatives being elected in the college of universities and the other being elected in the college of schools.
      For each representative of categories 1 and 4 to 6, an alternate shall be designated under the same conditions as the holders. In the case of categories 4 to 6, the substitute is necessarily the same sex as the holder.


      Article 9.2
      Duration of mandates


      The term of office of representatives of category 1 shall be one (1) year renewable, in accordance with the terms and conditions specified in the rules of procedure, with the exception of representatives of establishments with permanent representation whose term is four (4) years renewable.
      The term of office of directors of the board of directors of categories 2, 4 and 5 shall be four (4) years renewable once.
      The duration of the term of office of category 3 administrators shall be four (4) years renewable.
      The term of office of Class 6 administrators shall be two (2) years, renewable once.
      The duration of the term of office of directors shall be from the first meeting convened for the election of the president.
      For all representatives of categories 4, 5 and 6, any vacancy by death, resignation or loss of quality for which the persons concerned have been appointed as a member of the board of directors shall be replaced for the remainder of the term to be carried out under the conditions set out in theArticle D. 719-21 of the Education Code. However, a partial renewal shall not be effected if the vacancy occurs less than four (4) months before the expiry of the term. This partial mandate may be followed by a new renewable mandate under the conditions set out in the above paragraphs.
      With respect to the representatives of categories 1 to 3, the new directors will be designated in accordance with Article 9.1 of these Regulations.


      Article 9.3
      Attributions


      The board of directors defines the policy of the Université Paris-Saclay. In accordance with the powers of the Council of Members and the Academic Council, the Board of Directors shall:
      1° Vote the general orientations and strategic plan of the Paris-Saclay University's actions, means and structures;
      2° Approves the shared project and the common part of the multi-year settlement contract with the State;
      3° Approves the general organization and operation of the Paris-Saclay University, including the creation and suppression of its coordination components;
      4° Approves the offer of training and diplomas;
      5° Approves the strategy proposed by the coordination components defined in Article 15 of these statutes;
      6° Decides on the membership of a new member, its principle and its terms;
      7° Says on any application for association, in the sense of theArticle L. 718-16 of the Education Code, its principle and its terms; in the case of higher education institutions established in the territory and under the sole Ministry of Higher Education, the deliberation concerns the content of the association agreement, in accordance with article L. 718-16 referred to above;
      8° Decides on the withdrawal and exclusion of a member, its principle and its terms;
      9° Denounces a convention of association, its principle and its terms;
      10° Deliberates on the consequences of a change in the legal status of a member or associate, or its scientific scope on the Université Paris-Saclay;
      11° Approves the budget and its amendments, the financial account and the allocation of results;
      12° Voting the rules of procedure and its amendments;
      13° Vote the rules relating to the doctorate and other courses for which the Université Paris-Saclay is accredited;
      14° Establishes the general conditions of recruitment and employment of staff at the Paris-Saclay University, including contractual agents;
      15° Déliberère sur les questions et ressources numériques ;
      16° Approves acquisitions, alienations and exchanges of buildings;
      17° Approves leases and leases of buildings;
      18° Accepts the alienation of household goods;
      19° Accept gifts and bequests;
      20° Approves contracts and conventions;
      21° Authorizes legal actions, transactions and recourse to arbitration in cases of disputes arising from the execution of contracts with European or foreign organizations of any kind;
      22° Authorizes participation in legal entities, including by taking part and creating subsidiaries;
      23° Approves the annual activity report, the social balance sheet and the disability master plan;
      24° Elit the President of the Paris-Saclay University;
      25° Eliminates the Vice President of Digital Resources on the proposal of the President;
      26° Gives an opinion on the proposals for the appointment of Vice-Presidents and Directors of the Université Paris-Saclay;
      27° Creates any commission or committee that it considers useful or proposed to it by the Chair, as these committees or committees are placed directly under the authority of the Chair in accordance with the terms and conditions set out in the rules of procedure;
      28° Takes note of the recommendations of the academic council and deliberates on the follow-up to be given;
      29° Approves the amendments to these statutes;
      30° Vote the creation of the technical committee of the Université Paris-Saclay created in accordance with theArticle L. 951-1-1 of the Education Code ;
      31° Describes the public institution of higher education member whose disciplinary section is competent to examine the facts leading to prosecution, committed by teachers-researchers or teachers from a higher education institution or users, at the premises and premises of the Université Paris-Saclay.
      The Board of Directors may delegate to the President all or part of its powers, in the matters referred to in items 19 to 22 and the amendment of the budget referred to in item 11. He was informed at the next meeting of the Board of Directors of the decisions made under that delegation.


      Article 9.4
      Meetings


      The Board of Directors shall meet at least two (2) times a year on the convocation of its President or at the request of at least half of the directors, under the conditions set out in the rules of procedure.
      The procedure for convening and holding meetings of the board of directors is specified in the rules of procedure.
      The academy rector, chancellor of universities, attends or is represented at the meetings of the board of directors.
      The Accountant Officer, the Executive Committee members, the Chair of the Academic Council and, in general, any person whose Chair wishes to collect the notice may attend the sessions of the Board of Directors with an advisory vote.
      The Chair may invite the board to attend the board's meetings or make the board hear any person he or she considers likely to enlighten him or her on any of the issues on the agenda or to contribute to the work of the board.
      A representative designated by the regional research and technology delegate from the Ile-de-France region is invited to the sessions of the Board of Directors.
      When the chair cannot preside over a session of the board of directors, his or her functions shall be performed by one of the directors of the board of directors under the conditions set out in the rules of procedure.
      An administrator who is prevented from attending a session may give power to another administrator. No administrator may be carrying more than one (1) power.
      The Board of Directors shall meet validly if the majority of the directors in office is present or represented or participate in the session by means of videoconferencing or electronic communication under conditions allowing the identification of these directors and ensuring the collegial nature of the deliberation. If the quorum is not reached, the board of directors shall be reconvened on the same agenda within eight (8) days. It then meets validly, regardless of the number of directors present or represented.


      Article 9.5
      Deliberations


      Each director has one (1) vote. The deliberations are taken by a simple majority of directors present or represented. In the event of a vote-sharing, the president's vote is preponderant.
      The absolute majority of current Professional staff is required to deliberate on:
      1° The modification of these statutes including the accession of new higher education and research institutions or research organizations, the exclusion or withdrawal of a member;
      2° By extension, the adoption and amendment of the rules of procedure of the Université Paris-Saclay;
      3° Association or denunciation of an association agreement with higher education and research institutions or research organizations. In the case of higher education and research institutions under the sole department in charge of higher education, deliberation concerns the choice between membership and association, and the content of the association agreement if the status of Associate is adopted.


      Article 10
      Council of members
      Article 10.1
      Composition


      The Council of Members shall bring together a representative of each member of the Paris-Saclay University, designated in accordance with the rules in force within each member.
      Each member's representative has one (1) deliberative vote.
      The Council of Members is chaired by the President of the Paris-Saclay University who has no deliberative voice.
      Institutions that have entered into an association agreement with the Université Paris-Saclay participate in the council of members without a deliberate vote.


      Article 10.2
      Attributions


      The Council of Members is associated with the preparation of the work and the implementation of the decisions of the Board of Directors.
      The Council of Members shall have a principal advisory role.
      It is consulted in particular on the following topics:
      1° The general directions and strategic plan for the actions, means and structures of the Université Paris-Saclay;
      2° The adoption or modification of the budget;
      3° The strategy established by the coordination components, in accordance with Article 15 of these Regulations, before submission to the board of directors;
      4° The amendment affecting the scientific perimeter of a member or Associate in his involvement in the Paris-Saclay University;
      5° Any application for association, within the meaning of theArticle L. 718-16 of the Education Code, its principle and its terms; in the case of higher education and research institutions established in the territory and under the sole department responsible for higher education, deliberation refers to the content of the association agreement, in accordance with theArticle L. 718-16 of the Education Code ;
      6° The denunciation of an association convention, its principle and its terms;
      7° The adoption and amendment of the rules of procedure of the Université Paris-Saclay;
      8° The definition of shared project;
      9° The signing of the multi-year contract;
      10° The common part of the multi-year contract;
      11° Any changes to these statutes including the accession of new higher education and research institutions or research organizations, the withdrawal or exclusion of a member and their consequences.
      It may also be consulted in terms defined by the rules of procedure by the board of directors, as well as by the academic council, on any matter within their respective competences.


      Article 10.3
      Meetings. - Notice and vote


      The Council of Members shall meet at least two (2) times a year on the convocation of its President who sets the agenda. It may also, in accordance with the terms and conditions specified in the rules of procedure, be convened at the request of a third party (1/3) at least of its members on a specific agenda.
      The Accountant Officer, the members of the Executive Committee of the Université Paris-Saclay and the Chair of the Academic Council may attend the meetings of the Council of Members without a deliberate vote.
      When the chair cannot preside over a meeting of the members' council, his or her functions shall be performed by one of the members' council members according to the conditions set out in the rules of procedure.
      A member of the board of members who are unable to attend a session may give power to another member of the board of members. No member of the council may be in possession of more than one power.
      For decisions, referred to in items 1 and 2 below, requiring a vote, the Council of Members shall meet validly if the majority of members are present or represented or participate in the session by means of videoconferencing or electronic communication under conditions allowing the identification of such representatives. If the quorum is not reached at the opening of the session, the Council of Members shall again be convened on the same agenda within eight (8) days. It then meets validly, regardless of the number of members present or represented.
      Each member serving on the board of members has one (1) vote.
      Members' advice is acquired:
      1° A simple majority of members present or represented on the subjects mentioned in paragraphs 1 to 4 of Article 10.2.2 above;
      2° A qualified two-thirds majority (2/3) of the members present or represented on the subjects mentioned in paragraphs 5 to 9 of Article 10.2.2 above.
      In addition, a favourable opinion taken by a qualified two-thirds majority (2/3) of the members in exercise is required with respect to the subjects mentioned in paragraphs 10 and 11 of Article 10.2.2 above.
      For the two points mentioned in the previous paragraph, the documents on which the Council of Members is called to make a decision should be sent to members no later than six (6) weeks before the Council of Members is to be held. For the same two points, a member who has expressed an unfavourable opinion may request that his withdrawal from Paris-Saclay University be effective on the date of entry into force of the provisions that do not collect his agreement, notwithstanding the provisions of Article 2.4 of these statutes. In the event that the member exercise his or her right of withdrawal, the chair, after deliberation of the board of directors, would set the withdrawal conditions within three (3) months from the date of notification of the withdrawal decision.


      Article 11
      Academic Council
      Article 11.1
      Composition


      The academic council consists of two-hundred-and-twenty (220) members distributed as follows:
      1° 40 representatives of higher education and research institutions and research organizations members of the Paris-Saclay University and their possible coordination components. They are elected in two colleges from a list of directors and deputy directors of research units for the first college of 20 representatives and a list of assistant directors and directors of training entities for the second college. These lists are prepared by the Council of Members;
      2° 24 representatives of external personalities within the meaning ofArticle L. 719-3 of the Education Code, appointed jointly by the members of the academic council at the first meeting of all other members of the academic council;
      3° 94 elected representatives of professor-researchers, teachers and researchers serving in the Paris-Saclay University, or in members, or both within the university and one of the members divided into separate colleges according to the terms defined in the rules of procedure;
      4° 32 elected representatives of other staff serving at the Paris-Saclay University, or within members, or both within the University and one of the members;
      5° 30 elected representatives of the users who attend a course at the Paris-Saclay University or a member.
      In order to carry out its tasks relating to research, innovation, training and the life of the campus, the academic council is organized into commissions responsible for preparing its opinions in accordance with the terms specified in its operating rules.


      Article 11.2
      Mandate of members and Chair of the Academic Council


      The term of office of the members of the academic council shall be four (4) years renewable once, with the exception of the elect of the persons whose term is two (2) years renewable once.
      The academic council elects among its members its president during a single majority vote of two (2) towers.
      The term of office of the president of the academic council expires on the expiry of the term of office of the elected representatives of the academic council staff, excluding the terms of office of the members elected by the users.


      Article 11.3
      Attributes and opinions


      In accordance withArticle L. 718-12 of the Education Code, the academic council exercises, for the skills transferred to the Université Paris-Saclay, an advisory role. As such, it is obligatoryly consulted on the competences of the Paris-Saclay University in the field of training. It provides its opinion on the proposed shared project and the multi-year contract, respectively, under articles L. 718-2 and L. 718-3.


      Article 11.4
      Meetings


      The academic council shall meet at least two (2) times a year on the convocation of its president who shall determine its agenda. It may also, in accordance with the terms and conditions specified in the rules of procedure, be convened at the request of a third party (1/3) at least of its members on a specific agenda. It may also be consulted by the board of directors or the board of members.
      When the president cannot preside over a session of the academic council, his functions are performed by one of the members of the academic council according to the conditions defined by the rules of procedure.
      A member of the academic council prevented from attending a session may give power to another member of the academic council. No one can carry more than one (1) power.


      Article 12
      Other councils or committees


      The board of directors shall establish in accordance with terms and with competences defined in the rules of procedure:
      1° A scientific strategy and innovation council composed exclusively of external personalities;
      2° An audit committee.

    • Title IV: THE PRESIDENCE OF UNIVERSITY PARIS-SACLAY Article 13 Election and powers of the President of the University Paris-Saclay


      The President of the Université Paris-Saclay is elected to the Board of Directors by the directors present or represented in a single-member majority vote of two (2) rounds.
      Its mandate is four (4) years renewable once.
      When the President reaches the age limit of sixty-eight years, he or she may continue to perform his or her duties until 31 August of the date on which he or she reaches that age.
      The President manages the Paris-Saclay University as part of the direction defined by the Board of Directors.
      As such:
      1° He chairs the board of directors, sets the agenda for its sessions, prepares its deliberations and ensures its implementation;
      2° It sets out the agenda of the meetings of the Council of Members;
      3° He represents the Université Paris-Saclay in justice and in all acts of civil life;
      4° It prepares the budget and ensures its execution under the conditions provided for in the rules of procedure and in the respect of the budgetary balance;
      5° He is the order of expenditure and revenue;
      6° It reports annually to the Board of Directors on the execution of its actions and its management;
      7° It submits the rules of procedure for approval by the board of directors after prior notice of the board of members and ensures its implementation;
      8° He has hierarchical authority over the staff of the Université Paris-Saclay and functional authority over the officers designated by the members who perform all or part of their duties;
      9° He is responsible for the proper functioning, respect for the order and security of the Université Paris-Saclay;
      10° It may propose to the board of directors the establishment of any commission or committee that it considers useful in accordance with the terms and conditions set out in the rules of procedure;
      11° He may exercise any mission delegated to him by deliberation of the board of directors;
      12° He proposed to the Board of Directors the appointment of a Vice-President responsible for digital resources to be elected in accordance with the provisions of Article 9.5 of these Regulations;
      13° It collects the prior notice of the Board of Directors before appointing one or more Vice-Chairs and Directors;
      14° He reports to the Board of Directors on compliance with the implementation of legal obligations on the representation of women in the various bodies of the Université Paris-Saclay;
      15° He may delegate part of his or her powers to the Vice-President(s), within the limits and conditions determined by the rules of procedure and by the Board of Directors;
      16° He appointed the directors of the Université Paris-Saclay.

    • Title V : INSTANCES DE PILOTAGE OPÉRATIONNEL DE L'UNIVERSITÉ PARIS-SACLAY


      The Paris-Saclay University includes operational pilotage authorities whose organization and operation are provided for by the rules of procedure. These include the steering committee, directorates, coordination components and administrative services.


      Article 14
      The Executive Committee


      Placed under the authority of the Chair of the Board of Directors, the Executive Committee is responsible for assisting the Chair for the purposes of:
      1° To conduct all preparatory work for the definition and implementation of the objectives, the general strategy, and the strategic plan of actions, means and structures that decline the shared project;
      2° Implement all deliberations of the Board of Directors;
      3° To prepare the sessions of the board of directors and those of the board of members.


      Article 15
      The coordination components of the Université Paris-Saclay


      The coordination components cover the areas of research, training and doctoral training. They are placed under the functional authority of the President of Paris-Saclay University.
      In its area of competence, each coordination component is responsible for developing and proposing to the Board of Directors a strategy and coordinating the implementation of the strategic plan of the University's actions, means and structures by each member.
      The piloting of each coordination component involves within its scope of competence the Université Paris-Saclay, the operating members within the meaning of Article 4 of the present statutes and the institutions concerned having signed an association agreement. The steering and composition of the committees established for each coordination component are defined by the rules of procedure.


      Article 16
      Directions and services


      In order to carry out its mission, the Université Paris-Saclay organizes its own resources in the directions and services defined in the rules of procedure.
      In this context, the Université Paris-Saclay has staff available, seconded or under contract, placed under the president's hierarchical or functional authority as part of their duties.
      Staff made available by an institution or agency retain their status of origin.

    • Part VI: FINANCIAL RESOURCES - FINANCIAL, ADMINISTRATIVE AND COMPTABLE MANAGEMENT Article 17


      Paris-Saclay University is subject to provisions of Article L. 719-5 of the Education Code and to those of its implementing texts, as well as the provisions of Article L. 719-9 of the same Code relating to a posteriori financial control.


      Article 18
      Income


      The recipes of the Université Paris-Saclay include:
      1° Contributions of any kind made by members;
      2° State subsidies;
      3° Subsidies of local authorities;
      4° The resources obtained from funding agencies for the participation of the Université Paris-Saclay in national or international programmes;
      5° The product of participation in the continuing education of the Université Paris-Saclay;
      6° The product of the research or research enhancement contracts of the Université Paris-Saclay, in particular the products of the operation of patents and licences under conditions defined in the rules of procedure;
      7° The product of service benefits of any kind;
      8° The product of alienations;
      9° The product of participations;
      10° Donations and bequests;
      11° Any other resources authorized by the laws and regulations in force.


      Article 19
      Expenditure


      The expenses of the Université Paris-Saclay include the personal costs of its own, the equipment and operating expenses and, in general, all the expenses necessary for its activities.
      The annual initial budget and revisions over the course of the year, subject to the Board of Directors' deliberation, must be balanced in revenues and expenditures.


      Rule 20
      Accountant


      On the proposal of the President of the University Paris-Saclay, the accounting officer is appointed by joint order of the Minister in charge of higher education and the Minister in charge of the budget.

    • Part VII: REVISION OF STATUS AND INLAND REGULATIONS Article 21


      In accordance withArticle L. 718-8 of the Education Code, the statutes are amended by deliberation of the board of directors after favourable advice from the board of members rendered in accordance with section 10.3 of these statutes.
      These revisions are approved by decree.


      Article 22
      Rules of procedure


      The rules of procedure are adopted or amended by the board of directors after favourable advice from the board of members rendered in accordance with section 10.3 of these statutes and consultation with the academic council.

    • Part VIII: STATUS ENTER Article 23 Transitional measures


      The statutes come into force from the date of publication in the Official Journal of the French Republic.
      The Council of Members shall be constituted within thirty (30) days of this publication.
      Within the same period, a provisional board of directors shall be established and shall be convened, as follows:
      1° Directors representing the members serving on the Board of Directors of the Fondation de coopération scientifique Campus Paris-Saclay (FCS), supplemented by 2 representatives of higher education and research institutions designated by the Council of Members;
      2° Directors serving as a qualified personality and representing the Public Institution Paris-Saclay on the Board of Directors of the FCS;
      3° Directors serving as representatives of the economic world on the Board of Directors of the FCS;
      4° 1 representative of the Ile-de-France region;
      5° 5 representatives appointed within them by the 8 representatives elected in the assembly of the FCS;
      6° 3 representatives of employees appointed by their college within the FCS Student Life and Campus Life Committee;
      7° 2 students appointed by their college within the FCS Student Life and Campus Life Committee.
      Members of the Provisional Board shall elect, under the conditions referred to in Article 13 of the present Statutes, a provisional President of the Paris-Saclay University who shall take all necessary measures in the current operation of the Paris-Saclay University until the final constitution of the board of directors provided for in Article 9 of the present Statutes.
      The members of the provisional board of directors shall remain in office until the designation of their successors made in accordance with these statutes.
      The term of office of the President of the Provisional Board of Directors is terminated on the date of the first meeting of the Board of Directors that he convenes for the election of the President of the Paris-Saclay University.
      By derogation from section 9 of these statutes, a transitional budget to ensure the first requirements of the current operation of the Université Paris-Saclay is decided by the Provisional Board of Directors, after advice from the Council of Members in accordance with Article 10.2.3 of these statutes.
      The Provisional Board of Directors shall, within a maximum period of two (2) months from the publication of these Regulations, adopt a transitional rules of procedure to ensure the sole establishment of the Board of Directors and the Academic Council.
      Upon the adoption of the provisional rules of procedure and pursuant to the provisional rules of procedure, the President of the provisional board of directors appointed under the conditions set out in section 13 of these statutes shall organize:
      1° The elections of the directors mentioned in the 4th, 5th and 6th of Article 8 of these statutes, within a maximum period of four (4) months; and
      2° Academic council elections within a maximum of six (6) months.
      The terms of reference of the administrators are running from the first meeting convened for the election of the President of the Université Paris-Saclay.
