DECRETO No. 680

THE LEGISLATIVE ASSEMBLY OF THE REPUBLIC OF THE SALVADOR,

CONSIDERING:

I.- On 14 December 2012, Legislative Decree No. 239, which contains the Transitional Law for the Regulation of Entries of Companies and Registers of Locals, was adopted in order to facilitate companies to obtain or renew the Entries of Companies, for a period of one year, as set out in the Considering IV of the same and which expired in December 2013.

II.- That the Trade Code establishes that any individual trader shall enrol his or her business by application to the Trade Register, and the writing of the Constitution of any commercial company of the social trader shall be inscribed in the record when it is registered.

III.- At present there are many companies, mainly small and medium-sized, that because of the economic circumstances that the country is going through, they have not been able to comply with the registrations referred to in the previous Considering, there being the will of their owners or representatives, to regularize their situation, updating their corresponding legal commitments and avoiding this being found outside the provisions of the respective legal frameworks.

IV.- Notwithstanding the good intention of the legislator to give it a new validity, which was one year, to the Transitional Law for the Regulation of the Entries of Companies and Registration of Locals, as established in the Considering IV of the aforementioned Decree No. 239, this period has not been sufficient, because many individual merchants, to date have not been able to benefit from the causes mentioned in the Considered Law again, it becomes necessary to give effect to the

in the use of its constitutional powers and at the initiative of the Deputy Francisco José Zablah Safie.

TRANSITORY LAW FOR THE REGULATION OF COMPANY AND REGISTRATION OF LOCALS.

Art. 1 .- Individual and social merchants will have the benefit to obtain for the first time company registration or renew the company registration that is not in force, as well as the registration

of its premises, agencies and branches to the Register of Commerce, for a term expiring on 31 December of this year, presenting the application for 2014, accompanied only the payment of registration rights and the general balance of closing of the year 2013, duly audited by a legally authorized Accountant, when required by the Law. Accordingly, any right of registration or fines caused in respect of periods prior to 2014, including those caused by ex-temporaneous submission, is invalid during the validity of this Decree.

Art. 2.- This Decree shall enter into force on the day of its publication in the Official Gazette.
