Administrative measures on overseas investment
(March 16, 2009 the Ministry of Commerce announced as of May 1, 2009, 2009 5th) Chapter I General provisions
First to promote and standardize the overseas investment, according to the State Department to set administrative administrative examination and approval items really necessary to be retained licensing decision, these measures are formulated.
Article II foreign investments in these measures refers to legally established enterprises in China (hereinafter enterprise) overseas through new, mergers and acquisitions of non-financial enterprises or taking ownership of non-financial enterprises, control, management and other interests.
Article inside and outside enterprises to carry out overseas investments should be carefully understand and comply with relevant laws and regulations, rules and policies, follow the "win-win" principle.
Fourth Ministry of Commerce is responsible for the administration of overseas investment and oversight, provinces, autonomous regions, municipalities, separately listed cities and Xinjiang production and construction Corps business departments (hereinafter referred to as competent provincial Commerce Department) is responsible for the administration of overseas investment and oversight within their respective administrative areas.
Chapter II approval Fifth Ministry of Commerce and approved by the provincial-leveled Commerce authorities imposed on overseas investment. Sixth overseas investment enterprises to carry out the following scenarios should be in accordance with the means 12th article submitting application materials and approved by the Ministry of Commerce as provided in this article 13th:
(A) established diplomatic ties with China National foreign investment;
(B) overseas investment for a specific country or region (on the list established by the Ministry of Commerce in collaboration with the Ministry of Foreign Affairs and other relevant departments);
(C) foreign investment Chinese investment of 100 million US dollars and above;
(D) the multinational (regional) interests of foreign investment;
(E) the establishment of overseas special purpose companies.
The seventh overseas investment in local enterprises to develop the following scenario should be in accordance with the article 12th request application materials, and as provided for in article 14th report approved by the provincial-leveled Commerce departments:
(A) the Chinese side invested 10 million US dollars and the overseas investment of more than $ 100 million;
(B) energy and minerals investment abroad;
(C) the overseas investment of the needed investment in the country.
Eighth enterprise to the way sixth, seventh overseas investment cases under articles, are required to submit application form for overseas investment (hereinafter referred to as the application form, style, see annex II), and approved by the regulation of 16th article.
Nineth enterprises foreign investment of any of the following circumstances, the Ministry of Commerce and the provincial Commerce authorities not to approve:
(A) endanger China's national sovereignty, security and social and public interests, or in violation of our laws and regulations;
(B) damage me and the relevant country (region);
(C) may be in violation of international treaties concluded by international;
(D) relates to China's ban on the export of technology and goods.
Economic and technical feasibility of overseas investment by the enterprises themselves. The tenth Ministry of Commerce approved the sixth regulations on overseas investment should ask the embassies (consulates) (business offices).
Involving the Central enterprises, by the Ministry of Commerce for comments involving local businesses, by the provincial-leveled Commerce departments for comments.
Provincial-leveled Commerce authorities approved the seventh overseas investment provided for in the second paragraph of article shall consult the embassies (consulates) (Business Office); other cases the approval of overseas investment, provincial departments in charge of Commerce lane sought Embassy (Consulate) (business offices).
11th Ministry of Commerce and provincial Commerce authorities consulted shall provide the Embassy (Consulate) (business offices) provide basic statistics on investment matters and other related information.
Embassies (consulates) (Business Office), mainly from the host country's security situation, bilateral political and trade relations and other views, and the date of receipt of the letter of comment reply within 10 working days.
Article 12th article sixth and seventh under the circumstance of the overseas investments are required to submit the following materials:
(A) the application, includes the names of foreign enterprises, registered capital, amount invested, business scope and operating period, investment funds that, specific contents, ownership structure, investment environment evaluation and does not involve Nineth circumstances listed in the specification of these measures;
(B) copy of business license;
(C) the regulation of foreign enterprises and the related agreements or contracts;
(D) the approval of relevant State departments, or filing;
(E) acquisition of offshore investment shall be submitted to the early reports in overseas mergers and acquisitions matters (styles, see annex III);
(Vi) other documents required by the competent authorities.
The 13th foreign investment of the enterprises to carry out provisions of the sixth, central enterprise to apply to the Ministry of Commerce to local businesses through the provincial Commerce authorities to apply to the Ministry of Commerce.
Upon receipt of the application, the provincial departments in charge of Commerce shall, within 10 working days (not to seek embassies (consulates) (business offices)) for enterprise reporting material authenticity and whether it relates to Nineth circumstances listed in the first instance these measures, agreed with the trial after all application materials are submitted to the Ministry of Commerce. Ministry of Commerce received provincial Commerce authorities or central enterprise application, than 5 working days to decide whether to accept.
Application materials are incomplete or not in compliance with the statutory form, the applicant shall, within 5 working days once told; accepted, shall, within 15 working days (excluding seek embassies (consulates) (business offices)) to make a decision on whether to approve it.
Overseas investments provided for in article 14th seventh, make application to the provincial departments in charge of Commerce. Upon receipt of the application, the provincial departments in charge of Commerce shall, within 5 working days to decide whether to accept.
Application materials are incomplete or not in compliance with the statutory form, the applicant shall, within 5 working days once told; accepted, shall, within 15 working days (excluding seek embassies (consulates) (Business Department) over time) to make a decision on whether to approve it.
15th to be approved by the sixth, the seventh foreign investments provided for in article, the Ministry of Commerce and the provincial departments in charge of Commerce shall issue a written decision on approval and issuance of the certificate; not approved, shall notify the applicant in writing and state the reasons, informed of their right to apply for administrative reconsideration or bring an administrative lawsuit in accordance with law.
16th Enterprise article eighth overseas investment approved by the following procedure: Central Corporate Headquarters via the "system" fill out the printed application form according to the requirements, approved by the Ministry of Commerce.
Local enterprises through the "system" fill out the printed application form according to the requirements, approval of provincial Commerce authorities.
Department of Commerce and the provincial Commerce authorities after receiving the application form, to review within 3 business days, complete the application form and comply with the statutory format of the certificate will be issued. 17th where two or more companies jointly invested overseas enterprises, should be made by relative majority shareholder after the written consent from the other investors responsible for the approval procedures.
Department of Commerce or provincial departments in charge of Commerce relative maximum shareholder approval documents shall be copied to the other investors provincial Commerce authorities.
18th Ministry of Commerce or provincial business investment in exploration and development of offshore mineral resources approved by the competent authorities shall consult the relevant Chamber of Commerce, Association of opinion, reference to the approval.
Chapter III modification and termination Approval of the 19th, the original foreign investment applications, changes, companies should refer to the provisions of chapter II apply to the approval authority the change approval formalities.
Between transfer of shares of foreign enterprises, the transferee is responsible for applying for the change, the Ministry of Commerce or where the transferee file approved by the provincial-leveled Commerce departments related should be copied to the other shareholders of provincial Commerce authorities. 20th enterprise is terminated certified approval of overseas investment should be made to the authorities for the record, and return of the certificate. Letter issued by original examination and approval authority for the record, business related formalities according to the Foreign Exchange Management Department.
Enterprise and foreign enterprise shall comply with local law for cancellation procedures.
Termination refers to the original approved foreign enterprises are no longer surviving or enterprises in China were no longer in possession of the original approved equity stakes in overseas companies, such as an interest.
Fourth chapter of overseas investment code of conduct 21st Enterprise shall objectively assess their own conditions, and the host country (region) investment environment, actively and steadily carry out overseas investments.
Domestic and foreign laws, rules and regulations on qualification qualification requirements, shall obtain the relevant supporting documents. 22nd established enterprises to invest overseas or outside enterprise name shall conform to laws and regulations and policy provisions. Not according to relevant regulations of the State enterprises have been approved, its overseas business name shall not be called "China" or "Chinese", "country" and so forth.
Pending approval by the foreign language name can be used in applications of foreign enterprises in the host country (region) to pre-register.
23rd the personnel and property of the Enterprise shall implement safety precautions, to establish early-warning mechanisms and contingency plans, and received embassies (consulates) in areas such as emergency preparedness, personnel security guidance.
When an emergency occurs overseas, the Enterprise shall promptly and properly handle, and immediately to the Embassy (Consulate) and report of the competent authorities concerned in the Mainland.
Article 24th head of the overseas Chinese should be requested in person or by letter, fax, e-mail, writing to the Embassy (Consulate) (Business Office) registration.
25th foreign investment of the Enterprise shall be reported to the approval authorities and statistical information, ensure that the submitted facts and figures are true and correct.
26th Enterprise shall, in its external sign associated with foreign investment before the commencement of the contract or agreement, approved by relevant government authorities.
The fifth chapter management and services
The 27th Ministry of Commerce is responsible for the provincial-leveled Commerce departments and central headquarters administration of overseas investment for inspection and guidance.
28th Ministry of Commerce, in conjunction with relevant departments to establish overseas investment guidance, promotion and service system, strengthen the public service.
The Commerce Department released the country of foreign investment cooperation (regions) Guide to help businesses understand the host country (region) the investment environment.
Ministry of Commerce, in conjunction with relevant departments of the country catalogue of industries for guiding foreign investment issued, guide enterprises to targeted host country (region) in overseas investment.
Ministry of Commerce through intergovernmental and bilateral trade and investment cooperation mechanism to help enterprises solve difficulties and problems.
Department of Commerce building information service system for foreign investment and cooperation, providing statistics for enterprises to carry out overseas investments, investment opportunities, investment barriers, early warning and other information services.
29th foreign investment approval, holders of the certificate to handle foreign exchange, banking, customs, Foreign Affairs and other related procedures, and State policy support. Article 30th to receive within 2 years from the date of the certificate is not in the host country (region) to complete the legal formalities or not to handle the departments concerned in handling listed in article 29th of this approach, the original approval document and the lapse of the certificate, the certificate should be returned to the original approval authority.
Where overseas investment is required, as prescribed in the regulations to apply for approval. 31st of the certificate shall not be forged, altered, leased, lent or transferred, in any form.
Changes, expiration or cancellation of the certificate shall be returned to the issuing authority.
Chapter Sixth penalty
32nd article Enterprise provides false application material or not truthfully filled application table of, Commerce and provincial business competent sector not accepted or not approved, and give warning, and can in a years within not accepted the enterprise any outside investment approved application; enterprise to provides false material, not due means made outside investment approved of, Commerce and the provincial business competent sector should revoked related file, and can in three years within not accepted the enterprise any outside investment approved application.
33rd article violates these rules of enterprises not enjoy foreign investment policies to support countries in three years.
34th Provincial-leveled Commerce departments in accordance with this regulation for approval and discharge the responsibilities of management and supervision, the Ministry ordered corrective action and criticism.
35th has the commercial Administrative Department of the relevant staff failing to perform their duties as provided herein, or abuse of, shall be given administrative sanctions.
The seventh chapter by-laws
36th provincial-leveled Commerce departments can be developed in accordance with the appropriate management approach.
37th special purpose companies mentioned in these measures refers to the territory of the enterprise to realize its actually have listed interests outside the company directly or indirectly controlled by foreign companies. Article 38th institutions corporate overseas investment, non-corporate enterprises overseas to apply this approach.
Enterprises to invest in Hong Kong, Macau and Taiwan in accordance with the measures implemented. 39th enterprises controlled foreign companies overseas to invest, within one month of the completion of the legal procedures should be reported by the business departments in charge of Commerce. Enterprise for local enterprises, through "system" fill in relevant information, print the application form (style, see annex IV) and stamped with the company seal to the provincial-leveled Commerce departments after enterprises for enterprises under the Central Government, Central Headquarters via the "system" fill in relevant information, print the application form and seal the record to the MOC.
Business after submitting the application form is completed for the record.
40th article explaining these measures by the Ministry of Commerce. 41st these measures shall come into force on May 1, 2009. The provisions on approval of overseas investment to run enterprises (Ministry of Commerce 2004 16th) and the Ministry of Commerce, the Hong Kong and Macau Affairs Office of the State Council on printing and distributing of mainland enterprises to Hong Kong, Macau S.A.R. investment to run enterprises of notification to and approval of regulations (shanghe [2004]452) repealed simultaneously.
Relevant provisions are inconsistent with this approach, is subject to this approach.
