Circular of the State administration for industry and commerce concerning the revision of the People's Republic of China controlling the registration regulations of the rules for the implementation of, the provisions on the registration management of foreign-invested partnership enterprises, the sole proprietorship enterprise registration regulations, the decision of the individual industrial and commercial household registration regulations regulations (Released February 20, 2014, State administration for industry and commerce, the 63rd since March 1, 2014) to implement the State Council approved the registration of the registered capital system reform programme, December 28, 2013, adopted at the 12th meeting of the Standing Committee of the sixth national people's Congress decision to modify the law, the State administration for industry and Commerce decided to People's Republic of China controlling the registration regulations of the rules for the implementation of, the

    Provisions on administration of foreign-invested partnership enterprise registration, and the measures for the administration of registration of a sole proprietorship enterprise, the individual registration regulations read as follows:

First, People's Republic of China regulations on registration regulations

(A) the 14th article in subparagraph (VII), amended to read: "there are up to the required level and commensurate with the scope of the registered capital, the State enterprises registered capital amount according to the provisions of specific regulations".

(B) by deleting the 32nd article sixth.

(C) by deleting article 36th in the "verification of conditions."

(D) by deleting section 53rd (ii) "and verify the registration and operating conditions."

By deleting paragraph (e).

(V) modify the Nineth chapter titles to: "publicity and control." (Vi) 54th is amended as: "the registration authorities shall be registration, public record information through the enterprise credit information system to the public.

(VII) article 55th is revised as follows: "legal person shall be from January 1 to June 30 of each year, through the business credit information disclosure system to competent registration authority annual report, and to the public. Contents of the publication of the annual report and the supervision and inspection in accordance with regulations of the State Council.

” (H) by deleting the 56th article, one paragraph is added as the second paragraph: "national e-business license. Electronic business licenses and paper license shall have the same legal effect.

(IX) the 59th paragraph (c) is amended as: "supervision of enterprises annual reports submitted in accordance with regulations, publicity". (J) by deleting paragraph 63rd paragraph (g) of "unauthorized copying license of seized copies of, be warned and fined 2000 Yuan fine.

    By deleting paragraph (j).

Second, the provisions on administration of foreign-invested partnership enterprise registration

(A) the seventh chapter title is changed to: "the annual report of publicity and control." (B) the 47th is revised as follows: "foreign-invested partnership Enterprise shall be from January 1 to June 30 of each year, through the business credit information publicity system to the registration organ to last year's annual report, and to the public.

    (C) by deleting the 57th, 58th.

Three, sole proprietorship registration management

(A) the sixth chapter title is changed to "publicity and control." (B) an article shall be added as article 29th: "registration authority should be a sole proprietorship enterprise registration, record information through the business credit information publicity system to the public.

(C) modify the 29th to 30th: "a sole proprietorship Enterprise shall be from January 1 to June 30 of each year, through the business credit information publicity system to the registration organ to last year's annual report, and to the public. Publication of the annual report and the contents of supervision and inspection in accordance with regulations of the State Council.

”

    (D) by deleting the 30th and 40th.

IV registration management, individual approach

(A) article 23rd is amended as: "individual businesses shall be from January 1 to June 30 of each year to the registration organ to last year's annual report, and responsible for the authenticity and legality of its annual report. Individual annual reports, publicity measures shall be formulated separately by the State administration for industry and commerce.

(B) by deleting article 33rd (ii).

(C) by deleting article 38th.

This decision shall take effect on March 1, 2014.
