Single Article:-Introducing Decree-Law No. 2,079 of 1978, the following amendments:
1.-Replace Article 12 with the following:
"Article 12.-The superior administration of the Bank shall be the responsibility of the Committee consisting of the President, the Vice-President and the Executive General Manager."
2.-To add to Article 13 (b) and (c), the word "Executive" after the term "General Manager".
3.-Refine Article 19 (h) and (i) by the following:
" (h) To be aware of the reports which the Executive Director General and the GGs submit to their consideration or resolution, in accordance with the rules established by the Committee itself, and
(i) To provide directly or through the authorities and officials of the Bank with the designation of instructions, and recommendations necessary for the efficient administration and smooth operation of the operations of the undertaking. "
4.-Replace the title of the THIRD PARRAFO with the following:
"President, Vice President, Executive General Manager, Public Prosecutor, General Manager of Area, and Comptroller".
5.-To add to article 22, after the words "General Manager", the four times the word "executive" appears, the word "executive".
6.-Article 25 should be remade by the following:
" Article 25.-The Executive General Manager shall be an official of the exclusive trust of the President of the Republic, who shall appoint him by decree of supreme decree issued through the Ministry of Finance.
It shall direct the immediate administration of the Bank in accordance with the powers conferred and instructions given by the Committee. It shall be particularly appropriate to:
(a) Coordinate the General Manager of the Area;
(b) To submit to the Committee, either personally or by staff members, detailed status or information on the progress of the enterprise;
(c) To attend Council meetings with the right to speak;
(d) To deal with, promote, transfer, send in the commission of service, punish with the measures taken by the internal rules, the officials of the Bank, with the exception of those qualified as higher-ranking officials; accept the renounces and terminations of the employment contracts of those officials, with the proviso that they are not; (e) To propose to the Committee the recruitment, promotion, transfer, commission of service, disciplinary sanctions, acceptance of resignations and termination of employment contracts of qualified staff members as a senior;
(f) Submitting the company's annual report and balance to the approval of the Committee;
(g) Delegate the exercise of some of its powers to other staff members of the Bank, except that, by their nature, it had to carry out its duties personally, and
(h) Exercise all the functions entrusted to it by the Council and the Committee. "
7.-To add to Article 26 (c) and (e), after the term "General Manager", the term "Executive".
8.-Insert the following Article 27a:
" Article 27a.-Three General Manager of the Area: Credits, Administration and Finance, shall have the following functions and functions:
1.-The General Manager of Credits shall be responsible:
(a) To provide the instructions and recommendations necessary for the efficient administration and smooth operation of all Bank lending operations;
(b) To resolve requests for credit submitted to the Bank, within the powers granted by the Committee;
(c) To report to the Committee on the progress of the Bank's lending operations;
(d) To propose to the Committee policies and specific targets for the lending operations of the Bank;
(e) Responding to the Executive General Manager for the implementation and enforcement of the agreements adopted by the Committee, which relate to credit operations in the context of the powers delegated to it, and
(f) Exercise the other functions entrusted to it by the Committee and the Executive General Manager.
2.-It shall be the responsibility of the General Manager of Administration:
(a) To propose to the Committee policies on the management of the human resources and materials of the Bank;
(b) To propose to the Committee staff development and training policies;
(c) To propose to the Committee the acquisition, lease or disposal of the real estate and tangible tangible property necessary for its service or operation;
(d) Proposing to the Executive General Manager the recruitment, promotion, transfer, commission of services, disciplinary sanctions authorizing internal regulation, acceptance of resignations and terms of employment contracts of staff members of the Bank in accordance with the policies established by the Committee to this end; (e) Responding to the Executive General Manager for the implementation and enforcement of the agreements made by the Committee in administrative matters, in the context of the powers delegated to it, and (f) Exercise of the other functions which he or she may be given The Committee and the Executive General Manager are commended.
3.-The General Manager of Finance shall be:
(a) To propose to the Committee the necessary instructions and recommendations, in all that is directly related to the acquisition of financial resources for the enterprise;
(b) To propose to the Committee the Bank's financial investment policy;
(c) To propose to the Committee policy management of the financial investment portfolio and ensure its proper profitability; (d) Establish a system of accounting and data processing statistics, and monitor their proper functioning;
(e) To submit to the Committee on a regular basis the balance sheets and other financial statements to enable it to take full account of the progress of the business of the institution;
(f) To permanently control, control and update the Bank's annual revenue and expenditure budget, in the context of the powers delegated to it;
(g) To prepare and submit to the Executive General Manager, the balance sheets and other financial statements of the Bank;
(h) Responding to the Executive Manager for the implementation and enforcement of the agreements made by the Committee in financial matters, in the context of the powers delegated to it, and
(i) Exercise the other functions entrusted to it by the Committee or by the Executive General Manager.
The Charges of General Manager of the Area shall be designated by the Committee. "
9.-To add to article 28, after the words "General Manager", the term "Executive".
