22 MARCH 2012. - An Act to amend the Corporate Code and the Act of 17 July 1975 on Business Accounting



ALBERT II, King of the Belgians,
To all, present and to come, Hi.
The Chambers adopted and We sanction the following:
Article 1er. This Act regulates a matter referred to in Article 78 of the Constitution.
Art. 2. This Act transposes Article 2 of Council Directive 2009/49/EC of the European Parliament and Council of 18 June 2009 amending Council Directives 78/660/EEC and 83/349/EEC with respect to certain advertising obligations for medium-sized companies and the obligation to establish consolidated accounts.
Art. 3. Section 110 of the Corporations Code as amended by the Act of 23 January 2001, is supplemented by a paragraph written as follows:
"A parent company that owns only subsidiary companies that have regard to the valuation of the consolidated assets, consolidated financial position or consolidated income, have both individually and collectively a negligible interest, is exempted from the obligation set out in paragraph 1er. »
Art. 4. Article 125, § 1erthe following amendments are made to the Code:
1° in paragraph 1er, the words "or its delegate" are inserted between the words "The Minister who has Economic Affairs in his powers" and the words "can authorize";
2° in paragraph 2, the words "or its delegate" are inserted between the words "the Minister who has the middle classes in his powers" and the words ", with regard to small societies. »;
3rd paragraph 3 is supplemented by the words "or its delegate".
Art. 5. ÷ section 14 of the Act of 17 July 1975 on business accounting, renumbered and amended by the Act of 7 May 1999, and amended by the Act of 23 January 2001, the following amendments are made:
1° in the first sentence, the words "or its delegate" are inserted between the words "The Minister of Economic Affairs" and the words "can authorize";
2° in the second sentence, the words "or by his delegate" are inserted between the words "Minister of Average Class" and the words "with respect to";
3° the third sentence is supplemented by the words "or his delegate".
Promulgate this law, order that it be clothed with the seal of the State and published by the Belgian Monitor.
