Adopted at the First Sitting of the Twenty-Eighth Annual Meeting of the Board of Governors of the African Development Fund, on 28 May 2002

AMENDMENT TO THE AGREEMENT ESTABLISHING THE AFRICAN DEVELOPMENT FUND

Allocation of Voting Power

THE BOARD OF GOVERNORS,

HAVING REGARD TO:

(i)

The Agreement Establishing the African Development Fund (the "Fund Agreement"), particularly Article 3 (Participation), Article 22 (Organization of the Fund), Article 23 (Board of Governors: Powers), Article 24 (Board of Governors: Composition), Article 24 26 (Board of Directors: Functions), Article 27 (Board of Directors: Composition), Article 29 (Voting), and Article 51 (Amendments); and

(ii)

The recommendations of the Board of Directors contained in Document ADF/BG/WP/2001/08 entitled "Revision of the Agreement Establishing the African Development Fund to Achieve Equality of Rights for State Participants;"

HEREBY to amend the Fund Agreement as follows:

1. AMENDMENT TO ARTICLE 29 (3) OF THE FUND AGREEMENT (Acquisition of Votes by State Participants)

Paragraph 3 of Article 29 is hereby amended as follows:

3.

Each State participant shall have a proportionate share of the aggregate votes of the State participants based on the subscriptions of such participant made pursuant to Article 6 and, to the extent agreed by the State participants in connection with additional subscriptions authorized under Article 7 (1) and (2), on such additional subscriptions. However, the total votes to be allocated to regional members that are State participants shall not exceed one per cent of the total votes of State participants. In voting in the Board of Governors, each governor representing a state participant shall be entitled to cast the votes of the participant he represents. (Specific revision in bold).

2. AMENDMENT TO ARTICLE 29 (6) OF THE FUND AGREEMENT (Implication of Membership in the African Development Bank)

Article 29 (6) of the Fund Agreement is hereby amended to read as follows:

6.

Notwithstanding any of the other provisions of this Agreement, if a State shall be or become both a State participant and a member it shall, but solely for the purposes of this Agreement, be treated in all respects as if it were not a member.

3. ENTRY INTO FORCE

The amendments to the Fund Agreement contained in this Resolution shall enter into force, as provided in Article 51 of the Fund Agreement, following the adoption of the resolution and acceptance of the amendments adopted by the Members.

LE CONSEIL OF THE GOVERNOR,

VU:

(i)

L' Accord portant création du Fonds africain de développement (l ' "Accords du Fonds"), spécialement l' article 3 (Participation), l' article 22 (Organisation du Fonds), l' article 23 (Conseil des gouverneurs: Pouvoirs), l' article 24 (Conseil des gouverneurs: Composition), l' article 26 (Conseil d' administration: Fonctions), l' article 27 (Conseil d' administration: Composition), l' article 29 (Vote) et l' article 51 (Amendements); ainsi que

(ii)

Les recommandations du Conseil d' administration contenues dans le document ADF/BG/WP/2001/08 intitulé "Révision de l' Accord portant création du Fonds africain de développement en vue d' assurer l' égalité de droits pour les Etats participants",

DÉCIDE d' amender l' Accord du Fonds comme suit:

1. AMENDEMENT À L' ARTICLE 29 (3) DE L' ACCORD DU FONDS (Acquisition de voix par les Etats participants)

Le paragraphe 3 de l' article 29 est amendé comme suit:

Chaque Etat participant dispose d' un pouracy de l' ensemble des voix des Etats participants calculé en fonction des montants souscrits par ce participant conformément à l' article 6 et aussi, dans la mesure où les Etats participants ont accepté des souscriptions additionnelles autorisées en vertu des paragraphes 1 et 2 de l' article 7, en fonction desdites souscriptions additionnelles . Toutefois, le pourowed total des voix attribuées aux membres régionaux qui sont Etats participants ne dépasse pas un pour cent (1%) de l' ensemble des voix des Etats participants. Lorsqu' il vote au Conseil des gouverneurs, chaque gouverneur représentant un Etat membre dispose des voix du participant qu' il représente. (la partie révisée est mise en exergue).

2. AMENDEMENT À L' ARTICLE 29 (6) DE L' ACCORD DU FONDS (Vote et qualité de membre de la Banque africaine de développement)

Le libellé du paragraphe 6 de l' article 29 de l' Accord du Fonds est amendé comme suit:

Non-obstant toutes autres dispositions du présent Accord, si un Etat est, ou devient, à la fois Etat participant et membre, cet Etat est traité, aux seules fins de l' Accord, à tous égards comme s' il n' était pas membre.

3. ENTRÉE EN VIGUEUR

En vertu des dispositions de l' article 51 de l' Accord du Fonds, l' amendement audit Accord contenu dans la présente résolution entrera en vigueur après l' adoption de la résolution et l' acceptation, par les membres, des modifications qui y sont proposées.

AMENDMENT TO THE CONVENTION ON THE ESTABLISHMENT OF THE AFRICAN DEVELOPMENT FUND

Distribution of voting rights

THE BOARD OF GOVERNORS CLOSES HIEMIT,

WITH REGARD TO:

(i)

The Convention on the Establishment of the African Development Fund 1 (the "Fund Convention"), in particular Article 3 (participation), Article 22 (organisation of the Fund), Article 23 (Board of Governors: powers), Article 24 (Board of Governors: Composition), Article 26 (Board of Directors: functions), Article 27 (Management Committee: composition), Article 29 (vote) and Article 51 (amendments); and

(ii)

The recommendations of the Executive Board contained in document ADF/BG/2001/08 "Revision of the Convention on the Establishment of the African Development Fund for the attainment of equal rights for participating States",

to amend the Fund Convention as follows:

1. AMENDMENT OF ARTICLE 29 (3) OF THE FUND CONVENTION (acquisition of votes by participating States)

Article 29 (3) now reads as follows:

Each participating State shall have a share in the total number of votes in the participating States, which shall be based on the drawings of the participant concerned in accordance with Article 6 and, in the case of the participating States, in conjunction with the additional provisions referred to in Article 7. (1) and (2) approved drawings shall be based on such additional drawings. However, the total votes allocated to regional members who are participating States shall not exceed one per cent of the total votes of the participating States. In the case of votes in the Board of Governors, each Governor representing a participating State shall have the power to cast the votes of the participant he is representing. (Changes in bold print)

2. AMENDMENT OF ARTICLE 29 (6) OF THE FUND CONVENTION (effect of membership in the African Development Bank)

Article 29 (6) of the Fund Convention is now:

6.

Notwithstanding all the other provisions of this Convention, a State which is both a participating State and a member, or, if only within the meaning of this Convention, shall be treated in any relationship as a non-member.

3. ENTRY

The amendments to the Fund Convention contained in the present resolution shall enter into force, as provided for in Article 51 of the Fund Convention, after approval of the resolution and adoption of the amendments thereto by the members.

According to the note by the Secretary-General of the African Development Fund, resolution F/BG/2002/04 came into force on 4 July 2003 under Article 51 of the Convention on the Establishment of the African Development Fund.
