282. Regulation of the Financial Market Supervisory Authority (FMA) amending the minimum content, publication and language regulation

Pursuant to Section 3 (4), Section 7b (2) and (3) and Section 10 (3) of the Capital Markets Act-KMG, BGBl. N ° 625/1991, as last amended by the Federal Law BGBl. I n ° 83/2012, as well as on the basis of section 75 (3) of the 1989 Stock Exchange Act-BörseG, BGBl. N ° 555/1989, as last amended by the Federal Law BGBl. I No 83/2012, shall be arranged:

The Minimum Content, Publication and Language Ordinance-MVSV, BGBl. II No 236/2005, shall be amended as follows:

1. In § 2 Z 1, the word order shall be " BGBl. I No 92/2003 " through the phrase " BGBl. I No 29/2010 " replaced.

2. The title of § 3 shall be the phrase "and divisions" .

3. § 3 reads:

" § 3. An equivalent document, which replaces the publication of a prospectus in the case of mergers or divisions in accordance with Section 3 (1) Z 8 KMG or § 75 (1) Z 4 BörseG, has in any case, in the case of mergers, the publication of a prospectus in accordance with Section 221a (2) of the German Stock Exchange Act (KMG). Stock Law 1965-AktG, BGBl. No. 98/1965, in the version of the Federal Law BGBl. I n ° 35/2012, and in the case of divisions under Section 7 (2) of the German Cleavage Act, Federal Law Gazette, Federal Law Gazette (BGBl). No. 304/1996, in the version of the Federal Law BGBl. I No 53/2011, for the inspection of the shareholders to be provided. '

4. The previous text of § 7 receives the sales designation "(1)" and the following paragraph 2 is added:

" (2) § 2 Z 1 and § 3 together with the title in the version of the BGBl Regulation. II No. 282/2012 will enter into force on 1 September 2012. "
