Law 27290

Amendment. Law No 19,550.

The Senate and Chamber of Deputies of the Argentine Nation, meeting in Congress, etc., are sanctioned by law:

AMENDMENT OF LAW 19.550

Article 1-Substitute Article 255 of Law 19.550, which is worded as follows: " Article 255.-The administration is in charge of a directory composed of one or more directors appointed by the shareholders ' assembly or the surveillance council, where appropriate. In the anonymous companies of Article 299, except as provided for in point (7), the directory shall be integrated with at least three directors. If the shareholders ' assembly is empowered to determine the number of directors, the statute shall specify the minimum and maximum permitted number. "

ARTICLE 2-Substitute Article 284 of Law 19,550, which shall be worded as follows: " Article 284.-This is the responsibility of one or more syndicates appointed by the shareholders ' assembly. Equal number of alternate members shall be chosen. Where the company is included in Article 299-except in the cases provided for in points 2 and 7-the trade union must be a member of the public body. Each action shall in all cases give rights to a single vote for the election and removal of the syndicates, without prejudice to the application of Article 288. Any clause to the contrary is null. No. Companies which are not included in any of the cases referred to in Article 299 may dispense with the trade union when provided for in the Statute. In such a case, the partners have the right of comptroller, which is conferred by Article 55.
