ARTICLES 12 AND 13 OF THE STATUS OF GAS OF THE STATE

VISTO the modification by Gas of the State of articles 12 and 13 of its Organic Statute, approved by Decree 2420/57, and

CONSIDERING:

That in accordance with article 12 of the State ' s Organic Gas Statute, the almost all functions of the Company are carried out by the Board of Directors, which is mostly constituted by senior officials;

That the Governing Council is interfering with its action for the study and mandatory consideration of matters that do not make to the technical and economic orientation of the agency and others of lesser extent;

That the State ' s legal system of Gas has not provided for the authority to delegate, and on the other hand the terms of reference to its General Administrator are strictly limited;

That it becomes indispensable for a better development of the State Enterprise to modify Article 12 and consequently 13 of its Organic Statute;

That the delegation of the powers set out in article 12 (c) and (f) of the powers of article 12 of the Professional Statute shall operate without prejudice to the powers of the Governing Council to intervene when the interests of the Enterprise so advise,

The Interim President of the Argentine Nation,

Decrete:

Article 1 - Include in article 12 of the State ' s Organic Gas Statute, as a new paragraph, the letter (j), as follows:

“It will be able to delegate to the Administrator-General or another member, in accordance with the regulations it dictates, the powers of subparagraphs (c) and (f) that are necessary for the purpose of the most appropriate and agile development of the activities of the Company, without prejudice to the powers of the Governing Council to intervene when it believes it necessary.”

Art. 2° - Include in article 13 (d) of the State ' s Organic Gas Statute the following text:

“To act and resolve all matters expressly delegated to it by the Governing Council.”

Art. 3° - Communicate, publish, give to the General Directorate of the Official Gazette and archvese.
