DECISION No. 46/2002/QD-BCN of October 22, 2002 reorganizing Power Construction Holding Company No. 3, an independent cost-accounting member enterprise of Vietnam Industrial Construction Corporation, into a State-run parent company under the Ministry of Industry, which shall experiment its operation after the parent company-subsidiary company model

To reorganize Power Construction Holding Company No. 3, an independent cost-accounting member enterprise of Vietnam Industrial Construction Corporation, into a State-run parent company under the Ministry of Industry, which shall experiment its operation after the parent company-subsidiary company model.

Power Construction Holding Company No. 3 is a State enterprise, which directly conducts production and/or business activities and has investment capital at its subsidiary companies and allied companies; takes responsibility to preserve and develop the State capital at the company and the investment capital in its subsidiary companies and allied companies.

Power Construction Holding Company No. 3 has the following types of subsidiary companies:

- State subsidiary companies where the parent company holds the whole charter capital;

- One-member limited liability companies where the parent company holds the whole charter capital;

- Joint-stock companies where the parent company holds the dominating shares;

- Limited liability companies with two members or more, where the parent company holds the dominating percentage of contributed capital.

Besides, the parent company may contribute capital for the formation of allied companies. The capital contributed by the parent company to allied companies must be lower than 50% of the charter capital of allied companies.- (Summary)
