§

996. Amendment of certificate

The certificate

of organization may be altered or amended except as otherwise provided in this

subchapter at any regular meeting or any special meeting called for that

purpose. An amendment must first be approved by two-thirds of the directors and

adopted by a vote of two-thirds of the members or delegates present and voting

at such meeting. Amendments to the certificate of organization, when so

adopted, shall be filed in accordance with the provisions of section 995 of

this title.
