§

3094. Statement of dissociation

(a) A

dissociated member or a limited liability company may file in the office of the

Secretary of State a statement of dissociation stating the name of the company

and that the member is dissociated from the company.

(b) For the

purposes of sections 3041 and 3093 of this title, a person not a member is

deemed to have notice of the member's dissociation 45 days after the statement

of dissociation is filed.

(c) For purposes

of sections 3041 and 3093 of this title, a person, other than a member, with

whom the dissociated member is engaged in a course of dealing at the time of

dissociation is deemed to have notice of the member's dissociation only if the

person receives actual notice of the dissociation. (Added 1995, No. 179 (Adj.
