§

4006. Reserved name

(a)(1) A person

may reserve the exclusive use of the name of a limited liability company,

including a fictitious or assumed name for a foreign limited liability company

whose name is not available, by delivering an application to the Secretary of

State for filing.

(2) The

application shall state the name and address of the applicant and the name

proposed to be reserved.

(3) If the

Secretary of State finds that the name applied for is available, the Secretary

shall reserve that name for the applicant's exclusive use for a 120-day period.

(b) The owner of

a reserved limited liability company name may renew the reservation for

successive periods of 120 days each by delivering a renewal application to the

Secretary of State during the 45-day period preceding the date of expiration of

the reservation.

(c) The owner of

a name reserved for a limited liability company may assign the reservation to

another person by delivering to the Secretary of State for filing a signed

notice of the assignment that states the name and address of the assignee.

(d) The owner of

a reserved limited liability company name may terminate the name reservation by

delivering to the Secretary of State for filing a signed notice of withdrawal
