The Secretary of State, in exercise of the powers conferred on him by sections 88(2) and 744 of the Companies Act 1985(1), and of all other powers enabling him in that behalf, hereby makes the following Regulations:

1.  These Regulations may be cited as the Companies (Forms) (Amendment) (No. 2) Regulations 1999 and shall come into force on the day after the day on which they are made.

2.—(1) Form 88(2) in the Schedule to these Regulations, with such variations as circumstances require, is a form prescribed for the purposes of section 88(2) of the Companies Act 1985.

(2) Form 88(2) in the Schedule to the Companies (Forms) (Amendment) Regulations 1999(2) is hereby revoked.

SCHEDULE

Explanatory Note

(This note is not part of the Regulations)
These Regulations prescribe an amended Form 88(2) for the purposes of section 88(2) of the Companies Act 1985, with effect from 23rd September 1999. It replaces Form 88(2) prescribed by the Companies (Forms) (Amendment) Regulations 1999 (the 1999 Regulations), which is revoked. The only amendment to the form is to make clear in what circumstances details must be given of the allotment of shares which are allotted as fully or partly paid up otherwise than in cash.
The former Form 88(2) prescribed by the Companies (Forms) (Amendment) Regulations 1988 was revoked by regulation 3 of the 1999 Regulations, but can continue to be used for returns delivered to the registrar of companies before 13th September 2000.
