The Secretary of State, in exercise of the powers conferred on him by section 708(1) and (2) of the Companies Act 1985(1) and of all other powers enabling him in that behalf, hereby makes the following Regulations:

1.  These Regulations may be cited as the Companies (Fees) (Amendment) Regulations 1998, and shall come into force on 1st March 1999.

2.  In these Regulations, “the 1991 Regulations” means the Companies (Fees) Regulations 1991(2).

3.  The Schedule to the 1991 Regulations is amended by:

(a)substituting, in respect of the entries in the first column listed below, the sums set out below in relation to those entries for the sums specified in relation to those entries in the second column of the Schedule to the 1991 Regulations as follows:

(b)inserting after entry 7 in the first column of the Schedule to the 1991 Regulations and the sum specified in relation to that entry in the second column of that Schedule the following entry and sum:

“7A.  For paper copies of original documents, other than a list of members, delivered at an office of the registrar relating to one branch or undertaking not recorded and kept by the registrar in the form of a microfiche copy, per document

£7.00”;

(c)substituting for entries 17(a) and (b) in the first column of the Schedule to the 1991 Regulations and the sums specified in relation to that entry in the second column of that Schedule the following entries and sums:

“17.  For a paper copy of the index–

(a)delivered at an office of the registrar, per page

£1.00

(b)delivered by post

£4.00 for the first page plus £1.00 for each additional page supplied”; and

(d)inserting after entry 20A in the first column of the Schedule to the 1991 Regulations and the sum specified in relation to that entry in the second column of the entry the following entry and sum:

“20B.  For the registration of a charge under Chapters I and II of Part XII per entry on a register of charges kept by the registrar in respect of a company or oversea company

£10.00”.

Explanatory Note

(This note is not part of the Regulations)
These Regulations amend the Companies (Fees) Regulations 1991, as amended by the Companies (Fees) (Amendment) Regulations 1992, the Companies (Fees) (Amendment) Regulations 1994, the Companies (Fees) (Amendment) Regulations 1995 and the Companies (Fees) (Amendment) Regulations 1996, which require the payment of fees in respect of functions performed by the registrar of companies under the Companies Act 1985.
Regulation 3 amends those Regulations by:
(1) increasing the fees applicable in respect of the following matters from £3.50 to £5.00:

(a)the inspection of a basic set of microfiche copies (Fee No. 4),

(b)the inspection of the excluded documents of a branch or undertaking recorded and kept by the registrar of companies in the form of microfiche copy (Fee No. 5),

(c)the inspection of a list of members of a company consisting of more than ten pages, other than an inspection requested on the same occasion as a request to inspect the basic set of microfiche copies relating to that company (Fee No. 6),

(d)the delivery of a basic set of microfiche copies at an office of the registrar (Fee No. 9(a)),

(e)the delivery of a microfiche copy of the excluded documents of a branch or an undertaking recorded and kept by the registrar in the form of microfiche copy at an office of the registrar (Fee No. 10(a)),

(f)the delivery of a microfiche copy of a list of members consisting of more than ten pages at an office of the registrar (Fee No. 11(a));
(2) increasing the fees applicable in respect of the following matters from £5.00 to £8.00:

(a)the delivery by post of a basic set of microfiche copies pursuant to an on-line request (Fee No. 9(b)),

(b)the delivery by post of a basic set of microfiche copies pursuant to a form of request other than an on-line request (Fee No. 9(c)),

(c)the delivery by post of a microfiche copy of the excluded documents of a branch or an undertaking recorded and kept by the registrar in the form of a microfiche copy pursuant to an on-line request (Fee No. 10(b)),

(d)the delivery by post of a microfiche copy of the excluded documents of a branch or an undertaking recorded and kept by the registrar in the form of a microfiche copy pursuant to any form of request other than an on-line request (Fee No. 10(c)),

(e)the delivery by post of a microfiche copy of a list of members consisting of more than ten pages pursuant to any form of request (Fee No. 11(b));
(3) increasing the fees applicable in respect of the following matters from £15 to £25:

(a)for a certified copy of, or extract from, any record where the record is not a list of members which consists of more than 10 pages (Fee No. 19(a)),

(b)for a certified copy of, or extract from, any record where the record is a list of members which consists of more than 10 pages, for the first 10 pages (Fee No. 19(b)(i)),

(c)for a certificate of the incorporation of a company in respect of the first certificate supplied on any one occasion (Fee No. 20(a));
(4) increasing the fee applicable in respect of paper copies of records relating to a company delivered at an office of the registrar where requested otherwise than on the same occasion as an inspection of the records relating to that company, or on the same occasion as a request for a basic set of microfiche copies relating to that company, and not being a list of members of the company (Fee No. 12(b)), from £3.50 plus £1.00 for each document supplied to £5.00 plus £1.00 for each document supplied;
(5) increasing the fee applicable in respect of paper copies of records relating to a company other than a list of members, recorded and kept by the registrar in the form of a microfiche copy, delivered by post pursuant to any form of request in respect of one document (Fee No. 13(a)) from £6.00 to £9.00;
(6) increasing the fee applicable in respect of a paper copy of a list of members up to 20 pages long delivered by post (Fee No. 15(a)) from £7.00 to £9.00;
(7) increasing the fee applicable in respect of paper copies of particulars registered in respect of a branch or undertaking delivered by post (Fee No. 16(b)) from £1.00 per computer screen to £4.00 per copy of information in relation to a branch or undertaking available on a computer terminal;
(8) for prescribing a new fee of £7.00 per document (Fee No. 7A), for paper copies of original documents, other than a list of members, delivered at an office of the registrar relating to one branch or undertaking not recorded and kept by the registrar in the form of a microfiche copy;
(9) replacing entry 17 with a new entry (Fee No. 17) prescribing a fee of £1.00 per page for a paper copy of the index delivered at an office of the registrar and, where the copy is delivered by post, £4.00 for the first page and £1.00 for each additional page supplied; and
(10) prescribing a new fee of £10.00 (Fee No. 20B) for the registration of a charge under Chapters I and II of Part XII of the Companies Act 1985 (Registration of Charges) for each entry on a register of charges kept by the registrar in respect of a company or an oversea company.
Regulation 1 provides for the new fees to come into force on 1st March 1999.
